How to Set Up a BVI Crypto Exchange in 2026

A BVI crypto exchange runs under a clear law, a regulator with a public register and no corporate tax on trading fees. The FSC registers trading platforms in their own exchange category, its fees are lower than Cayman's or Dubai's, and established platforms such as Bitstamp Global Ltd. already hold BVI registration.

The hard part is the size of the file. Most exchanges need both the exchange and custody categories, which means US$61,000 in FSC fees in year one, and some recent approvals required US$1,000,000 in capital. The FSC wants capacity tests, trading records, an independent IT audit and more than 40 documents, and reviews take three to eight months. Fiat banking is harder still.

This is where we come in. We form the company through licensed BVI registered agents, prepare the application file with licensed advisers, set up KYC, screening and Travel Rule checks on our own platform, and open accounts with crypto-friendly partners. One team takes you from model to go-live.

Is the BVI a Good Place for a Crypto Exchange?

Yes, for an exchange that serves international customers and can meet the FSC's standards. The BVI has a dedicated exchange category, registered platforms already operating and a cost base well below its main rivals. It is not a light-touch option, and supervision has become stricter since 2025.

Registered Exchanges Already Operate There

The Virtual Assets Service Providers Act, 2022 came into force on 1 February 2023, and the FSC approved its first registrations in March 2024. By the end of the first quarter of 2026, 24 VASPs were registered. The FSC's public register lists exchanges such as Bitstamp Global Ltd., which holds exchange, custody and general registrations. Banks, liquidity providers and token projects use that register to check a platform before working with it.

A Lower Cost of Entry

The exchange category costs US$10,000 to apply for and US$25,000 a year. A Cayman trading platform licence starts at about KY$50,000 in application fees, and Dubai's regulator charges an exchange AED 100,000 to apply and AED 200,000 a year. For a new platform, the BVI is one of the cheaper recognised regulators to enter.

Set Up Your Exchange Company With Us

The FSC reviews the company before it reviews the platform. We make sure the company is ready for that review.

  • From €1,899: Exchange company formed through a licensed registered agent.
  • Board the FSC expects: Two individual directors, no corporate directors.
  • Holding structure: Room for licensed companies in other markets later.
  • KYC pack ready: Owners checked once, crypto source of wealth included.
  • AML on our platform: Onboarding, screening and Travel Rule checks ready.
  • Banking alongside: Crypto-friendly partners for operating and client money.

Stricter Supervision Since the Grey Listing

The FATF placed the BVI under increased monitoring in June 2025 and kept it there in June 2026. Stronger risk-based supervision of VASPs is one of the actions the BVI must complete, and the EU has listed the BVI as a high-risk third country since 29 January 2026. A BVI exchange should expect close review of its application and regular questions after registration. Read about BVI company law changes and regulatory updates for the full timeline.

No Tax on Trading Fees

A BVI company pays no corporate income tax, no capital gains tax and no withholding tax on dividends. Trading fees, spreads, listing fees and gains on the exchange's own crypto are not taxed in the BVI. Payroll tax applies only to staff working in the BVI. Read about BVI company tax rates and reporting requirements.

BVI Crypto Exchange Licence Types

A BVI crypto exchange licence is, in law, a registration with the FSC under the VASP Act. A trading platform needs the exchange category. Most platforms also need custody, and some need the general category for OTC or transfer services.

Fees are paid per category. A platform with exchange and custody pays US$20,000 to apply and US$40,000 on registration and every year after.

The Exchange Category

The exchange category covers a platform where customers trade crypto for money or for other crypto. The VASP Act adds rules only for exchanges. The platform must not finance clients' trades without FSC approval and full disclosure, must not trade against clients to their detriment and must not allow misleading or manipulative trading on the platform.

The Custody Category

Most exchanges hold customers' crypto in their own wallets, which needs the custody category. The application must explain the security measures and how client assets are kept apart from the exchange's own. The exchange needs a safekeeping agreement with each client and cannot use client assets as security without written consent. Breaking these rules can cost up to US$100,000.

The General Category for OTC and Transfers

An OTC desk that trades large orders outside the order book, or a service that sends crypto to outside wallets for customers, falls under the general category if it is not part of the exchange registration. Many exchanges add it at the start to avoid a second application later.

Derivatives and Margin Trading

Crypto futures, options and contracts for difference are investments under the Securities and Investment Business Act, 2010 (SIBA). A platform that offers them needs an investment business licence as well as VASP registration. Margin trading on the spot platform counts as client financing and needs FSC approval and clear disclosure.

What a BVI Crypto Exchange Licence Does Not Cover

A BVI crypto exchange licence covers business in or from the BVI. It gives no passport to the EU, the UK, the US or any other market. Serving EU customers needs MiCA authorisation in an EU country, and most BVI platforms block customers from countries where they are not licensed. Read about the BVI VASP licence for the full market picture.

How to Set Up a BVI Crypto Exchange

Setting up the exchange takes six steps. The company is quick. The platform, the policies and the FSC review take months, so run them side by side.

Define the Platform Model

Decide what the platform will do before anything else: spot trading only or derivatives too, own custody or a third-party custodian, crypto pairs only or fiat as well, which tokens, which customers and which countries. Each choice changes the FSC categories, the capital, the policies and the bank.

Form the Company and the Structure

The registered agent checks the owners and forms the company, usually within days of KYC approval, with two individual directors from the start. Many exchanges sit under a holding company that also owns the technology company and licensed companies in other markets. Read how to set up a BVI holding company and the BVI company formation guide.

Build or License the Technology

The platform needs a matching engine, wallets, a customer portal and market surveillance tools. Some exchanges build their own, others license a white-label platform. A software provider does not need VASP registration, but the exchange that runs the platform does, and the FSC will test the system either way.

Write the Rulebook and Policies

An exchange needs more policies than any other VASP: a listing policy for new tokens, market abuse surveillance, conflicts of interest, fee disclosure, complaints, client asset protection and an orderly wind-down plan. Each must describe how this platform works, not exchanges in general.

Apply to the FSC

The application goes in with the business plan, the policies, the AML manual, the IT audit and test results, the custody arrangements, and the approvals for directors, the authorised representative and the auditor. The FSC aims to send first comments within six weeks and to decide within six months.

Arrange Liquidity, Banking and Go-Live

While the FSC reviews the file, sign the market maker and liquidity agreements, open the operating and client money accounts and test the platform end to end. Go live only once the registration and any pre-launch conditions are in place.

Plan Your BVI Crypto Exchange Licence

An exchange file is the heaviest the FSC sees. We help you build it in the right order.

  • Model check: Exchange, custody and general categories confirmed early.
  • Costs in writing: FSC fees, capital, technology and people for year one.
  • Application file: Prepared with licensed BVI advisers.
  • Key roles lined up: Directors, authorised representative and auditor.
  • AML from day one: KYC, screening and Travel Rule on our platform.

The Costs Founders Miss

Capital is the big one. The FSC sets it for each business model, and exchanges and custodians are treated as higher risk. The second is people: a board the FSC will approve, a compliance officer, an MLRO and staff who can run market surveillance. The third is technology: the IT audit, penetration testing, blockchain analytics and Travel Rule tools. For the standard company costs, read how much a BVI company costs.

What Slows It Down

A platform that is not ready to test, an IT audit done late, policies copied from another exchange, an unclear custody model and directors without exchange experience. Changing the token list or the target countries during the review also sends parts of the file back.

What Speeds It Up

A finished platform with test results, a complete file on day one, a board with real exchange and compliance experience and fast, complete answers to the FSC. Opening accounts during the review means the exchange can start as soon as it is registered.

Technology and Security the FSC Expects

The FSC's guidance asks exchanges for more technical evidence than any other VASP. These are the items it expects to see.

  • Independent technology audit: A report on the platform's systems and controls.
  • System testing: The methods and results of testing before launch.
  • Capacity stress tests: Proof the platform can handle peak volumes.
  • Cybersecurity framework: How the platform guards against attacks, with data protection.
  • Business continuity: What happens during an outage, with a tested plan.
  • Trade records: Time and price records for every executed trade.
  • Daily exception reports: Price adjustments and orders outside normal ranges.
  • Slippage reviews: Checks that customers get fair prices.
  • Customer reports: Year-end statements showing realised and unrealised profit and loss.
  • Interoperability statement: Which networks and wallets the platform supports.

The FSC can require testing and reporting before registration and at any time after. Plan the platform so it produces these records automatically.

Running the Exchange After Registration

Registration starts the supervision. The exchange has ongoing duties on people, market conduct, reporting and anti-money laundering.

Directors and Key People

The exchange needs at least two individual directors, and the FSC may require one to live in the BVI and be away for no more than 120 days a year. Every director and senior officer needs FSC approval before appointment. The exchange also needs an approved authorised representative, an approved auditor, a compliance officer and an MLRO.

Market Integrity

The exchange must not trade against its clients to their detriment or allow misleading or manipulative trading. It needs surveillance that spots wash trading, spoofing and insider dealing on token listings, and a process to act on what it finds. Client financing and margin need FSC approval and disclosure.

Yearly Duties

The exchange pays its yearly FSC fees, sends audited financial statements within six months of its year end and keeps records for at least five years. Material changes must be reported straight away. Buying or selling a significant interest needs FSC approval first, and doing it without approval can cost up to US$60,000. Read about BVI company annual compliance and filing requirements.

AML and the Travel Rule

The BVI anti-money laundering rules apply to virtual asset transactions of US$1,000 or more. The exchange checks every customer, screens names against PEP and sanctions lists, screens wallets, monitors trading and transfers, reports suspicious activity and sends sender and recipient details with each transfer under the Travel Rule. Our guides to KYC software for crypto exchanges and transaction monitoring cover the tools.

Documents Needed for a BVI Exchange Application

The FSC guidance lists more than 40 items. For an exchange, the technical and custody documents carry the most weight.

Ownership and Business

  • Ownership chart and registers: Every layer, with percentages, up to the individuals.
  • Source of wealth: For every beneficial owner of 10% or more, including crypto wealth traced on chain.
  • Business plan: Markets, customers, token list, fees, projections and the funding plan.
  • Capital: Proof of paid-up capital and a contingency funding plan.
  • Liquidity agreements: Market maker and liquidity provider contracts, if any.

Policies

  • Risk and compliance: Risk policy, compliance manual and internal controls.
  • AML/CFT/PF manual: Customer checks, monitoring, reporting and the Travel Rule.
  • Listing policy: How tokens are assessed, listed and delisted.
  • Conduct: Conflicts of interest, related parties, fair marketing and complaints.
  • Wind-down plan: How client assets are returned if the exchange closes.

Technology and Custody

  • IT evidence: Technology audit, test results, stress tests and the cybersecurity framework.
  • Trade records: Samples of time and price records, exception reports and slippage reviews.
  • Custody arrangements: Hot and cold wallets, segregation, records and safekeeping agreements.
  • Continuity: Business continuity plan and outage contingency plan.

People

  • Directors and officers: CVs, references and approval forms.
  • Authorised representative: Its separate application for FSC approval.
  • Auditor: Details and crypto audit experience.
  • Declarations: Signed by the applicant and the representative.

Banking and Fiat for a BVI Crypto Exchange

Fiat banking is the hardest part of running a crypto exchange from the BVI. An exchange needs an operating account and, if it accepts fiat from customers, client money accounts too. Most banks refuse both.

Why Fiat Rails Are So Hard

Correspondent banks see exchanges as high risk because of the volume of third-party money that passes through them. Smaller banks follow their lead. The BVI's grey listing and EU listing add enhanced checks on top. Read about BVI offshore banking for companies.

What Banks and EMIs Check

Expect questions on the registration and its conditions, how client fiat is kept apart from the exchange's own money, the countries you serve and block, the blockchain analytics you use, your largest counterparties and the expected volumes in and out. A provider that accepts exchanges still reviews the file closely. Our guide to KYB for crypto companies and Web3 platforms shows how counterparties check a platform.

Keep Client Money Separate

Use separate accounts for the exchange's own money and customers' money, and reconcile them every day. Mixing the two is one of the fastest ways to lose a banking relationship, and it breaks the FSC's segregation rules for client assets.

Open Accounts for Your Crypto Exchange

We prepare the banking file with you and open accounts with partners that accept exchanges.

  • Licensed providers: Regulated partners that work with crypto platforms.
  • Multi-currency accounts: Hold, receive and pay in several currencies.
  • Real IBANs: Accounts in the exchange's own name.
  • Fast-track opening: About a week once the file is complete.
  • Free extra users: Add your finance team at no extra cost.
  • Low FX costs: Currency exchange close to the interbank rate.

Card Payments and Chargebacks

Letting customers buy crypto by card brings in new users fast, but it is one of the hardest payment types to set up. Card schemes treat crypto purchases as high risk. Acquirers that accept them apply extra checks, often hold a reserve and charge more.

Chargebacks are the main risk. By the time a dispute arrives, the crypto has usually left the platform, so the exchange carries the loss. Strong identity checks, 3D Secure, velocity limits and wallet screening keep fraud and chargebacks low enough to keep the card account. Read how to open a high risk merchant account and how to set up a high risk payment gateway.

Common Mistakes When Setting Up a BVI Crypto Exchange

  • Applying only for the exchange category: A platform that holds client crypto needs custody too.
  • Launching before registration: Running a VASP business without registration can cost up to US$100,000 or five years in prison.
  • Underestimating capital: Some recent approvals required US$1,000,000.
  • Filing before the platform is ready: The FSC wants test results, not plans.
  • Copying another exchange's policies: Generic rulebooks and AML manuals are easy to spot.
  • Offering margin without approval: Client financing needs FSC approval and disclosure.
  • Ignoring the countries question: The BVI registration covers the BVI only, so block markets where you are not licensed.
  • Mixing client and own money: It breaks the segregation rules and costs bank accounts.

Who a BVI Crypto Exchange Is Wrong For

  • EU retail platforms: Serving EU customers needs MiCA authorisation in an EU country.
  • Small budgets: US$61,000 in FSC fees in year one, plus capital and technology, rules out very small projects.
  • Fast launches: Six to nine months from start to first trade does not suit a launch next quarter.
  • Teams without exchange experience: The FSC approves people, and it will ask who runs the platform.

Bottom Line

A BVI crypto exchange gets a recognised regulator, a public register, lower entry fees than Cayman or Dubai and no corporate tax on trading fees. Established platforms already operate under BVI registration.

The file is heavy. Most platforms need the exchange and custody categories, US$61,000 in FSC fees in year one, capital that has reached US$1,000,000 in some approvals, an independent IT audit, capacity tests and trading records. Plan for six to nine months from the first call to the first trade.

The registration covers the BVI only. Choose your markets, block the rest and add licensed companies where you want to grow. And plan fiat banking early, with separate client money accounts and a file that explains the flows.

Define the model first, build the platform second and file with the FSC when both are ready.
