BVI Company Tax Rates and Reporting Requirements in 2026

BVI Company Tax Rates and Reporting Requirements in 2026

A BVI company pays 0% tax in the islands on its profits, gains, dividends and interest. There is no VAT, no withholding tax on payments abroad and no capital gains tax. The BVI company tax position is set by law, not by a ruling or a tax holiday.

The hard part is what sits around the zero. A company with staff or property in the BVI pays payroll tax or stamp duty, every company files a substance report and an annual return, and the owners may owe tax at home. Banks also ask for a tax identification number that the BVI does not issue to most companies.

You do not need to work through that alone. Binderr works with licensed registered agents in the BVI, forms your company from €1,899 and keeps its BVI filings on one calendar: the annual return, the substance report and the registers. We also flag the questions to take to your tax adviser at home before you start.

Why Income Tax Is 0%

The BVI replaced income tax on companies and employees with a payroll tax under the Payroll Taxes Act 2004. Since 1 January 2005 the income tax rate has been zero-rated, so the income tax law still exists but charges nothing. This is why the BVI company tax rate is a settled position, not a promise that runs out.

What 0% Covers

The 0% rate covers trading profits, investment income, dividends from subsidiaries, interest, royalties and gains on the sale of shares or other assets, wherever they arise. It also means a BVI company pays dividends to its owners without any BVI tax taken at source.

Set Up a Tax-Neutral BVI Company With Us

A BVI company is easy to keep tax neutral when it is set up and run properly. This is what we handle for you.

  • From €1,899: Formation through a licensed registered agent.
  • 0% in the islands: No income, capital gains or withholding tax.
  • Activity checked: Substance position agreed before filing.
  • Yearly filings tracked: Annual return and substance report on one calendar.
  • Home tax flagged: Questions for your adviser raised early.
  • Partner banking: A multi-currency account opened online.

The Global Minimum Tax

Groups with annual revenue of €750 million or more fall under the OECD global minimum tax rules in many countries. Other countries can collect a top-up tax on the profits of the group's BVI companies, so the 0% rate does not help these groups. The BVI government has been studying its own response. For almost every private owner and smaller business, these rules do not apply.

Taxes a BVI Company Can Still Pay

A BVI company tax bill is zero for most companies, but not for all. These are the local taxes that can apply, and the facts that trigger them.

Payroll Tax

Payroll tax applies to pay for work done in the BVI. Employers pay 10% if they are Class 1, the smaller employers, and 14% if they are Class 2, and up to 8% of the pay can be deducted from the employee. The first US$10,000 of each employee's yearly pay is exempt. Returns are filed monthly within 21 days of the month end, with an annual return by 30 April. Late filing costs US$50 or 5% of the tax, whichever is greater, plus 1% a month.

Stamp Duty

Stamp duty applies when BVI land, or shares in a company that owns BVI land directly or indirectly, change hands. The rate is 4% for belongers and 12% for others, on the price or the market value, whichever is higher. A company with no BVI property pays none.

Property Tax and Customs Duty

Owners of land and buildings in the BVI pay property tax each year, and goods imported into the BVI pay customs duty. A company with no property or goods in the islands pays neither.

Social Security

Employers with staff in the BVI also pay social security contributions for them. Like payroll tax, these only apply to people working in the islands.

Do BVI Companies Have Tax Identification Numbers?

Most do not. The BVI does not issue a tax identification number to an ordinary company that does its business outside the islands, because it charges such a company no tax. Whether BVI companies have tax identification numbers is the question owners are asked most often by banks abroad.

The Company Number Is Not a BVI Company Tax Identification Number

Every BVI company has a company number, issued by the Registry at incorporation and shown on its certificate of incorporation. It identifies the company, but it is not a tax number and should not be described as one on a tax form. Banks that ask for a BVI company tax identification number usually accept an explanation that none exists.

When a BVI Company Does Get a Number

The Inland Revenue Department gives an account number to employers registered for payroll tax and in some other local cases. That number is for local tax administration. A BVI company that is tax resident in another country will have a tax number from that country, and a financial institution reporting under FATCA has a GIIN from the US tax authority.

What to Write on Bank and Tax Forms

On a Common Reporting Standard self-certification, a BVI company with no TIN usually ticks the option that its country of tax residence does not issue TINs. On a US form W-8BEN-E, the field is usually left blank or completed with the company number and a short note. Banks and their compliance teams set their own requirements, so follow their instructions and keep the explanation consistent.

If a bank insists on a BVI company tax identification number, ask whether it will accept a short letter from the registered agent confirming that the company has none. Most compliance teams accept this once it matches the rest of the file.

The Substance Report

From financial periods starting on or after 1 January 2025, the economic substance report asks for the company's tax identification number where it has one. A company tax resident elsewhere gives that country's number. Read about BVI economic substance requirements for holding companies.

Tax Reporting in the BVI

A BVI company files no corporate tax return in the islands. Its reporting is about transparency, not tax, and most of it goes through the registered agent.

The Annual Return

Every company outside a few exempt groups files an annual return, a basic balance sheet and profit and loss statement, with its agent within 9 months of its year end. It is not a tax return and is not public. Late filing costs US$300, then US$200 a month, up to US$5,000.

The Economic Substance Report

Every company files a substance report within 6 months of each financial period end. The report covers its activity, its income and, for some companies, its people and premises in the BVI. Filings moved to VIRRGIN in 2026, and no filing fees apply for 2026.

FATCA and the Common Reporting Standard

A BVI company that is a financial institution, such as a fund or an investment company managed by a financial firm, registers with the International Tax Authority and reports its account holders each year by 31 May. The BVI has a Model 1 agreement with the United States for FATCA and was an early adopter of the Common Reporting Standard. Most holding and trading companies are not financial institutions.

Large Groups

Members of large multinational groups may also have country-by-country reporting duties, which the International Tax Authority oversees. Groups below the €750 million threshold are not affected.

Your BVI Company, Run From Abroad

You can own and run a BVI company from anywhere, and keep its BVI filings simple. This is how we set it up.

  • Fully remote setup: Documents certified where you live.
  • Licensed registered agent: The office and filings the law requires.
  • Activity classified: Substance and FATCA status checked early.
  • Annual return support: Figures prepared with you each year.
  • Substance report filed: Within 6 months of each period end.
  • Clear pricing: From €1,899, with the yearly costs in writing.

Where the Owners Pay Tax

The BVI company tax position is 0%, but the owners live somewhere. Most of the tax on a BVI structure is paid, or planned, in the owners' own countries.

Dividends at Home

Most countries tax their residents on dividends received from abroad. A BVI company pays its dividends without BVI tax, so the owner usually pays the full home rate on them. Some countries exempt dividends from foreign subsidiaries, but many deny that exemption when the subsidiary pays little or no tax.

Controlled Foreign Company Rules

Many countries tax profits kept in a low-tax company owned by their residents, even before they are paid out. Every EU member state has had controlled foreign company rules since 2019 under the EU Anti-Tax Avoidance Directive, and the UK, the US and many others have their own versions. A BVI company owned by residents of these countries needs advice before it keeps profits.

Where the Company Is Managed

A company is often tax resident where its board takes its decisions. A BVI company whose directors run it from London, Paris or Sydney may be tax resident there and pay that country's corporate tax. Hold board meetings and take decisions where you intend the company to be resident. Keep the minutes, so you can show where the decisions were made.

Information Is Shared

The BVI exchanges financial account information under the Common Reporting Standard and shares economic substance and beneficial ownership information with other countries' authorities. The tax authorities where the owners live can see the company's accounts and its owners. Plan the structure on the basis that everything is visible.

Keep Full Books Anyway

A 0% rate is not a reason to skip the accounts. The annual return needs a balance sheet and a profit and loss statement, the owners' tax returns at home often need the company's figures, and banks ask for financial statements at review. Keep the records for at least 5 years and tell the agent where they are kept.

BVI Company Tax by Use

How the BVI company tax position works out depends on what the company does.

Holding Companies

Dividends from subsidiaries and gains on selling them are tax free in the BVI. The question is whether the subsidiaries' countries tax payments to a BVI company, and whether the owners' country taxes the holding company's profits. Many holding companies receive dividends from countries that charge no withholding tax on them, which keeps the structure simple. Read how to set up a BVI holding company.

International Trading and Services

Trading profits are tax free in the BVI if the company trades outside the islands. Customers' countries may withhold tax on some payments, such as royalties or service fees, and the BVI has very few double tax treaties to reduce it.

Intellectual Property

Royalties are tax free in the BVI, but IP is the strictest area of the substance rules, and many countries withhold tax on royalties paid to low-tax jurisdictions. An IP company needs careful planning.

Property in the BVI

A company that owns BVI land pays property tax, and stamp duty applies when the land or the company's shares change hands. Property outside the BVI is taxed where it is.

BVI vs Jersey

Jersey also charges 0% to most companies, but some activities pay 10% or 20%, and its companies cost more to run. In return, Jersey is not on the FATF grey list and EU and UK banks are more at ease with it. For a pure holding company, the BVI company tax position and lower costs usually win. Banking a Tax-Neutral Company

Banks ask every BVI company where it is tax resident and why it uses the BVI. A clear answer, with the owners' tax position explained, makes the file much easier to approve.

Why Banks Ask About Tax

Banks report accounts under the Common Reporting Standard and must understand the tax residence of the company and its owners. The grey listing has added more questions about the purpose of the structure.

A Faster Route Through Our Banking Partners

Our banking partners are licensed electronic money institutions that open multi-currency accounts for BVI companies owned from abroad, usually within days of a complete file. We prepare the self-certification and the explanation with the rest of the file. Read about BVI offshore banking for companies.

When the 0% Rate Will Not Help

The BVI company tax position is only useful if the rest of the structure lets it work.

  • The company is managed at home: It may be tax resident there.
  • The owners face CFC rules: Profits may be taxed at home anyway.
  • The group is above €750 million: A top-up tax may apply elsewhere.
  • Customers withhold tax on payments: There are few treaties to reduce it.
  • The business operates in the BVI: Payroll tax and local licences apply.

Common Mistakes With BVI Company Tax

Most problems come from looking only at the BVI side.

  • Assuming 0% means no tax anywhere: The owners' countries decide the rest.
  • Inventing a TIN: The company number is not a tax number.
  • Running the company from home: It can become tax resident there.
  • Skipping the substance report: Every company files one.
  • Ignoring FATCA status: Investment entities may be financial institutions.

Bottom Line

The BVI company tax rate is 0% on income, gains and dividends, with no VAT and no withholding tax. Payroll tax, stamp duty, property tax and customs duty apply only to companies with staff, land or goods in the islands. Most BVI companies have no tax identification number, and the company number is not one.

The BVI side is simple: an annual return, a substance report and the registers. The real tax planning happens where the owners live. We form BVI companies from €1,899 through licensed agents and keep the BVI filings on track. Read our BVI company formation guide.
