How Much Does a BVI Company Cost in 2026?

How Much Does a BVI Company Cost in 2026?

A BVI company gives you 0% tax in the islands, one director and one shareholder anywhere in the world and no minimum capital, for a first-year cost that usually sits between US$2,500 and US$4,500 for a simple company. The Registry's own fees are low and fixed by law: US$550 to incorporate and US$550 a year after that.

The hard part is the quote. Most prices online are agent packages, not Registry fees, and many leave out the renewal, the register filings, the apostilles and the bank account. A cheap first year with an expensive second year is common, and the BVI company formation cost you see is rarely the cost you pay.

This is where we come in. Binderr works with licensed registered agents in the BVI and quotes the whole setup in writing before anything is filed: formation from €1,899, the KYC pack, the filing, the registers and the first-year office. You see the running costs upfront too, so there are no surprises in year two.

How Much a BVI Company Costs

A simple BVI company costs about US$2,500 to US$4,500 in its first year and about US$1,800 to US$4,000 a year after that, including a light business account. A trading company with real banking needs, a company with corporate owners or a regulated business costs more, mainly because of the bank account and the extra owner checks.

The Short Answer

With Binderr, formation starts from €1,899. That covers the licensed agent's filing, the KYC review, the memorandum and articles, the Registry incorporation fee and the registered office for the first year. The register filings, the yearly fees and the bank account come on top, and we put each of them in writing before you pay.

What Makes Up the Cost

Every BVI company cost has three parts: the Registry's fees, which the law sets and which are the same whoever files; the registered agent's fees, which vary by agent; and your own costs, such as apostilles, accounting and the bank account. Only the first part is the same everywhere.

Set Up a BVI Company at a Clear Price

A BVI company is very doable on a known budget when every fee is shown upfront. This is what we handle for you.

  • From €1,899: Formation through a licensed agent, quoted in full before filing.
  • Registry fee included: The incorporation fee sits inside our price, not on top.
  • Running costs shown: Renewal, annual return and substance report in writing.
  • No tax in the islands: No income, capital gains or withholding tax on the company.
  • KYC pack prepared: One clean file for every owner and director.
  • No surprises in year two: The renewal is quoted with the setup.

Why Quotes Vary So Much

Quotes for the same company range from under US$1,000 to over US$5,000 because providers bundle different things. Some show only the first year, some leave out the Registry fee, some add nominee services you do not need, and some charge a renewal far above the Registry's US$550. Compare what each quote covers for three years, not the headline price, because the British Virgin Islands company formation cost you pay is the total, not the first invoice.

What the BVI Company Setup Cost Includes

The BVI company setup cost with Binderr starts from €1,899 and covers everything needed to form a standard company and keep it at the Registry for its first year. This is what sits inside that price.

Structure Advice

One call to agree the company type, the owners, the directors and the number of shares. Getting the share count right at this stage keeps the yearly fee at US$550 rather than US$1,350. Read about the types of BVI companies and legal entities.

The KYC Review

The licensed agent must check every director, shareholder and beneficial owner before it files. We collect the documents once, check them and send one complete file, which is what keeps the agent's time, and your cost, down.

The Name and the Constitution

We check that the name is free and carries a permitted ending, and prepare the memorandum and articles. Read how to check and reserve a BVI company name.

The Registry Fee and Filing

The agent files through VIRRGIN and pays the US$550 incorporation fee for a company authorised to issue up to 50,000 shares. That fee is inside our price, not added to it.

The Registered Agent and Office for Year One

The company has its licensed registered agent and its BVI registered office for the first year. From year two, the renewal is the main running cost, and we quote it with the setup so the BVI company setup cost and the yearly cost are clear from day one. Read our BVI company registration guide.

BVI Company Registration Fees Set by Law

The BVI company registration fee and the other Registry fees, the fixed part of any BVI company formation cost, are set in Schedule 1 of the BVI Business Companies Act and its fee orders. They are the same whoever files and are paid through the registered agent.

Two penalties are worth knowing. The annual fee costs 10% more if paid within 2 months of the due date and 50% more after that, and a late beneficial ownership filing costs US$500 for the first month and more after that. Most BVI company fees above the Registry's are the agent's, not the government's.

Fees That Changed Since 2023

The incorporation and annual fees rose to US$550 and US$1,350 from 1 January 2023, and the register filing fees of US$50, US$75 and US$125 followed with the beneficial ownership rules of 2 January 2025. Any BVI company formation cost quote that still shows US$450 for the annual fee, or leaves out the register filings, is using pre-2023 figures. Read about BVI company annual compliance and filing requirements.

What a BVI Company Costs Each Year

After the first year the BVI company cost falls, because there is no formation fee. This is the part of the British Virgin Islands company formation cost that most quotes leave out. A simple company usually pays about US$1,800 to US$4,000 a year, including a light account plan.

When the Yearly Costs Are Due

The annual government fee is due by 31 May for companies formed from January to June and by 30 November for companies formed from July to December. The annual financial return goes to the agent within 9 months of the year end, and the economic substance report within 6 months of each financial period end. The agent's renewal usually falls on the anniversary of incorporation. Putting these dates in one calendar is the simplest way to avoid penalties.

Looking at three years is the fairest way to judge a quote, because the renewal is paid every year and a cheap formation with an expensive renewal costs more over time.

Cheapest BVI Company Formation and What It Leaves Out

The cheapest BVI company formation offers online often look like a bargain and turn out not to be, because the BVI company formation cost in the headline is only part of the bill. These are the items most often left out of a low headline price.

  • The renewal: A cheap first year paired with a renewal of US$2,000 or more.
  • The register filings: The US$50 and US$125 Registry filings billed later as extras.
  • Large share counts: Packages that authorise more than 50,000 shares, raising the yearly fee to US$1,350.
  • The bank account: Formation only, with the account left to you.
  • Apostilles and courier: Billed per document when the bank asks.
  • Nominee services: Added by default, though nominees do not hide owners from the Registry.

A low headline price is not wrong in itself. The question is what the BVI company formation cost looks like once the renewal, the filings and the bank account are added, and whether the provider puts those in writing before you pay.

Affordable BVI Company Formation Options for Startups

For a startup, the affordable choice is a standard company limited by shares with 50,000 or fewer authorised shares, one director, a simple constitution and a partner account instead of a traditional bank with a large minimum balance. That keeps the first year near the low end of the range and avoids paying for structures you do not need yet. It is also the cheapest way to keep the cost of setting up a BVI company predictable as the business grows.

BVI Company Formation From €1,899

One price for the setup, and the running costs in writing before anything is filed.

  • From €1,899: A standard company formed through a licensed registered agent.
  • Everything included: KYC review, constitution, Registry fee and first-year office.
  • Registry fees shown: US$550 a year for up to 50,000 shares.
  • Nothing upfront: No payment before the scope is agreed.
  • Late fees avoided: The annual fee paid before the penalties start.

BVI Offshore Company Formation Price by Provider Type

Extra Costs to Plan For

Some costs only apply to some companies. These are the ones that most often surprise owners.

  • Certificate of good standing: Banks often want one issued in the last three months.
  • Certified copies and search reports: About US$50 to US$100 each, as a planning range.
  • Translations: Certified translations for documents not in English.
  • Legal opinions: Sometimes required by banks or investors for larger deals.
  • Economic substance: Real people or premises in the BVI if the company carries on a relevant activity outside the reduced test.
  • Trade licence: Only if the company does business in the BVI itself; read how to get a BVI trade licence.
  • Changing agent: A Registry filing and the new agent's onboarding fee.
  • Restoration: US$700 within 12 months, US$1,600 after, plus all fees owed.

None of these is needed by every company. A holding company with one owner abroad usually meets only the certificate of good standing and the odd certified copy, while a trading company banking abroad meets most of them in its first year. What Banking Costs a BVI Company

The bank account often costs more than the company. The few local banks in Road Town serve mainly residents, and banks abroad review BVI companies closely since the FATF grey listing, often asking for deposits of US$10,000 to US$50,000 and charging US$25 to US$145 per international wire.

How to Keep the Cost of a BVI Company Down

The cost of setting up a BVI company is mostly decided before you sign. These choices keep it low without cutting corners.

  • Authorise 50,000 shares or fewer: The yearly fee stays at US$550 instead of US$1,350.
  • Ask for the renewal in writing: Judge the quote over three years.
  • Skip services you do not need: Nominee directors and shareholders add cost and hide nothing.
  • Send a complete KYC pack once: Fewer rounds of questions mean fewer agent hours.
  • Open the account with a partner: No large deposit sitting idle.
  • Pay the annual fee early: The 10% and 50% penalties are easy to avoid.

Common Mistakes With BVI Company Costs

Most cost problems come from the quote, not the company.

  • Comparing headline prices only: The renewal and the extras decide the real cost.
  • Ignoring the share count: A package with 100,000 shares costs US$800 more every year.
  • Forgetting the register filings: They are Registry fees every company pays.
  • Letting the annual fee lapse: Penalties of 10%, then 50%, then strike-off and restoration fees.
  • Leaving the bank to the end: A traditional bank's deposit can cost more than the company.

Talk to Us About Your BVI Company Budget

Not sure what your company will really cost? Tell us what it will do and who owns it.

  • Budget by profile: Holding, trading or joint venture, priced for three years.
  • Share count checked: The structure that keeps the yearly fee at US$550.
  • Banking costs compared: Partner plan against a traditional bank's deposit.
  • Home tax flagged: Questions for your adviser raised before formation.
  • Clear pricing: Every fee in writing, from €1,899.

Bottom Line

The BVI company formation cost is lower than most quotes suggest once you separate the Registry's fixed fees from the agent's fees. A simple company costs about US$2,500 to US$4,500 in its first year and about US$1,800 to US$4,000 a year after that, with the bank account the biggest variable.

The way to avoid overpaying is to judge every quote over three years, keep the share count at 50,000 or fewer and open the account with a partner rather than a bank that wants a large deposit. We form BVI companies from €1,899 through licensed agents, with the running costs in writing upfront, so the BVI company setup cost and every renewal are known before you start.
