Keeping a BVI company compliant is simple once you know the calendar. Each year the company pays one government fee, files one annual return with its registered agent and one economic substance report, and keeps its registers up to date. Do that, and the company stays in good standing, keeps its bank account and can get a certificate whenever a bank or buyer asks.
The hard part is that the rules changed fast. Since 2023 every company files a BVI company annual return, since 2025 owner and director changes go to the Registry within 30 days, and in 2026 substance filings moved to a new platform. Miss one deadline and penalties start at once.
You do not need to track any of it yourself. Binderr works with licensed registered agents in the BVI, forms your company from €1,899 and keeps every fee, return and report on one calendar. We remind you early, prepare the filings with you and deal with the agent.

BVI Company Filing Requirements in 2026
The BVI company filing requirements come down to five things: the annual fee, the annual return, the economic substance report, the registers and the accounting records. The table shows each one, where it goes and what happens if it is missed.
Obligation | Deadline | Filed with | If it is missed |
|---|---|---|---|
Annual government fee | 31 May or 30 November, depending on when the company was formed | The Registry, through the agent | 10% penalty, then 50%, then strike-off |
Annual return | Within 9 months of the financial year end | The registered agent | US$300, then US$200 a month, up to US$5,000 |
Economic substance report | Within 6 months of each financial period end | The International Tax Authority, through the agent | Fines from US$5,000 |
Register of members, directors and beneficial owners | Within 30 days of any change | The Registry, through the agent | Monthly penalties from US$200, then strike-off |
Accounting records | Kept for at least 5 years | Kept by the company, address given to the agent | Fines and loss of good standing |
What Every Company Does Each Year
Every ordinary BVI business company pays the annual fee, renews its registered agent and office, files its annual return and files its substance report. Most of the work is in the BVI company annual return, because it needs a balance sheet and a profit and loss statement. The rest is mostly forms and payments the agent handles once you have confirmed the facts.
What Changed Since 2023
The annual return started with financial years beginning on or after 1 January 2023. The register of members and beneficial ownership filings followed on 2 January 2025, with a 10% ownership threshold and a 30-day deadline for changes. In February 2026 economic substance filings moved to VIRRGIN, the Registry's online system, and no substance filing fees apply for 2026. Read about BVI company law changes and regulatory updates.
Keep Your BVI Company Compliant With Us
Every deadline is easy to meet when someone else is watching the calendar. This is what we handle for you.
- One calendar: Annual fee, annual return and substance report tracked.
- Early reminders: Weeks before each deadline, not the day after.
- Annual return prepared: The balance sheet and profit and loss built with you.
- Registers kept current: Changes filed within 30 days.
- Agent handled: We deal with the registered agent for you.
- Good standing protected: Certificates ready when your bank asks.
Who Is Exempt From Some Filings
A few groups do not file the BVI company annual return with their agent: companies listed on a recognised stock exchange, companies regulated under BVI financial services laws that file financial statements with the Financial Services Commission, companies that file a tax return with financial statements to the Inland Revenue, and companies in liquidation. Every company still pays the annual fee, keeps its registers current and files a substance report.
BVI Company Annual Fee
The BVI company annual fee is the government fee that keeps the company on the register. It is set by law, paid through the registered agent and the same whoever your agent is.
How Much It Is
The annual fee is US$550 for a company authorised to issue up to 50,000 shares and US$1,350 for a company authorised to issue more. Most companies are set up with 50,000 shares or fewer for exactly this reason. The fee has not changed since 1 January 2023.
When It Is Due
Companies formed from 1 January to 30 June pay by 31 May each year. Companies formed from 1 July to 31 December pay by 30 November. The first annual fee falls due in the year after incorporation, because the incorporation fee covers the first year.
Late Payment
Paying within two months after the due date adds a 10% penalty. Paying later than that adds 50%. A company that still does not pay can be struck off, and since 2023 it is dissolved at the same moment, so the BVI company annual fee is the one payment never to miss.
The BVI Company Renewal Fee Charged by Your Agent
On top of the government fee, the registered agent charges its own yearly fee for acting as agent and providing the registered office. This BVI company renewal fee is usually about US$500 to US$1,500, depending on the agent and what is included. It usually falls on the anniversary of incorporation. Ask for it in writing before you form the company, because it is the cost that differs most between providers.

BVI Company Annual Return
The BVI company annual return is a short financial filing every company makes with its registered agent each year. It came in with the BVI Business Companies (Amendment) Act 2022 and has applied since 1 January 2023.
Do BVI Companies File Annual Returns?
Yes. All BVI companies file annual returns unless they fall into one of the exempt groups: listed companies, regulated companies that file with the Commission, companies that file a tax return with financial statements, and companies in liquidation. The first returns covered financial years starting in 2023, and Industry Circular 26 of 2025 confirmed that the extension for initial returns of calendar-year companies ended on 30 June 2025.
What the Return Contains
The BVI company annual return is a basic balance sheet and profit and loss statement, not full audited accounts. It covers:
- Assets: Cash, loans, investments, fixed and intangible assets.
- Liabilities: Amounts owed, long-term debts and other liabilities.
- Equity: The shareholders' equity in the company.
- Income: Revenue, cost of sales and gross profit.
- Expenses and result: Total expenses and the net income or loss.
The Deadline
The BVI company annual return is due within 9 months of the end of the company's financial year. For a company with a 31 December year end, that is 30 September of the following year. The agent must report any company that has not filed to the Registrar within 30 days after the deadline.
Late Filing Penalties
A late return costs US$300 for the first month or part of a month, then US$200 for each further month, up to US$5,000 in total. A company that reaches the maximum and still does not file can be struck off. The penalty is small next to the cost of a lost bank account, which is what usually follows.
Who Sees It
The BVI company annual return is not public. The agent holds it and does not send it to the Registry or the Commission unless they ask for it. It exists so that the authorities can get a company's basic financial position quickly when they need it.
BVI Company Accounts and Records
BVI company accounts are not filed publicly, but the company must keep proper records behind them. The annual return is only as good as the records it comes from.
What Records to Keep
The company must keep records that show and explain its transactions and that let anyone work out its financial position with reasonable accuracy at any time. That means bank statements, invoices, contracts and a simple ledger, plus the minutes and resolutions of its directors and members.
Where the Records Are Kept
Records can be kept at the registered office or anywhere else in the world. If they are kept elsewhere, the company must give its agent the physical address and the name of the person who keeps them. The records must be kept for at least 5 years.
BVI Company Financial Statement Requirements
The BVI company financial statement requirements are light for an ordinary company. There is no prescribed accounting standard, no filing of full accounts and no publication. The company prepares what it needs for the annual return and for its own owners, and many prepare simple statements under IFRS or US GAAP because banks and investors ask for them.
BVI Company Audit Requirements
An ordinary BVI business company has no audit requirement unless its own articles or a shareholders' agreement say so. Audits apply to regulated entities: funds, banks, insurers and other licensees file audited financial statements with the Commission. Lenders, investors and banks may ask for audited accounts in their own terms, so check before you sign. The BVI company audit requirements are therefore mostly contractual, not legal, for a private company.

Registers and Beneficial Ownership Filings
Every BVI company keeps three registers and files all three with the Registry: the register of members, the register of directors and its beneficial ownership information. None of them is public.
Changes Within 30 Days
Any change of shareholder, director or beneficial owner must be filed within 30 days. A beneficial owner is anyone who ultimately owns or controls 10% or more of the shares or voting rights. The Registry charges US$75 to file a changed register of members, US$75 for changed beneficial ownership information and US$50 for a changed register of directors.
Penalties for Late Register Filings
A company that files late loses its good standing and pays a penalty for each month the filing is outstanding: US$200 a month for a change to the register of members, up to US$2,400, US$300 a month for the register of directors, up to US$3,600, and US$500 a month for beneficial ownership information, up to US$6,000. A company that stays in breach can be struck off. Tiered administrative penalties of up to US$75,000 apply to other breaches of the ownership rules.
Who Can See the Registers
The Registry, the Commission, law enforcement and the registered agent can see the registers. Since 1 April 2026, a person with a legitimate interest, such as a bank checking a customer, can request details of beneficial owners with 25% or more for US$75, and the company has 5 days to object. Certificates of good standing now carry an expiry date, generally three months, so banks ask for fresh ones.
Economic Substance Reporting
Every BVI company files an economic substance report each year, even if it carries on no relevant activity. The report goes to the registered agent, who files it with the International Tax Authority.
Who Must Meet the Test
Only a company that carries on a relevant activity must show substance in the BVI. The activities are banking, insurance, fund management, finance and leasing, headquarters, shipping, distribution and service centre, intellectual property and holding business. A company with no relevant activity, or one that is tax resident in another country that is not on the EU blacklist, files a short report and nothing more.
Pure Equity Holding Companies
A company that only holds shares and earns dividends and gains meets a reduced test. It must keep its filings current and have adequate people and premises for holding the shares, which the registered agent usually provides. Read about BVI economic substance requirements for holding companies.
Deadlines and the New Platform
The report is due within 6 months of the end of each financial period. Filings moved to VIRRGIN in February 2026, no filing fees apply for 2026 and a new fee regime starts with 2027 filings. On 13 July 2026 the International Tax Authority extended filings for financial periods ending in June and December 2025 until the new platform is ready, so confirm the current date with your agent.
Penalties
A company that fails the substance test can be fined up to US$20,000 for the first year and up to US$200,000 after that, or US$50,000 and US$400,000 for high-risk intellectual property companies. Giving false information carries a fine of up to US$75,000. Persistent failure can lead to strike-off.

What Happens If You Miss a Deadline
Each missed deadline has its own penalty, and they add up. The bigger risk is losing good standing, because a company without it cannot get a certificate of good standing for its bank, its buyers or its lenders.
What was missed | First consequence | If it continues |
|---|---|---|
Annual fee | 10% penalty within two months, then 50% | Strike-off and dissolution |
Annual return | US$300, then US$200 a month | Up to US$5,000, then possible strike-off |
Register or ownership change | Loss of good standing, from US$200 a month | Up to US$6,000, then strike-off |
Substance report or test | Fines from US$5,000 | Up to US$200,000 or US$400,000, then strike-off |
Strike-Off and Restoration
Since 2023 a company struck off the register is dissolved at the same time. It can be restored within 5 years, for US$700 in the first 12 months and US$1,600 after that, plus every fee and penalty owed. A restored company must file its registers and beneficial ownership information before or within 14 days of restoration, or it is dissolved again. Read how to strike off or restore a BVI company.
BVI Company Formation From €1,899
Start with a company that is set up to stay compliant. This is what the price includes.
- Licensed agent filing: Through VIRRGIN, with the Registry fee included.
- KYC review: One clean file for every owner and director.
- Registers filed: Within the 30-day deadline.
- Calendar from day one: Every yearly deadline recorded.
- Year two quoted: The renewal and filings in writing upfront.
Other BVI Company Compliance Obligations
The yearly filings are the main BVI company compliance obligations, but a few others apply all the time.
- A registered agent and office: Licensed, in the BVI, at all times.
- Know your customer updates: The agent re-checks owners and directors periodically.
- Minutes and resolutions: Kept with the company's records.
- A trade licence: Only if the company does business in the BVI itself.
- Payroll tax and social security: Only for staff working in the BVI.
- Tax reporting at home: Owners report under their own country's rules.
- CRS and FATCA: Only for companies that are financial institutions.
To change your registered agent, the company passes a resolution and the new agent files a notice once it has completed its own checks. Read about BVI registered agent rules and how to change one.
Why Compliance Matters to Your Bank
Banks check a BVI company at opening and at every review. They ask for a recent certificate of good standing, the registers and sometimes the annual return. A company that is behind on its fee or filings is often frozen or closed.
Keep the Bank File Current
Tell your bank or payment provider about changes of owner, director or activity, and send fresh certificates when asked. A company that keeps its BVI company compliance obligations current rarely has trouble at review.
A Faster Route Through Our Banking Partners
Our banking partners are licensed electronic money institutions that open multi-currency accounts for BVI companies owned from abroad, usually within days of a complete file, with no large deposit. A company in good standing with its filings done is the easiest file to open. Read about BVI offshore banking for companies.

When You Need More Than the Basics
Some companies have extra filings on top of the standard calendar, and stricter BVI company audit requirements. Plan for them from the start.
- Regulated funds and licensees: Audited accounts and returns to the Commission.
- Companies with a relevant activity: Real substance in the BVI, not just a report.
- Companies doing business in the BVI: A trade licence and local tax filings.
- Groups above €750 million revenue: Global minimum tax reporting.
- Segregated portfolio companies: Commission approval and its ongoing conditions.
Common Mistakes With BVI Company Filing Requirements
Most penalties come from forgetting, not from hard rules.
- Treating the company as dormant: Even a dormant company files a return and a report.
- Missing the fee date: It is 31 May or 30 November, not the anniversary.
- Filing changes late: Owners and directors must be filed within 30 days.
- Keeping no records: The annual return has to come from somewhere.
- Ignoring the agent's emails: The agent reports non-filers to the Registrar.
- Letting the company lapse: Restoration costs far more than the fee.
Get Help With Your BVI Company Filings
Behind on a filing, or not sure what your company owes? Tell us where it stands.
- Status checked: Fees, returns, reports and registers reviewed.
- Gaps fixed: Late filings prepared with the agent.
- Penalties explained: What is owed and how to stop it growing.
- Restoration help: Struck-off companies brought back.
- Clear pricing: Every fee in writing before we start.
Bottom Line
The BVI company filing requirements are light but strict. Each year the company pays its annual fee by 31 May or 30 November, files a BVI company annual return with its agent within 9 months of its year end, files a substance report within 6 months and files any register change within 30 days. Ordinary companies have no BVI company audit requirements beyond their own contracts, and nothing is published.
The cost of staying compliant is usually about US$1,800 to US$4,000 a year for a simple company, and the cost of falling behind is much higher. We form BVI companies from €1,899 through licensed agents and keep every deadline on one calendar. Read our BVI company formation guide.
