Owners and Directors Anywhere

One director and one shareholder are enough, of any nationality and living anywhere. Directors and shareholders can be individuals or companies, and there is no minimum share capital.

Flexible Dividends and Restructuring

A BVI company can pay dividends whenever it passes a solvency test, not only out of profits. It can merge, continue to another country or change its share structure with filings made by its agent.

Private Registers

The register of members and the beneficial ownership information are filed with the Registry, but neither is open to the public. That is privacy, not secrecy: the regulator and law enforcement can see them, and since April 2026 people with a legitimate anti-money laundering interest can apply for beneficial ownership details.

British Virgin Islands Company Registration at the Registry

British Virgin Islands company registration happens at the Registry of Corporate Affairs, part of the BVI Financial Services Commission. The Registry of Corporate Affairs

The Registrar of Corporate Affairs keeps the register of BVI companies, collects the incorporation and annual fees, issues certificates and strikes off companies that stop paying. It also holds the filed registers of members, directors and beneficial owners, and publishes how many companies are registered in the British Virgin Islands each quarter: 354,015 were active at 30 June 2026.

VIRRGIN, the Online Registry

Every filing goes through VIRRGIN, the Registry's online system. The agent files the memorandum and articles, pays the fee and receives the certificate electronically, so nobody needs to be in the islands for BVI company registration.

Only a Licensed Agent Can File

A company can only be registered through a registered agent licensed by the Financial Services Commission. The agent checks every owner and director before filing and becomes the company's registered agent and office afterwards. Types of Company You Can Register in the BVI

Most founders register a company limited by shares. The other types exist for specific uses, and some need regulatory approval before registration. Read more on the types of BVI companies.

Company Limited by Shares

The standard BVI business company, used for holding, trading, joint ventures and investment. Owners hold shares, and their liability is limited to what they paid or agreed to pay for them.

Company Limited by Guarantee

Members promise to contribute a set amount if the company is wound up. It suits non-profit, club and some family uses, with or without shares.

Segregated Portfolio Company

Restricted Purposes Company

Requirements to Register a Company in the BVI

The requirements to register a company in the BVI are short, and every one of them can be met from abroad.

Registered Agent and Registered Office

The company must have a licensed registered agent and a registered office in the BVI at all times. The agent provides both, and changing agent later is a filed process, not a new registration.

Directors and Shareholders

At least one shareholder at registration and at least one director appointed by the agent after it, individuals or companies, of any nationality. The register of directors is filed with the Registry too.

Company Name

The name must not match one already on the register and must end with Limited, Corporation, Incorporated, Société Anonyme or Sociedad Anónima, or an abbreviation such as Ltd, Corp, Inc or SA. Memorandum and Articles

The memorandum sets out the name, type, registered agent and office and the shares the company can issue. The articles set out how it is run. The agent prepares both from standard forms and adds any special rights your structure needs.

Authorised Shares and the 50,000 Threshold

A company authorised to issue up to 50,000 shares pays a US$550 fee at registration and every year. Above that, the fee is US$1,350. Most companies stay at or below 50,000 shares.

What the BVI Registry Shows the Public

A BVI registered company is on a public register, but only its basic details are open. The owners are not.

A Registry search report shows the company name and number, previous names, company type, date of registration, status, registered agent and registered office, and the history of filed documents. What Stays Private

The register of members and the beneficial ownership information are filed with the Registry but are not public. Beneficial owners are recorded from a 10% threshold.

Legitimate Interest Access From April 2026

Since April 2026, a person with a legitimate interest, such as a bank or firm carrying out anti-money laundering checks, can apply to see beneficial ownership information for US$75 a request. The Registrar aims to process requests within 12 business days, and they show owners holding 25% or more.

Keeping a BVI Registered Company in Good Standing

Annual Government Fee

Companies registered from January to June pay by 31 May each year, and those registered from July to December by 30 November. Late payment adds 10% and then 50%, and a company that stays unpaid is struck off and later dissolved. Restoration costs US$700 within 12 months of strike-off and US$1,600 after. Register and Ownership Updates

Changes to the members or the beneficial owners are filed within 30 days. Late beneficial ownership filings cost US$600, rising to US$800.

Annual Financial Return

Most companies file an annual financial return with their agent within 9 months of the year end: a simple balance sheet and income statement, not audited accounts. Accounting records are kept for at least 5 years.

Economic Substance Report

Every company reports its economic substance position to its agent within 6 months of each financial period end. Companies with relevant activities, such as holding or finance business, meet a substance test. On 13 July 2026 the International Tax Authority extended the deadline for June and December 2025 periods while its filing platform is updated.

A BVI registered company needs a bank account before it can trade, receive dividends or pay its costs, and this is where most owners get stuck. BVI banks serve mainly local customers, banks abroad review BVI companies closely since the grey listing, and many ask for large balances.
