Which Act Fits Your Company

The 2006 Act Company

It needs one director, one member and a licensed registered agent. The agent keeps the register of members and handles the annual return. The annual return only covers the agent, the registered office and the directors. There is no audit requirement under company law, although a regulated business or a lender may still ask for audited accounts.

The 1931 Act Company

It needs two individual directors, a company secretary and a registered office on the island. The company prepares annual accounts, and those accounts must be audited unless it qualifies for the audit exemption. A private company that is not a bank or insurer qualifies when all members agree and it meets two of three tests: turnover up to £5.6 million, a balance sheet up to £2.8 million and no more than 50 employees. Public companies must file audited accounts.

Isle of Man LLCs

An Isle of Man limited liability company, formed under the Limited Liability Companies Act 1996, gives its members limited liability and a separate legal personality, but it is taxed like a partnership. The profits are taxed in the hands of the members, not the LLC. Isle of Man Foundations

It must meet its company law duties and have adequate people and premises for that limited activity. In practice, a licensed administrator on the island and properly minuted local board meetings usually meet the test.

Penalties for Failing the Test

A company that fails the test faces financial penalties that rise each year it fails, up to £100,000, and it can in the end be struck off. The Isle of Man can also share information with the tax authorities of the company's parent or owners.

Who an Isle of Man Company Is Wrong For

An Isle of Man company is not the right answer for every founder. If the lowest possible cost is the priority, a UK company costs far less to form and run. If you need to sell into the EU as an EU company, the Isle of Man is outside the EU, so Ireland, Malta or Cyprus fit better.
