Check a Name Before You Form a Company

A founder looks at the register before settling on a name. The Registry refuses a name that is the same as, or too close to, a name already registered on the island, so a quick check at the start saves a refused filing later.

Who Runs the Isle of Man Companies Registry

The Isle of Man Companies Registry is part of the Central Registry, a government office that sits under the Department for Enterprise. The Registrar General leads the Central Registry and signs its formal notices. The Registry works from the Registries Building on Deemsters Walk in Douglas.

The Department for Enterprise and the Central Registry

The Central Registry also holds land titles, deeds and records of births, marriages and deaths, and it approves company and business names. The Companies Registry is the part that incorporates and dissolves companies, keeps their details and makes the public part available to anyone.

The Registry is separate from the Isle of Man Financial Services Authority, which licenses the corporate service providers who act as registered agents. The Authority also supervises how firms follow the island's anti-money laundering rules and oversees compliance with the beneficial ownership law.

The Registers the Registry Keeps

The Registry runs separate registers for 1931 Act companies, 2006 Act companies, limited liability companies, Isle of Man foundations, limited partnerships, foreign companies, business names and industrial societies. It also holds the Isle of Man Database of Beneficial Ownership, which is not public. Each register has its own law, fees and filing rules, but one online search covers them all.

Who Can File With the Registry

The Central Registry describes itself as moving from a passive store of data to an active gatekeeper. New powers let it verify what companies file, including ownership information, and a data assurance team now does that work, so filings that do not add up get questioned.

How to Search the Isle of Man Companies Registry

To search the Isle of Man Companies Registry, open the Company Search on the government's Online Services site, choose to search by company name or company number, and open the result you need. The search and the company record are free. You only need an Online Services account when you want to buy documents.

Go to the Companies Registry pages on the Isle of Man Government website and follow the link to find company information. The page offers two options, Company Name and Company Number, and one box for your search text.

Search by Company Name

Type the full name or its main words. The results list every match across all the registers, including dissolved companies, ceased business names and names a company used in the past. Groups often register several companies with almost the same name, so do not assume the first match is the right one.

Search by Company Number

The number is unique to one registration, so a number search is the fastest and safest route. Use it whenever an invoice, a contract, a letterhead or an email footer gives the number, which island companies must show on their correspondence.

Read the Results List

Each result shows the name, number, incorporation date, status, register and name status. The name status reads Current or Previous, so an old contract that uses an earlier name still leads you to the right record. Open the line that matches both the name and the number you were given.

Buy Documents With an Online Services Account

From the record, open the list of filed documents, each shown with its type and the date it was received. To buy a copy you log in with an Online Services account and pay online. Bought documents only stay in your account for a limited time, so download them straight away.

Every entry on the Isle of Man company register has a number made of six digits and a letter. The letter tells you which register the entity sits on, so you know at a glance whether a company follows the 1931 Act or the 2006 Act. Always match both the digits and the letter.

The letter matters because the two company laws produce different records: a C company's annual return lists its shareholders, while a V company names its licensed agent on the free record.

How 1931 Act and 2006 Act Numbers Differ

Companies That Changed Act

A 1931 Act company can re-register under the 2006 Act, and it then appears on the 2006 Act register with a V number. The old C record can remain in the results with a Dissolved status. The Isle of Man Steam Packet Company shows this well: its 1931 Act record, 000073C, reads Dissolved, while its 2006 Act record, 002092V, is Live and keeps the original incorporation date of 3 March 1885.

So a Dissolved result is not always the end of the story. Check the other register for a live record with the same name and date, and always put the full number, letter included, in your contracts and KYB files.

The free page answers the first question: is this a real, live company at this address. One £2 document adds the directors, and for a 1931 Act company the same annual return adds the shareholders. The owners of a 2006 Act company never come from the register, which is the gap most guides do not mention.

What You Pay £2 For

Each filed document costs £2 and the full company file costs £15. The list usually includes annual returns, changes in the register of directors, particulars of charges, memoranda of satisfaction and notices about the nominated officer. The latest annual return is the best single buy, because it gives the current directors in one page.

Shareholders on 1931 Act and 2006 Act Companies

A 1931 Act company files a fuller annual return that lists its share capital, shareholders, directors and secretary, so a £2 copy shows who holds the shares. A 2006 Act company's return covers its agent, registered office and directors only. Its register of members stays with the registered agent and is not filed with the Registry.

What the Register Does Not Show

Private companies under either Act do not file accounts, so you will not find a balance sheet or a profit figure. The beneficial owners are not shown either. This is very different from a Companies House search in the UK, where filed accounts are public. For ownership and financial detail, you ask the company or its agent.

For most checks the £2 annual return is enough. Pay for a certificate only when a bank, a notary or a foreign authority asks for one, and ask first which type and how recent it must be.

Certificates of Good Standing and Certificates of Fact

A Certificate of Good Standing is issued only for 2006 Act companies. It shows the company's core details and registered agent, and confirms there is no winding up, dissolution, receiver or strike-off action under way. Every other company type gets a Certificate of Fact, which lists the current officers and any charges, with shareholder details added on request.

The Isle of Man Beneficial Ownership Database

The Isle of Man Database of Beneficial Ownership records who ultimately owns or controls each company, but it is not public. Company searches never show it. Law enforcement and the authorities can use it, and since 31 December 2024 regulated firms can request details for their own customer due diligence.

Who Files and When

Under the Beneficial Ownership Act 2017, every company appoints a nominated officer, who reports each registrable beneficial owner to the database. A registrable owner is any person who owns or controls 25% or more of the company, directly or indirectly. Our guide to ultimate beneficial owners explains how indirect ownership is traced.

The officer files within 21 days of being told, and changes follow the same 21-day clock. The company and the officer confirm compliance each year by the annual return date. Since the Beneficial Ownership Information Regulations 2026, a company where no one meets the test reports its Senior Managing Official instead, who is not treated as a beneficial owner.

How Regulated Firms Request Owner Details

An obliged entity, meaning a business inside the island's anti-money laundering regime, registers on form OE1 and names up to 5 people who may make requests. Each request goes in on form OE3 and costs £50, and an annual subscription with unlimited requests costs £30,000. That is how a bank carrying out UBO verification for a business bank account can confirm the owners of an island company.

The reply comes as an encrypted PDF. It gives each owner's full name, date of birth, country of residence, nationality, residential address, the size and nature of their interest and the date they acquired it.

Discrepancies and Misuse

A firm that knows or suspects an entry is materially wrong must tell the Central Registry within one week on form OE4. Failing to report it, or using the data for anything other than customer due diligence, is an offence.

Using an Isle of Man Company Register Search for KYB

An Isle of Man company register search is the first step in any KYB file on an island company. It proves the company exists and is live, and a £2 annual return names the directors. A proper corporate registry check then adds ownership documents from the company, because the register alone never shows who owns a 2006 Act company.

What to Check on the Record

Start with the status, then the liquidation and receiver lines. Match the exact name and the full number, letter included, to the contract or application. Compare the registered office with the address you were given, and on a 2006 Act company check that a licensed agent is named.

Where the Register Stops

For owners, ask the company for its register of members, a signed ownership structure chart and identity documents for each owner. Red Flags in an Isle of Man Company Record

Take care when the name on the contract differs slightly from the register, when the number letter does not match the Act the company claims, or when the registered office is not a real business address. A business address verification check helps with the last point.

Other warning signs are a live company with no annual return for more than a year, a recent change of agent, a charge nobody mentioned and a restoration after strike-off. None of these proves wrongdoing, but each needs a clear answer.

Keeping Your Isle of Man Company Record Up to Date

Every Isle of Man company files an annual return each year and reports certain changes within set deadlines. Most filings now go online, and a return is only treated as registered once the Registry has checked it, so filing early is the safe habit.

The Annual Return and SOLAR

The annual return is a snapshot of the company on the anniversary of its incorporation, and it is due within 1 month of that date whether or not the company trades. Most returns go through SOLAR, the Registry's Simple Online Annual Return service, which started in December 2021. Since April 2025 the Registry's online services also take other company filings and card or BACS payments.

Late Fees and Rejected Documents

An on-time return costs £380, rising to £480 and then £630 when late. A document is not registered until the Registry has checked it for completeness and consistency, so a rejected return can end up late even though it was sent on time.

Changes You Must File

Since 1 April 2025, a 2006 Act company must report new directors within one month, and later changes go on form IM12. A change of nominated officer is reported within 21 days, and ownership changes follow the 21-day rule. Struck-Off and Dissolved Isle of Man Companies

A company that stops filing, loses its agent or stops trading can be struck off the Isle of Man company register, and after a set period it is treated as dissolved. Both can often be reversed, but restoration costs far more than staying compliant, and banks see the status the moment they search.

What Each Status Means

Live means the company is on the register. Struck Off means the Registrar has removed it, usually for missed filings, and it can no longer trade or deal with its assets while its officers and members stay liable. Dissolved means the company has ended, either after a winding up or after a long period off the register. Ceased appears on business names and partnerships that have stopped.

How Strike-Off Starts

For a 2006 Act company, the Registrar sends a notice with a date at least 12 weeks away and publishes the intention to strike it off. For a 1931 Act company, the Registry first writes and allows 2 months for a reply, then publishes a notice giving 2 more months. A company more than 6 months late with its annual return can be treated as no longer in operation.

Restoring a 2006 Act Company

The Registrar can restore a struck-off 2006 Act company on an application made within 6 years, once the fees are paid, a licensed agent has agreed to act and restoration is fair and reasonable. The Registry fee is £1,185, or £1,200 on the other administrative route. After 6 years the company is treated as dissolved, and only the court can restore it, within 12 years.

Restoring a 1931 Act Company

A 1931 Act company is restored through an application under section 273B of the Companies Act 1931, which carries a £1,185 fee. The application is usually made by a former director or a shareholder, and the company must not have been off the register for more than 12 years. Notices go to the directors, secretary and members, and consents are needed from the tax, VAT and legal authorities.

The Department for Enterprise then publishes a notice of the application, as it did for company 122131C on 19 August 2026. If no objection arrives within 30 days, the Department can direct that the company is restored. Missed returns and professional work come on top of the fee, and one published island fee scale starts restoration work at £5,000 plus costs.

How to Check an Isle of Man Company Name

Use the Registry's free name availability check before you pick a name. The Central Registry approves company and business names, and it refuses names that clash with the Isle of Man company register, suggest a licence you do not hold or use restricted words without consent.

Names the Registry Refuses

A name is refused when it is identical to a registered company or business name, or close enough to cause confusion, or when a company struck off or dissolved in the last 5 years used it. Names that suggest a government link or an exaggerated standing are rejected too.

Restricted Words

Words such as Bank and Building Society are restricted, and so are royal words such as Royal, King, Queen, Prince and Windsor. Plan any consent before you file, because a refused name delays the whole formation.

A Clear Result Is Only a Snapshot

The Registry's published fees include no charge for reserving a name, so treat a clear result as a snapshot and file soon after it. Approval of a name also says nothing about trade marks, so check those separately. Common Mistakes With the Isle of Man Companies Registry

Most problems with the Registry come from reading a record too quickly or from treating filings as a once-a-year chore. These are the mistakes we see most often.

Expecting Every Record to Show the Owners

Only a 1931 Act company's annual return lists shareholders. A 2006 Act company's owners are never on the register, so ask for the register of members from the start and make it a condition of the deal.

Matching the Name but Not the Number

Similar names are common inside groups and across the registers. A contract signed with the wrong entity can leave you with no claim against the company that holds the assets. Match the full number, letter included.

Stopping at a Dissolved Result

A company that moved from the 1931 Act to the 2006 Act can leave a dissolved C record behind. Look for a live V record with the same name and date before you decide the company has gone.

Letting the Registered Agent Lapse

Unpaid fees and unanswered KYC requests are the usual reasons an agent resigns, after at least 8 weeks' written notice. Without an agent, a 2006 Act company commits an offence and faces strike-off, so act on any notice from the agent the day it arrives.
