What the Guernsey Registrar of Companies Does
The Guernsey Registrar of Companies incorporates new companies, records every change they file and makes the public part of that information available to anyone. The Registrar is a public office holder under the Companies (Guernsey) Law, 2008, and the Guernsey Registry is the office that does the work day to day.
The Registrar and the Guernsey Registry
The Registry is separate from the Guernsey Financial Services Commission (GFSC), which licenses and supervises financial businesses. The Registry keeps the registers and enforces the filing rules, and any surplus from its fees goes to the States of Guernsey.
Since 2023 the Registrar can also ask a company for information, visit its registered office, share data with other authorities and issue public statements. Companies must keep more records at their registered office than before.
The Registers the Registry Keeps
The Registry holds the register of limited companies, including protected and incorporated cell companies, and separate registers for limited partnerships, limited liability partnerships, Guernsey foundations, charities and non-profit organisations, and recognised auditors. It also keeps the beneficial ownership register, which is private. Trade marks, patents and designs are not handled here; they sit with the Intellectual Property Office.
All of these now run through one Online Services Portal, which asks risk questions on incorporation forms, takes uploaded ownership charts and requires multi-factor authentication to file.
Who Can File With the Registry
Incorporating a company in Guernsey must be done by a corporate service provider with a fiduciary licence from the GFSC, which checks every owner and director first. Most companies then keep the provider as resident agent to file the yearly return and every change. A company with a director living in Guernsey can file for itself, but owners abroad almost always use a provider.
How to Search the Guernsey Registry
You search the Guernsey Registry through its Online Services Portal. You do not need an account or a login to search, and the basic company record is free. You only pay when you order a document, such as a Statement of the Register or a Certificate of Good Standing.
Open the Portal and Choose the Register
Go to the Guernsey Registry website and open the online search. Choose the limited companies register, or the partnership or foundation register if you need one of those. The steps are the same on each.
Search by Name
Type the full name or its main words. The results list every entity that matches, including companies that are no longer active, and groups often use one brand for several companies. Do not assume the first match is the company you want.
Search by Registration Number
The registration number is unique, so a number search goes straight to one record. Use it whenever a contract, an invoice or a certificate shows the number.
Search by Former Name
If a company has changed its name, its record shows the earlier names. This helps when an old agreement uses a name that is no longer current. The Registry also publishes monthly notices of recent name changes.
Read the Record and Order Documents
Open the record and check the registered office, the registration date, the status and the activity code. If you need the directors or proof of good standing, add the document to your basket and pay online. Certified paper copies take longer because they are posted.

What a Guernsey Company Search Shows
A free Guernsey company search confirms that a company exists, where its registered office is, when it was registered, its status and its economic activity code. The directors, proof of good standing and copies of filed documents need a paid document. Shareholders and accounts are not on the register at all.

Read the table this way: the free record answers whether the company is real and active, and one £15 document adds the directors. The ownership and the financial picture never come from the register. You have to get them from the company, which is the point most guides to the register leave out.
What the Free Record Shows
For a quick check on a supplier or a new contact, the free page is usually enough. Read the status first: it tells you whether the company is in normal standing or has been dissolved, and the Registry publishes a short guide to every status type.
What You Need to Pay For
Directors appear on the Statement of the Register. A Certificate of Good Standing confirms the company is up to date with its filings and fees on the day it is issued. Copies of filed documents show the articles, special resolutions, audit waivers and past changes. Banks and foreign registries usually ask for one of these, often certified.
What the Register Does Not Show
Guernsey companies keep their register of members at their registered office, not at the Registry, so a search never shows shareholders. Private companies also do not file accounts. This is very different from a Companies House search in the UK, or from Ireland's Companies Registration Office, where filed accounts and returns are public. In Guernsey you ask the company, or its provider, for ownership and financial information.

For most checks the £15 electronic version is enough. Pay for certification only when a foreign bank, a notary or a court needs it. A copy of a company's entire file costs a single fee of £100.

Most privately owned companies run by a provider pay £525 a year. Cell companies pay the most for their size, because every cell adds to the fee: a protected cell company with 10 cells pays £1,785 a year before any provider fees. The Guernsey Beneficial Ownership Register
The Guernsey Registry keeps a register of the people who ultimately own or control each company, but the register is not public. A normal search will not show who owns a company. Authorities have full access, and since August 2025 regulated firms can request details for their customer due diligence.
Who Files and When
The Beneficial Ownership of Legal Persons (Guernsey) Law, 2017 came into force on 15 August 2017. Every company must tell the Registry who its beneficial owners are, usually through its resident agent, and file any change within 14 days. The resident agent must keep this information complete, so an owner who changes address or sells shares has to tell the agent straight away.
Who Can Access It
Law enforcement, tax authorities and supervisors can see the full register. Under a 2025 Ordinance, obliged entities such as banks, lawyers and corporate service providers can request beneficial ownership details through the Registry portal, but only for their own customer due diligence. That is why a bank running UBO verification for a business bank account can confirm the owners of a Guernsey company even though the public cannot.
The 2026 Legitimate Interest Proposals
On 27 February 2026 the States of Guernsey consulted on access for people with a legitimate interest in fighting financial crime, such as journalists, civil society groups, academics and digital KYC providers. The Registry would handle requests case by case, with no bulk downloads.
The proposed data is the owner's name, month and year of birth, country of residence, nationality and the nature of their interest. Owners at serious risk of violence, intimidation or harm could be exempted. The consultation closed on 10 April 2026 and no start date had been set when this guide was written.

Using a Guernsey Registry Search for KYB Checks
A Guernsey Registry search is the first step in any KYB check on a Guernsey company. It confirms that the company exists and is active, and a paid statement confirms its directors. It does not show who owns the company, so a proper corporate registry check always combines the register with documents from the company itself.
What to Check on the Register
Start with the status: the company should be in normal status. Then match the exact name and registration number to the contract, invoice or application in front of you, because a one-letter difference can mean a different entity. Compare the registered office with the address the company gave you.
Next, compare the directors on the Statement of the Register with the names you were given, and ask for a recent Certificate of Good Standing. For a higher-risk client, order copies of the filed documents to see recent changes of directors, resident agent or name.
Where the Register Stops
For shareholders and beneficial owners, ask the company for its register of members, a signed ownership structure chart and identity documents for each owner. Red Flags in a Guernsey Company Record
Be careful when the name on the contract differs slightly from the register, or when the registered office is not a licensed provider or a real local office. A business address verification check helps here. Directors on the Statement of the Register who were never mentioned to you also need an explanation.
Other warning signs are a recent restoration after strike-off, several changes of resident agent in a short time, and a refusal to share the register of members. None of these proves wrongdoing, but each needs a clear answer.

The Guernsey Register in Numbers
At the end of June 2026 the Guernsey register held 18,951 companies, of which 18,173 were in normal status. The Registry recorded 345 new companies in the second quarter of 2026, up from 334 in the first.

The register is small and stable. Several hundred companies at any time are not in normal status, which is why a name alone is never proof that a company is active. Dissolutions were much higher in the first quarter, which is also the annual validation season, and the Registry handled 33,062 submissions in that quarter against 7,355 in the second.
What the Numbers Show
Guernsey adds more than 300 companies a quarter, and in the second quarter more companies moved to the island than left. Limited partnerships added 107 registrations, which reflects the fund industry, including structures such as a private investment fund in Guernsey.

Keeping Your Guernsey Company Record Up to Date
Every Guernsey company files an annual validation and reports certain changes within set deadlines. From 1 September 2026 the Registry's system raises civil penalties automatically, one for each breach, so the cost of a late filing is higher than it was.
Annual Validation
The annual validation confirms the company's details as at 31 December and pays the yearly fee. The window runs from 1 January to the last day of February. Since January 2026 it also asks whether the company holds high-value assets worth more than £5 million. Companies incorporated in December 2025 were left out of the 2026 round.

The penalties are higher for provider-run companies. A company that still does not file can in the end be struck off, and bringing it back costs £2,500 plus everything owed.
Changes You Must File
Changes of directors, the resident agent and beneficial owners must be filed within 14 days, and a new resident agent must upload proof of the appointment, such as board minutes. Late director filings can cost up to £700. Special resolutions and waiver resolutions, such as an audit waiver, are due within 30 days of being passed.
Automatic Civil Penalties From September 2026
Since 1 September 2026 the system raises penalties automatically for late changes of directors, resident agents and other officials, a late or missing annual validation, late changes to the memorandum or articles and failing to keep a resident agent. Penalties apply to each breach, not each submission, so one late form with three director changes can bring three penalties.

How to Check and Reserve a Guernsey Company Name
The Guernsey Registrar of Companies refuses a name that is the same as a current company, a company that was on the register in the last 10 years or a name that is reserved. Some words also need approval. A search before you apply avoids a refused filing.
Names the Registrar Refuses
Search the register for your preferred name and for close variants. The name must end in Limited, Ltd or an accepted equivalent. A name that is free on the register can still need approval, so check the words as well.
Words That Need Approval
Words such as bank, fund and insurance need approval from the GFSC, because they suggest a regulated business. Names that suggest a royal connection need approval from HM Procureur. Get the approval before the filing, not after it.

Common Mistakes With the Guernsey Registry
Most problems with the Guernsey Registry come from expecting it to work like Companies House, or from treating filings as a once-a-year job.
Expecting to See Shareholders and Accounts
The Registry holds neither. Ask the company for its register of members and its accounts from the start, and make them a condition of the deal.
Trusting a Name Without the Number
Similar names are common, especially inside groups. A contract signed with the wrong entity can leave you without a claim against the company that holds the assets. Always match the registration number, not only the name.
Ignoring the Status
A dissolved company still appears in name results. If you only read the name, you can end up paying a company that no longer exists.
Using an Old Certificate of Good Standing
A certificate shows the position on the day it was issued. Banks usually want a recent one, and a certificate from last year can be rejected. Order a fresh copy close to the date you submit your file.
Filing Changes Late
Director and resident agent changes are due within 14 days, and since September 2026 each late change raises its own automatic penalty. Tell your provider about a change on the day it happens, not at the next annual validation.
