How to Get a BVI VASP Licence for a Crypto Business in 2026

A BVI VASP licence lets a crypto business serve customers from a respected offshore centre with no corporate tax. The law has applied since February 2023, the FSC's fees start at US$5,000 to apply, and its public register lets banks and partners check your status. For exchanges, custodians and brokers that work internationally, it is one of the lower-cost regulated options.

Getting it takes real work. The FSC wants two individual directors, a local authorised representative, an approved auditor, enough capital and more than 40 documents, from the business plan to an independent IT audit. Reviews take three to eight months, and many banks still turn crypto firms away after approval.

We make it simpler. We form the company, prepare the application file with licensed BVI advisers, set up KYC, screening and Travel Rule checks on our own compliance platform, and open an account with a partner that accepts crypto. One team takes you from the first call to go-live.

BVI VASP Licence at a Glance

A BVI VASP licence costs US$5,000 to US$10,000 to apply for and US$7,500 to US$25,000 a year, depending on the category. Strictly, the BVI calls it registration, not a licence. The FSC registers virtual asset service providers under the Virtual Assets Service Providers Act, 2022, and that registration is what the market calls a VASP licence.

Why Get a VASP Licence in the BVI

The BVI gives a crypto business a recognised regulator at a lower cost than most of its competitors. These are the main reasons founders choose it.

A Clear Law and a Public Register

The VASP Act sets out who needs registration, what the FSC checks and what a registered firm must do. Registered firms appear on the FSC's online register, which lists names such as Bitstamp Global Ltd. Banks, exchanges and investors use the register to confirm a firm's status.

Lower Fees Than the Main Rivals

A general VASP pays the FSC US$5,000 to apply and US$7,500 a year. Dubai's regulator charges AED 40,000 to AED 100,000 to apply and AED 80,000 to AED 200,000 a year, and a Cayman trading platform licence starts at about KY$50,000. For a smaller broker or service provider, the BVI is much cheaper to enter.

Get Ready for the FSC Application

We prepare the file with you so the FSC sees a complete application on day one. We never promise approval. We make sure nothing is missing.

  • Readiness review: Your model checked against the VASP Act before you spend.
  • Company formed: Through a licensed registered agent, from €1,899.
  • Application file: Business plan and policies prepared with licensed advisers.
  • Key people lined up: Directors, authorised representative and auditor.
  • AML on our platform: KYC, screening and Travel Rule checks ready to show.
  • Banking alongside: Crypto-friendly partners, started in parallel.

No Corporate Tax

A BVI company pays no corporate income tax, no capital gains tax and no withholding tax on dividends. Trading fees, custody fees and gains on the company's own crypto are not taxed in the BVI. Payroll tax applies only to staff working in the BVI.

Courts That Know Crypto

BVI courts have ruled that crypto-assets are property, granted freezing orders over crypto and allowed service of papers by an NFT sent to an unknown wallet holder. Customers and investors get access to a commercial court with real experience of crypto disputes.

A Familiar Base for Investors

BVI companies are well known to lawyers, funds and exchanges around the world. A registered VASP can sit under a BVI or other holding company next to licensed companies in other markets, which makes later fundraising and acquisitions simpler. Read how to set up a BVI holding company.

Where a BVI VASP Licence Lets You Operate

A BVI VASP licence covers business in or from the BVI. It is not a passport. Each country decides whether a foreign crypto firm may serve its residents, and most major markets have their own licence.

The EU is the clearest example. MiCA transition periods ended by 1 July 2026, so firms serving EU customers now need authorisation in an EU country, and reverse solicitation is read narrowly. The UK applies its crypto promotion rules to overseas firms that market to UK consumers, whether or not they are registered in the UK.

In practice, a BVI-registered firm chooses its markets, blocks customers from countries where it is not allowed to operate and, as it grows, adds licensed companies in the markets it wants. The FSC will ask which countries you plan to serve, and so will your bank.

BVI VASP Licence Types

The FSC registers VASPs in three categories. A firm can hold more than one, and pays the fees for each. A crypto fund is regulated under the Securities and Investment Business Act, not the VASP Act. Read the guide to BVI fund formation.

General VASP

The general category covers the services in the Act where the firm does not run a trading platform or hold customer assets: exchanging crypto for money or for other crypto for customers, transferring crypto for them and providing services linked to another issuer's token sale. It has the lowest fees and the lightest technical checks, but the same AML, Travel Rule and governance rules apply.

Custody

A firm that safekeeps crypto, or holds the keys that control it, for customers needs the custody category. The application must explain the security measures and how client assets are kept apart from the firm's own. The firm must sign a safekeeping agreement with each client setting out terms, access and fees, and it cannot use client assets as security without the client's written consent. Breaking these rules can cost up to US$100,000.

Exchange

A trading platform needs the exchange category, and usually custody as well. Exchanges must not finance clients without approval and disclosure, must not trade against clients to their detriment and must not allow misleading or manipulative trading. The FSC asks for capacity tests, trade records, slippage reviews and daily exception reports. Read how to set up a BVI crypto exchange.

Own Licence

This is the route for any business that exchanges, transfers or holds crypto for its customers. It costs the most and takes the longest, but it gives full control of the business and the customer relationship.

Regulatory Sandbox

The sandbox lets a firm test new technology with real customers under FSC supervision for up to 18 months, with a possible 6-month extension. The firm must have at least two directors, stay within the agreed client limits and tell clients it is not fully licensed. At the end, it applies for full registration or stops.

Partner Route

A business that only provides software, infrastructure or a customer front-end, while a registered VASP does the exchange and custody, may fall outside the Act. The line is thin. If your company touches customer funds or executes trades, it needs its own licence. Get a legal view before relying on this route.

Licensed Elsewhere

A firm focused on EU customers needs MiCA authorisation, and a firm based in Dubai needs VARA. Many groups keep a BVI holding company over those licensed companies and add a BVI VASP for the rest of the world later.

BVI VASP Licensing Requirements

The BVI VASP licensing requirements cover the company, the people, the office, the money, the compliance set-up and the technology. Each one is checked before registration.

The Company

The applicant must be a company or a partnership. Individuals cannot be registered as VASPs. Most applicants are BVI business companies formed for the purpose, often under a holding company. Read the BVI company formation guide, and our guide on how to register a crypto company in the BVI for the company side.

Directors and Senior Officers

A VASP needs at least two directors, both individuals. Corporate directors are not allowed. The FSC may require one director to live in the BVI and be away for no more than 120 days a year. Every director and senior officer needs FSC approval before appointment, and the board as a whole must show the right mix of skills, including crypto, compliance and technology.

Authorised Representative and Office

The VASP must appoint an FSC-approved authorised representative in the BVI, unless it has significant management presence in the islands. The representative is the FSC's local contact. The application must also give a physical address in the BVI. Several licensed firms provide authorised representative services, and they are listed on the FSC register.

Auditor

The VASP must appoint an FSC-approved auditor unless the FSC exempts it, and notify the FSC within 14 days of an appointment. The FSC expects an auditor that understands accounting for crypto. The audited financial statements go to the FSC within six months of the year end.

Capital, Insurance and Deposit

The VASP must hold paid-up capital that fits the nature, size and risk of its business. There is no fixed minimum, but exchanges and custodians need more, and some recent approvals required US$1,000,000. The FSC may also require professional indemnity insurance and a regulatory deposit as conditions of registration.

AML, Compliance and the Travel Rule

The VASP needs an AML/CFT manual, a risk assessment, a compliance officer and an MLRO. The BVI anti-money laundering rules apply to virtual asset transactions of US$1,000 or more, and the applicant must show it can fully comply with the virtual asset transfer rules in the Anti-Money Laundering and Terrorist Financing Code of Practice. Our guides to KYC software for crypto exchanges and PEP and sanctions screening cover the checks the FSC expects, and transaction monitoring covers what happens after onboarding.

Technology and Security

The FSC expects a documented cybersecurity framework, an independent technology audit, system testing results and a business continuity plan. It can require testing and reporting before registration and at any time after.

Can a Foreign Owner Apply and Run It Remotely?

Yes, with limits. There is no nationality rule for owners or directors, and many registered VASPs are run from abroad. But the firm needs an authorised representative in the BVI, a BVI address and possibly a BVI-resident director, and the board must show it really runs the business. Directors who only sign papers will not pass the fit and proper test.

Before You Apply for a Crypto Licence in the BVI

Preparing for a crypto licence in the BVI starts with the FSC's own checklist. Use this list to check the BVI VASP licensing requirements before you file.

  • Activity confirmed: A legal view on which category, or categories, you need.
  • Company ready: Formed, with registers filed and no corporate directors.
  • Board approved in principle: Two individuals with crypto, compliance and technology experience.
  • Representative and auditor: Both engaged and ready to apply for FSC approval.
  • Business plan: Services, customers, markets, projections and a funding plan with real numbers.
  • Capital: Paid-up capital in place, sized for the business model.
  • AML/CFT manual: Written for this business, with the risk assessment and Travel Rule process.
  • Technology: Cybersecurity framework, independent IT audit and test results.
  • Custody: Segregation, record-keeping and safekeeping agreements, if you hold client assets.
  • Policies: Complaints, conflicts, related parties, outsourcing and an orderly wind-down plan.
  • Ownership file: Chart, registers and source of wealth for every owner of 10% or more.
  • Markets chosen: Countries you will serve and countries you will block.

Check Your Crypto Licence Readiness

A short call tells you what is missing before you pay any FSC fee.

  • Gap list: What the FSC will ask for that you do not have yet.
  • Category check: General, custody, exchange or a mix.
  • Board review: Whether your directors are likely to pass.
  • Cost in writing: FSC fees, capital and people costs for year one.
  • Timeline: A realistic plan from company formation to go-live.

How to Get a BVI VASP Licence

The process follows seven stages. The FSC controls the review, so the work you do before filing is what decides the timing.

Talk to the FSC Early

The FSC encourages early contact before a formal application, especially for new or complex models. A short meeting or written query can confirm the category and flag concerns before you spend on the full file.

Form the Company

The registered agent checks the owners and files the company with the Registry of Corporate Affairs. The company is usually formed within days of KYC approval, with two individual directors from the start. Read about BVI registered agent rules.

Appoint the Key People

Engage the authorised representative and the auditor, and confirm the directors and senior officers. Each needs FSC approval, so their applications go in with the main file.

Prepare the File

Write the business plan, the policies and the AML/CFT manual, complete the IT audit and test the systems. This is the longest stage before filing, and it is where most applications succeed or fail.

Submit and Pay

File the application with the FSC and pay the application fee for each category. Giving false or misleading information is an offence and can lead the FSC to refuse this and later applications.

Answer the FSC's Questions

The FSC aims to send first comments within six weeks. Answers are due within 30 days unless the FSC extends the time. Expect more than one round of questions.

Registration and Go-Live

The FSC registers the firm, often with conditions such as minimum capital, insurance or a resident director. The firm pays the registration fee, appears on the public register and can start the business once any pre-launch conditions are met.

Documents Needed for a BVI VASP Licence Application

The FSC guidance lists more than 40 items. They fall into six groups.

Ownership and Control

  • Ownership chart: Every layer, with percentages, up to the individuals at the top.
  • Registers: Members and directors, plus constitutional and trust documents in the chain.
  • Beneficial owners: Identity, address and source of wealth for each.

The Business

  • Business plan: Services, target customers, markets and financial projections.
  • Current activity: Client numbers and volumes, for businesses already operating.
  • Funding: Proof of paid-up capital and a funding and contingency plan.
  • Liquidity: Third-party liquidity agreements, if any.

Governance and Policies

  • Governance: Board make-up, experience and decision making.
  • Risk management: Risk policy, compliance manual and internal controls.
  • Conduct: Complaints, conflicts of interest, related parties and fair marketing.
  • Outsourcing: Agreements and risk assessments for key suppliers.
  • Wind-down: A business cessation plan, often called a living will.

AML and the Travel Rule

  • AML/CFT/PF manual: Customer checks, monitoring, reporting and record keeping.
  • Risk assessment: The firm's own money laundering and terrorist financing risks.
  • Travel Rule: How transfer information is sent, received and checked.

Technology

  • Cybersecurity framework: Controls, data protection and incident response.
  • Independent IT audit: Plus system testing methods and results.
  • Capacity and continuity: Stress tests, outage plans and the business continuity plan.
  • Trading records: For exchanges, trade times and prices, slippage reviews and exception reports.

Custody and People

  • Custody arrangements: Segregation, records and escrow or lock-up terms.
  • Authorised representative: The separate application for FSC approval.
  • Auditor: Details and experience with crypto audits.
  • Declarations: Signed by the applicant and the representative.

Where the Money Really Goes

The FSC fees are fixed and easy to plan. The real budget is people and capital. A board that the FSC will approve, a compliance officer and an MLRO who know crypto, an auditor with crypto experience and an independent IT audit cost more than the fees in most cases. Exchanges and custodians also tie up more capital.

How to Keep the BVI Crypto Licence Cost Down

Apply only for the categories you need now, and add custody or exchange later if the business grows. Use a partner custodian rather than holding client assets yourself if the model allows it. Prepare a complete file, because every round of FSC questions adds adviser time. For the standard company costs, read how much a BVI company costs.

What Slows It Down

Weak policies copied from another firm, directors without crypto experience, a missing IT audit, an unclear custody model and owners whose crypto wealth cannot be traced. A change to the business model during the review also sends parts of the file back to the start.

What Speeds It Up

A complete file, an early conversation with the FSC, a board the FSC can approve, and fast, full answers to every question. Opening the bank account in parallel means the business can go live as soon as it is registered.

Form Your VASP Company First

The company is the first thing the FSC looks at. We set it up so it passes from day one.

  • From €1,899: Formation through a licensed registered agent.
  • Two individual directors: Set up the way the FSC requires.
  • Registers filed: Members, directors and beneficial owners on time.
  • Clean ownership file: Source of wealth traced, including crypto.
  • Holding structure: Room for licensed companies in other markets later.

After the Licence Is Granted

Registration is the start of supervision, not the end of the work. These duties run every year.

Yearly Fees and Accounts

The VASP pays its yearly FSC fee, keeps its authorised representative and auditor in place and sends audited financial statements to the FSC within six months of its year end. The FSC can extend that deadline, up to six months in total. Records must be kept for at least five years.

Changes Need Approval

New directors and senior officers need FSC approval before they start. Material changes to the business must be reported straight away. Buying or selling a significant or controlling interest in a VASP needs the FSC's written approval first, and doing it without approval can cost up to US$60,000.

A Licence Cannot Be Sold

This answers the searches for a BVI VASP licence for sale. The registration belongs to the company and cannot be transferred on its own. What can be sold is the company, and only with FSC approval of the buyer, who is checked like a new applicant.

Advertising and Conduct

A VASP must not publish false or misleading advertising about its services. The FSC can order an advert withdrawn, and the fine for a company can reach US$100,000. Exchanges must also avoid trading against clients and must not allow market manipulation on the platform.

Inspections and Reporting

The FSC can inspect the firm, test its systems and ask for reports at any time. The firm appears on the public register, and the BVI has committed to the OECD Crypto-Asset Reporting Framework, so customer transaction reporting to the International Tax Authority is being added. The ordinary company duties continue too. Read about BVI company annual compliance and filing requirements.

Banking for a Licensed Crypto Company in the BVI

A VASP licence helps with banks, but it does not solve banking. Many banks still refuse crypto firms, and the BVI's grey listing adds checks. Licensed providers that work with crypto are the practical route.

Why Banks Still Say No

Correspondent banks see crypto as higher risk, and smaller banks follow their lead. The FATF has kept the BVI under increased monitoring since June 2025, and the EU has listed it as a high-risk third country since 29 January 2026. Each of these adds questions for a BVI crypto firm, even a registered one. Read about BVI company law changes and regulatory updates for the full timeline.

What They Ask For

Expect to show the registration certificate and any conditions, the AML manual, the expected flow of funds, the main exchanges and liquidity providers, the blockchain analytics you use, the customer countries and the source of the owners' wealth. A file that answers all of this up front opens much faster. Our guide to KYB for crypto companies and Web3 platforms shows how counterparties check a crypto business.

Why BVI VASP Applications Get Refused

The FSC does not publish refusal numbers, but the approval record shows how hard the review is. The Act came into force in February 2023, and the first registrations came in March 2024. Walkers counted 14 registered VASPs in July 2025, and the FSC's figures showed 24 at the end of March 2026. These are the usual reasons files stall or fail.

  • Incomplete file: Missing policies, no IT audit or no Travel Rule process. The FSC's six-month target does not start until the file is complete.
  • The wrong board: Corporate directors, directors with no crypto or compliance experience, or directors who only sign papers.
  • Unclear ownership: Layers of companies with no clear individuals at the top, or source of wealth that cannot be shown. Our guide to the ultimate beneficial owner explains who counts.
  • Weak custody model: No clear segregation of client assets or no safekeeping agreements.
  • Not enough capital: Capital that does not match the risk of the business.
  • Copied policies: An AML manual written for a different firm or a different country.
  • Slow answers: Replies after the 30-day deadline, or answers that do not address the question.
  • False information: Giving the FSC misleading information is an offence and can block future applications too.

BVI vs Cayman, Dubai and Malta for a Crypto Licence

The BVI competes with the Cayman Islands for offshore crypto firms, with Dubai for founders who want to be based where they are licensed, and with Malta and other EU countries, such as Cyprus, for anyone who needs European customers. The BVI is the cheapest of the four to enter for a general VASP. Cayman suits large platforms and funds that want Cayman's fund industry close by. Dubai suits founders who want to live where the business is licensed. Malta suits firms that need an EU passport.

BVI vs Cayman Islands

The Cayman Islands charges a registration application fee of US$1,220 under its Virtual Asset (Service Providers) Act, 2020. Since 1 April 2025, custody providers and trading platforms need a full licence, with application fees starting at about KY$30,000 for custody and KY$50,000 for a trading platform. A Cayman VASP needs at least three directors, one of them independent, against two in the BVI. Read the full comparison of BVI vs Cayman Islands for offshore companies.

BVI vs Dubai

VARA charges AED 40,000 to AED 100,000 to apply and AED 80,000 to AED 200,000 a year, depending on the activity. An exchange needs paid-up capital of AED 800,000 with a VARA-licensed custodian, or AED 1,500,000 without one. The business must be set up in Dubai with a real office, which also gives founders a route to UAE residence. Read about free zone company formation in the UAE.

Who a BVI VASP Licence Is Wrong For

The licence suits international crypto firms that want a recognised regulator at a moderate cost. It is the wrong tool in these cases.

  • EU-focused businesses: Serving EU customers needs MiCA authorisation in an EU country.
  • Businesses that must launch fast: Six months or more of review does not fit a launch next quarter.
  • Projects with no customer activity: Issuing your own token or trading your own money needs no VASP licence. Read how to use a BVI company for token issuance.
  • Teams without a real board: The FSC approves people, and nominee directors do not pass.
  • Firms that need a local BVI bank: Few local banks take crypto, even with a licence.

Common Mistakes When Applying for a BVI VASP Licence

  • Starting before registration: Running a VASP business without registration can cost up to US$100,000 or five years in prison.
  • Applying for the wrong category: An exchange that also holds client crypto needs custody too, and pays both fees.
  • Forming the company with a corporate director: The board has to be changed before the FSC will accept the file.
  • Leaving the auditor and representative to the end: Both need FSC approval, so a late appointment delays the whole file.
  • Using a template AML manual: The FSC reads it against your business, and generic text shows.
  • Treating the licence as a passport: It covers the BVI only, so plan the markets you will serve and block the rest.
  • Ignoring the bank until approval: Start the banking file during the review, not after it.

Talk to Us About Your BVI VASP Licence

Tell us what you want to build. We tell you what the FSC will need, what it will cost and how long it will take.

  • Honest first view: Whether you need a licence, and which category.
  • Full first-year budget: FSC fees, capital and people, in writing.
  • One team: Company, application file, AML set-up and banking together.
  • Licensed advisers: BVI specialists on the application file.
  • No guarantee games: The FSC decides. We make sure the file is complete.

Bottom Line

A BVI VASP licence is a registration with the FSC under the Virtual Assets Service Providers Act, 2022. It costs US$5,000 to US$10,000 to apply for and US$7,500 to US$25,000 a year per category, with no corporate tax on the profits. For international exchanges, custodians and brokers, it is one of the lower-cost recognised regulators.

The fees are the easy part. The FSC checks the company, the board, the authorised representative, the auditor, the capital, the AML set-up and the technology, and its six-month target only starts with a complete file. Plan for six to nine months from the first call to go-live, and for people and capital costs well above the fees.

It does not open other markets. EU, UK, US, Dubai, Singapore and Hong Kong customers each need a local licence or registration. And banking still needs care, because the grey listing and the crypto label both add checks.

Start with the activity and the board, write the file for your business, and open the banking file at the same time as the application.
