How to Set Up a BVI Fund in 2026

How to Set Up a BVI Fund in 2026

A BVI fund gives a manager a regulated investment vehicle with no tax at fund level in the islands, a regime that investors and administrators know well, and fund types that start small and scale. It is very doable from abroad, and the BVI has fund routes for everything from a first-time manager with a few investors to a professional fund with hundreds.

The work is in the setup. Each fund type has its own investor limits and service providers, the Financial Services Commission must recognise or approve the fund, and banks review fund structures closely since the FATF grey listing of June 2025. Picking the wrong type early means restructuring later.

Binderr makes the setup simple. We help you choose the fund type, form the BVI company or partnership behind it from €1,899, work alongside your fund lawyers and administrator, and open the accounts with partners used to complex structures. One team keeps the whole launch moving.

Why Set Up a BVI Fund

The BVI is one of the largest offshore fund centres, and its fund rules are built to let managers launch quickly without cutting investor protection. These are the reasons managers choose it.

No Tax at Fund Level

A fund in the BVI pays no corporate income tax, capital gains tax or withholding tax in the islands, and distributions to investors leave with nothing withheld. Investors are taxed at home under their own rules.

Fast Routes for Small Funds

Incubator and approved funds can start business two business days after the Financial Services Commission receives a complete application, which makes the BVI one of the quickest places to launch a small fund.

Set Up a BVI Fund

Setting up a BVI fund is very doable when the vehicle, the documents and the bank are planned together. This is the part we handle.

  • Fund type matched: private, professional, incubator or approved fund chosen with you.
  • Vehicle formed: the BVI company or partnership behind the fund, from €1,899.
  • Built for non-residents: no visa, no residence and no trip to the islands.
  • Business banking: accounts with partners used to funds and complex structures.
  • One point of contact: from the first call to launch.

A Regime Managers and Administrators Know

The Securities and Investment Business Act 2010 and its regulations are familiar to international administrators, auditors and law firms, so service providers are easy to find and investors recognise the structure.

Flexible Vehicles

A BVI fund can be a company, a limited partnership, a segregated portfolio company or a unit trust, and it can sit in a master-feeder structure with funds in other countries.

Types of BVI Funds

The types of BVI funds split into open-ended funds, where investors can redeem, and closed-ended funds, where they cannot. Each has its own investor limits and approval route. Read how to set up a BVI private fund for the private, incubator and approved routes in detail.

Private Fund

An open-ended fund with no more than 50 investors, or one that only invites investors on a private basis. It must be recognised by the Financial Services Commission.

Professional Fund

An open-ended fund for professional investors only, with a minimum initial investment of US$100,000 per investor, except exempted investors such as the manager. A professional investor is a person whose business involves investments like the fund's, or an individual with net worth above US$1,000,000 alone or with a spouse. There is no limit on the number of investors, which makes it the usual choice for hedge funds.

Public Fund

An open-ended fund that can be offered to anyone, with a registered prospectus and much heavier regulation. Few managers use it.

Private Investment Fund

A closed-ended fund, such as a private equity, venture capital or real estate fund, with no more than 50 investors, a private offer only, or professional investors only. Closed-ended funds must be recognised as private investment funds.

Incubator Fund

A fund for new managers testing a strategy, with no more than 20 investors, net assets up to US$20 million and a life of two years, extendable by 12 months. It can start two business days after a complete application and does not need an administrator. At the end, it converts into another fund type or winds down.

Approved Fund

A small fund with no more than 20 investors and net assets up to US$100 million, with no time limit. It must have an administrator, but no audit, manager or custodian is required. It can also start two business days after a complete application.

BVI Fund for Non-Residents

A BVI fund for non-residents is the normal case, and a BVI fund for non-residents runs exactly like one managed from the islands. Managers, directors and investors are almost always outside the islands, and the fund keeps its BVI presence through the registered agent and the authorised representative.

Where the Manager Is Licensed

The manager may need a licence or registration where it is based, and marketing the fund to investors in the EU, the UK or the US has its own rules. Plan the marketing route with your lawyers before the first investor call. Crypto funds and managers should also read how to register a crypto company in the BVI.

Directors and Decisions

At least one director must be an individual, and many funds appoint an independent director with fund experience. Where the board meets can matter for tax, so it is planned upfront. Read our guide to setting up a company as a non-resident.

Set Up a Fund in the BVI From Abroad

Fund sponsors are rarely in the BVI, and nothing in the process needs them to be.

  • Remote setup: documents certified where you live, filed online.
  • Vehicle ready first: the company or partnership formed while the documents are drafted.
  • One KYC pack: the same file for the agent and the bank.
  • Fund type matched: the category chosen around your investors.
  • Deadlines tracked: registers, fees and returns on our calendar.

BVI Fund Structure

The BVI fund structure starts with the legal vehicle, and the right one depends on how investors come in and out. Most BVI fund structures use one of these four. Read about registering a BVI investment fund for the regulatory filings.

BVI Business Company

The usual vehicle for open-ended hedge funds, formed like any other BVI company. Read our guide to BVI company formation. Investors hold redeemable shares, and the company pays a Registry fee of US$550 a year for up to 50,000 authorised shares.

Limited Partnership

The usual vehicle for closed-ended private equity and venture capital funds, under the Limited Partnership Act 2017. A general partner runs the fund and investors are limited partners. The annual fee is US$750.

Segregated Portfolio Company

One company with separate portfolios, each with its own assets and liabilities, used for platforms that run several strategies. It needs approval from the Financial Services Commission. Read how a BVI segregated portfolio company works.

Master-Feeder Structures

A BVI master fund often sits under feeder funds for different investor groups, such as a US feeder and an offshore feeder, so the strategy runs in one place. Single-deal vehicles use an SPV instead; read how to open a bank account for a BVI SPV.

BVI Fund Requirements

The BVI fund requirements for private and professional funds are set out in the fund regulations. Incubator and approved funds have lighter rules, which is why new managers often start with them before meeting the full requirements for a BVI fund.

Directors

At least two directors, at least one of them an individual. Many funds add an independent director.

Investment Manager

A manager is required unless the Commission grants an exemption. The manager may need its own licence where it is based.

Administrator

An administrator is required, with no exemption. It calculates the net asset value, keeps the investor register and handles subscriptions and redemptions.

Custodian and Auditor

A custodian and an auditor are required unless the Commission grants an exemption. The auditor signs off the yearly financial statements.

MLRO and Authorised Representative

Every fund appoints a suitably qualified money laundering reporting officer and a BVI licensed authorised representative, who deals with the Commission and keeps prescribed records in the islands.

How to Set Up a BVI Fund

This is how to set up a BVI fund with us and your fund lawyers, in the order that avoids delays. Knowing how to set up a fund in the BVI is mostly about sequence: type, vehicle, providers, documents, application and bank.

Choose the Fund Type

The investors, their number, the minimum investment and whether they can redeem decide the fund type. Our guide to the types of BVI funds above sets out the limits. A first-time manager with a few investors often starts as an incubator or approved fund.

Form the Vehicle

We form the BVI business company or limited partnership that will be the fund, through a licensed registered agent, with the share classes or partnership terms the fund needs. Read our BVI company registration guide for the Registry side.

Appoint the Service Providers

The administrator, auditor, custodian, directors, MLRO and authorised representative are appointed. Each runs its own KYC on the manager and the owners. Compare the best BVI company formation agents, several of which also act for funds.

Prepare the Offering Documents

Fund lawyers draft the offering memorandum, subscription documents and the fund's constitution, with the investment strategy, fees, redemption terms and risk factors.

Apply to the Financial Services Commission

The application goes to the Commission for recognition or approval, with the documents and the service provider details. Incubator and approved funds can start two business days after a complete application.

Open the Accounts and Launch

The fund's accounts are opened, the first investors subscribe and the fund starts trading. Banking takes the longest, so we start it alongside the formation.

Full-Service BVI Fund Setup

Every step above runs in order with you and your fund lawyers, so nothing waits on anything else.

  • Fund type matched: the category chosen around your investors.
  • Vehicle formed: the company or partnership, from €1,899.
  • Providers in order: administrator, auditor and MLRO in place before the application.
  • One KYC pack: the same file for the agent and the bank.
  • Accounts started early: opened alongside the formation.

BVI Fund Administration and Yearly Filings

BVI fund administration runs through the administrator, but the yearly deadlines fall on the fund. A good BVI fund administrator tracks these dates with the directors.

Investment fund business is not a relevant activity under the economic substance rules, so the fund itself does not meet a substance test. Its manager may, if it carries on fund management business in the BVI. Read about BVI company tax rates and reporting requirements and BVI company annual compliance and filing requirements.

Anti-Money Laundering Duties

A fund is a regulated person under the BVI anti-money laundering rules. Its MLRO reports suspicious activity, the administrator checks every investor's identity and source of funds, and the fund keeps its records for at least 5 years. A clean investor onboarding process is what regulators and banks look at first.

Cost of Setting Up a BVI Fund

The cost of setting up a BVI fund depends mostly on the fund type and the service providers. Government fees are a small part of it. With Binderr, the BVI company behind the fund starts from €1,899.

Plan Your BVI Fund Setup Cost

Fund costs depend on the type and the service providers, so we set out the company and banking side in writing first.

  • Company formation from €1,899: the BVI company behind the fund.
  • Registry fee shown: US$550 a year for up to 50,000 shares.
  • Nothing upfront: no payment before the scope is agreed.
  • Banking costs in writing: the account's published monthly price.
  • Fund type matched: the lightest route that fits your investors.

BVI Investment Company or BVI Fund

Not every BVI investment company is a fund. Read what a BVI company is for the basics. A BVI company that invests its owners' own money, or a family's money, is an ordinary company and needs no fund licence. It becomes a fund when it pools money from outside investors and offers them returns from the investments, open-ended if they can redeem and closed-ended if they cannot.

If you are unsure, check before the first outside investor comes in. Running an unrecognised fund is an offence, while converting an incubator fund into a professional fund later is routine. Read how to set up a BVI holding company for a company that only holds your own investments, or how to set up a trust in the BVI for family money.

Banking for a BVI Fund

Banking is the slowest part of most fund launches. Banks want the fund documents, the manager's track record, the service providers and the source of the seed money, and they review BVI structures closely since the grey listing.

Our banking partners open multi-currency accounts for complex structures, including funds, trusts and SPVs, usually within days of a complete file. Custody and prime brokerage for the portfolio sit with specialist providers. Read about banking and custodian services for BVI funds.

Cayman is the home of most large hedge funds and has the deepest pool of service providers, but costs more to set up and run. The BVI suits smaller and emerging managers, and funds whose investors are mainly in Asia. Read BVI vs the Cayman Islands for offshore companies.

Common Mistakes When Setting Up a BVI Fund

Most fund problems come from choices made before launch.

Choosing the Wrong Fund Type

A private fund that later needs more than 50 investors, or an incubator fund that grows past US$20 million, has to convert. Pick the type around where the fund will be in two years.

Taking Investors Before Recognition

Private and professional funds need recognition, and closed-ended funds must be recognised as private investment funds. Taking money outside those rules is an offence.

Late Audited Accounts

Audited financial statements are due within 6 months of the year end. A late audit is one of the most common breaches the Commission sees.

Ignoring Marketing Rules

The BVI rules cover the fund, not the investors' countries. Marketing to investors in the EU, the UK or the US has its own rules, and breaking them can void subscriptions.

Leaving the Bank Account to the End

Fund accounts take the longest. Start them with the formation, not after the documents are signed.

Talk to Us About Your BVI Fund

Not sure which fund type or vehicle fits? Tell us about your investors and strategy.

  • Fund type: incubator, approved, private or professional, matched to you.
  • Vehicle: company, partnership or segregated portfolio company.
  • Family money or outside investors: fund or holding company, checked first.
  • Jurisdiction: BVI, Jersey or another route where it fits better.
  • Banking: accounts planned from day one.

Bottom Line

A BVI fund gives a manager a regulated vehicle with no tax at fund level, a regime service providers know, and fund types that grow from an incubator fund to a professional fund. The setup is about choosing the right type, forming the vehicle, appointing the service providers and getting recognition before investors come in.

We form the BVI company behind the fund from €1,899, match the fund type with you and open the accounts with partners used to complex structures. Read our guide to BVI company incorporation, or see our BVI company incorporation service.
