Jersey Company Formation Agents and Services in 2026

Jersey company formation agents are what make a Jersey company possible for anyone who does not live on the island. They file the incorporation, give the company its registered office, secretary and nominated person, and keep it compliant every year, so the company can hold assets and trade under Jersey's 0% standard rate.

The hard part is choosing and paying for one. The JFSC Registry only accepts filings from a licensed provider or a Jersey resident owner, 776 persons were registered for trust company business in October 2025, and few firms publish prices. Published tariffs put formation at £2,000 to £4,000 for a new client, plus about £4,000 a year before accounts and tax.

This is where we come in. Binderr works with licensed Jersey administrators and handles the whole formation for you: the structure, the KYC pack, the filing and the yearly administration. You get one price from €1,499 with the Registry fee included, and one team.

Why Jersey Requires a Formation Agent

Jersey does not let just anyone file a company. The rules on who can incorporate, and what every company needs on the island, are why owners abroad work through Jersey company formation agents.

Who Can File an Incorporation

The JFSC Registry accepts an application to incorporate from a beneficial owner who lives in Jersey, where the company is wholly owned by Jersey residents, or from a JFSC-regulated provider licensed to provide formation services. An owner abroad cannot file directly, so every company owned from abroad is formed through a licensed provider. Read how to incorporate a company in Jersey for the company rules.

The Registered Office Must Be in Jersey

Every Jersey company needs a registered office on the island. Supplying a registered office for a fee is a regulated activity, and the JFSC warns that a local owner who does it for others without registration risks action under the Financial Services (Jersey) Law 1998. The office address then appears on the Jersey Registrar of Companies search.

You do not need to find, vet and compare agents yourself. This is what we handle for you.

  • Licensed administrator arranged: Registered office, secretary and nominated person in place.
  • One price from €1,499: The JFSC Registry fee included.
  • Yearly fees agreed upfront: In writing, before you commit.
  • No new-client premium: One quote, not a different price at every firm.
  • KYC pack prepared: Built once and checked before filing.
  • Formed in about a week: One complete file, accepted at the first attempt.
  • Bank account arranged: Opened with the same file.

The Nominated Person

Under the Financial Services (Disclosure and Provision of Information) (Jersey) Law 2020, every company needs a nominated person in Jersey who holds and reports its beneficial ownership information. It must be a registered trust company business providing secretarial or registered office services, a Jersey resident significant person, a Jersey lawyer or accountant, or a fund services business. A company that loses its nominated person has 21 days to appoint another.

The Company Secretary

Every Jersey company must have a secretary, and a sole director cannot fill the role. For owners abroad, the secretary almost always comes from the formation agent.

Why Use a Company Formation Agent in Jersey

Put together, these rules mean an owner abroad needs a company formation agent in Jersey for the filing, the registered office, the secretary and the nominated person, and usually for the accounts and tax return too. The real questions are what the service includes and what it costs each year.

What Jersey Company Formation Agents Do

Jersey company formation agents do far more than file a form. The formation is a small part of the work; the yearly administration is most of it.

Formation and Filing

Name reservation, the memorandum and articles, the application for consent to issue shares under the Control of Borrowing (Jersey) Order 1958, and the filing with the JFSC Registry. The Registry charges £205 for incorporation within 5 business days in 2026, rising to £856 for the 2-hour service. The same filing serves a trading company or an offshore holding vehicle, as covered in Jersey offshore company formation.

Registered Office and Records

The company's registered office in Jersey, its statutory registers, and the place where official letters and notices arrive. The agent keeps the records the Registry and banks ask for.

Secretary and Nominated Person

The company secretary and the nominated person under the 2020 disclosure law, who reports beneficial ownership changes to the JFSC within 21 days.

Directors Where Needed

A Jersey resident director, or a corporate director, where the company needs decisions made on the island for tax residence or economic substance. Directors are a separately regulated service, and not every company formation agent in Jersey holds that class.

Accounts, Tax Returns and Annual Filings

Accounts for the members and the bank, the Jersey tax return due by 30 November of the following year, CRS reporting and the annual confirmation statement filed between 1 January and the last day of February. A private company needs no audit, one of the benefits of incorporating a company in Jersey.

Economic Substance Support

A company in one of the nine relevant activities, such as holding company, finance and leasing or intellectual property business, must be directed and managed in Jersey with adequate people and premises. The agent's directors, board meetings and premises often provide that substance, as explained in how to set up a Jersey holding company.

Bank Introductions

Many agents introduce the company to a bank. Island banks review through the agent, which is slower and often needs a relationship. Our partners accept the company directly.

How Jersey Company Formation Agents Are Licensed

All genuine Jersey company formation agents are regulated by the Jersey Financial Services Commission. Checking that takes two minutes and is the most useful thing you can do before sending documents to anyone.

Trust Company Business Registration

Acting as a company formation agent, a director, a secretary or a registered office provider is trust company business under the Financial Services (Jersey) Law 1998. Anyone who does it by way of business in or from Jersey must be registered with the JFSC.

The Licence Classes

The JFSC register lists which classes each firm holds. Class F covers company formation, G directors, I secretaries, J registered office or business address, K accommodation or correspondence address, L trustees and M nominee shareholders. A firm that forms companies but does not hold the classes for the services you need will subcontract them.

How to Check a Firm

Search the firm's name on the JFSC's register of regulated entities and read its entity page. The classes, the registered name and any public statements are all there. A website that sells Jersey companies but does not appear on the register is an introducer, not an agent.

The Size of the Sector

776 persons were registered for trust company business in October 2025, a count that includes individual directors as well as firms. The sector employed about 5,681 staff in 2024. Jersey had 36,577 live companies on its register at 30 June 2026.

Enforcement

The JFSC does fine firms that fall short. In July 2025 it fined a Jersey trust company £86,803 for breaches of its codes of practice, after a settlement discount. A regulated agent is accountable in a way an introducer is not.

Jersey Company Formation Agent Fees in 2026

Few Jersey company formation agents publish their fees, and those that do show why quotes vary so much. The formation fee is the smaller number; the yearly bundle is what you pay every year.

What the JFSC Charges Every Company

The JFSC's own fees are the same whichever agent you use: £205 for standard incorporation in 2026, up to £856 for the 2-hour service, £10 to reserve a name, and £339 a year for the confirmation statement of a company administered by a trust company business, or £220 otherwise. Agents often bill these on top of their own fees, so check whether each quote includes them.

Why Quotes Vary So Much

One Jersey company formation agent may bundle the registered office, secretary, nominated person and director into one yearly fee; another bills each separately and adds compliance, CRS and filing charges. Hourly work on top of the bundle is where budgets drift. Compare Jersey with company formation costs elsewhere.

The New-Client Premium

At least one published tariff charges a new client £4,000 to form a company and an existing client £2,500. Approaching firms one by one as a new client usually means paying the higher number every time, a pattern also seen in offshore company formation costs.

Jersey Company Formation Agent Costs Over Five Years

A £4,000 formation and a £3,950 yearly bundle, before compliance, CRS, tax returns and accounts, come to about £23,750 over five years. The formation fee is less than a fifth of it. Compare yearly costs first. Read the full cost of Jersey company formation for the first-year budget.

Who Provides Formation Services in Jersey

Jersey company formation agents range from global groups headquartered on the island to small owner-managed firms. The difference matters mostly in price and in the minimum size of client they take.

Large Groups

Several large international administrators are headquartered in Jersey. JTC, headquartered in St Helier, was taken private in 2026 by Permira with CPP Investments and left the London Stock Exchange. Ocorian, also headquartered in St Helier, reports more than 9,000 clients and 2,000 staff. Aztec Group, founded in 2001, administers more than €440 billion. IQ-EQ has more than 230 staff in Jersey. Large groups serve funds, institutions, family offices and larger private clients around the world.

Smaller Firms

Owner-managed trust companies serve private clients, families and single companies. They also handle trusts in Jersey for families, are more likely to publish fees, and their yearly bundles for a simple company start at a few thousand pounds.

Introducers Are Not Agents

Some websites that sell Jersey formations are introducers: they pass the client to a regulated firm and add their own fee. Their prices are often described as estimates. Check whether the business itself appears on the JFSC register before you send documents.

What a Complete Jersey Formation Service Includes

Whichever of the Jersey company formation agents forms the company, a complete service covers the same ground. Use this as a checklist for any quote, including ours.

The Licence Classes for Every Service

Formation, secretary, registered office and, where needed, directors, each under the right JFSC class, so nothing is subcontracted without you knowing.

The Yearly Fee in Writing

The registered office, the secretary, the nominated person, the confirmation statement, the tax return and CRS reporting, with what is inside the bundle and what is billed by the hour.

Substance and Tax Residence

A clear view of whether the company's activity falls under economic substance, and where its board will make decisions, before the company is formed.

Banking

A plan for the company's account from the start, because a company that cannot pay or be paid is not ready to use. Read how to set up a Jersey company with a bank account.

Exit Terms

What it costs to move the company to another administrator, or to close it, if your plans change. See how to close an offshore company.

Jersey Company Formation Services for Non-Residents

Most Jersey companies are owned by people who live elsewhere, and Jersey company formation services are built for them. There is no residence rule for directors or members, and no one needs to visit the island.

What Changes When You Live Abroad

Documents are certified where you live, the formation is filed by the licensed administrator, and identity checks for the bank account run online. Read setting up a business in Jersey as a non-resident for the full picture, or how to set up a company as a non-resident to compare other jurisdictions.

Where the Company Is Managed

A Jersey company is tax resident in Jersey unless it is centrally managed and controlled in another country with a tax rate of at least 10% and accepted as resident there. A board that decides everything at home can move the company's tax there.

Set Up a Jersey Company From Abroad

Owners abroad are the norm, and we make the whole formation remote.

  • No travel: Documents certified where you live.
  • Administrator in place: Registered office, secretary and nominated person.
  • Board position planned: So the tax position holds where you live.
  • Island banks want residents: Our partners do not, and they open in days.
  • One budget: Formation and the first year in one written quote.
  • One team: No emails between you, the administrator and the bank.

How Formation Works With Us

We work with licensed Jersey administrators, so the filing is made by a regulated provider, and we run the whole process for you.

Agree the Structure

One call to agree the owners, the board, the share type, the activity and where the company will be managed.

Build the KYC Pack

Passports, proofs of address, source of wealth and an ownership chart, collected once and checked before anything is filed.

Reserve the Name and Draft the Constitution

The £10 name reservation, the memorandum and articles, and the application for consent to issue shares.

File With the JFSC

The administrator files the incorporation. The standard £205 Registry fee is inside our price.

Registers, Ownership Filing and the Account

The registers are opened, the nominated person recorded, beneficial ownership filed, and the account application goes in with the same pack. Read how to register a private company in Jersey for each step in detail.

How Long Jersey Company Formation Takes

The JFSC processes an incorporation in 2 hours to 5 business days, depending on the fee paid. With us, a company is usually formed in about a week from the first call, including the KYC pack and the constitution.

Banking for the New Company

A Jersey formation agent can introduce the company to an island bank, but those banks build their business accounts for local owners and review structures owned from abroad slowly, through the agent. Butterfield charges £25 or £37 for an online SWIFT payment and up to £92 for a manual one.

Our banking partners are licensed electronic money institutions that open multi-currency accounts for Jersey companies owned from anywhere, in about 4 days from a complete file, with no minimum balance and FX at about 0.25% to 1.0% over the interbank rate. The differences are set out in business bank account vs EMI account, and currency options in multi-currency business accounts in Jersey. Common Mistakes With Jersey Company Formation Agents

Most problems come from comparing the wrong things or skipping a check.

Comparing Formation Fees Only

The formation fee is a small part of five years of costs. Compare the yearly bundle, the extras and the hourly rates.

Paying an Introducer as if It Were an Agent

An introducer adds a fee and a layer of email between you and the regulated firm. Check the JFSC register before you pay anyone.

Leaving Substance and Tax Residence Until Later

A company whose board decides everything abroad can be taxed abroad, and a holding or finance company may need substance in Jersey. Plan both before the company is formed. Read about Jersey holding company tax benefits.

Forgetting the Bank Account

A company formed without a banking plan can sit for weeks without an account. Plan the account with the formation.

Ignoring Exit Terms

Moving a company to a new administrator later can cost more than the formation. Ask about it before you start.

Talk to Us About Your Jersey Company

Not sure what your company needs from an agent? Tell us what it will do and we give you one written quote.

  • Holding, trading or property: The right structure and substance position.
  • Corporate owners: Parent companies traced and documented for you.
  • Existing Jersey company: Moving administration or adding a bank account.
  • Trusts and foundations: Quoted separately, with the right licensed provider.
  • One point of contact: Formation, administration and banking together.

Bottom Line

Owners abroad cannot file a Jersey company themselves. The JFSC accepts incorporations only from a licensed provider or a Jersey resident owner, and every company needs a registered office, a secretary and a nominated person on the island. That is why Jersey company formation agents exist, and why their yearly bundle, not the formation fee, is the number that matters. Published tariffs in 2026 put formation at £2,000 to £4,000 for a new client and the core yearly bundle at about £4,000 before extras. With our Jersey company formation services, the company costs from €1,499 with the Registry fee included, the yearly administration is agreed in writing, and the account is opened with the same file.
