Jersey holding company tax benefits are simple at the top: dividends and gains from subsidiaries are taxed at 0%, there is no capital gains tax, no stamp duty on transfers of the company's shares, and no withholding tax on dividends paid to shareholders abroad. For a group with companies in several countries, that makes Jersey one of the cleanest places for the top of the structure.
The benefits only hold if the company is set up correctly. A holding company must meet Jersey's economic substance test, its board must actually decide things in Jersey, and the tax rules where the owners live still apply. EU subsidiaries can also withhold tax on dividends, because Jersey sits outside the EU directives.
We take that off your hands. Binderr works with licensed Jersey administrators and handles the whole setup: the structure, the board and substance position, the KYC pack, the filing and the bank account. One team, one written quote, and a holding company formed in about a week from €1,499.

Jersey Holding Company Tax Benefits
The Jersey holding company tax benefits come from a short list of rules that work together. Each one removes a layer of tax that most onshore holding locations charge.
0% Tax on Dividends and Gains Received
A Jersey holding company pays company tax at the standard rate of 0%. Dividends from subsidiaries and gains on selling them are taxed at 0% in Jersey, with no participation exemption to qualify for and no holding period to meet. Our guide to holding company structure explains how the layers fit.
No Withholding Tax on Dividends Paid Out
Jersey charges no withholding tax on dividends, interest or royalties paid by a Jersey company to non-residents. Profits can move up to shareholders abroad without a Jersey tax deduction on the way, one reason for Jersey offshore company formation.
Set Up a Jersey Holding Company
A Jersey holding company is very doable when the structure is planned before filing. This is what we handle for you.
- Formed from €1,499: The JFSC Registry fee included.
- Substance position planned: The holding company test checked before filing.
- Board set up in Jersey: So the company stays tax resident on the island.
- Licensed administrator arranged: Registered office, secretary and nominated person.
- Corporate owners traced: Parent companies and trusts documented for you.
- Bank account opened: Multi-currency, with the same KYC pack.
- One point of contact: From the first call to the first dividend.
No Capital Gains Tax or Stamp Duty on Shares
Jersey has no capital gains tax, and no stamp duty on transfers of shares in a Jersey company, except shares in companies that hold Jersey property, which fall under land transaction tax. Selling the holding company, or bringing in a new investor, carries no Jersey transfer tax. Property structures are covered in how to use a Jersey structure to hold UK property.
No CFC Rules in Jersey
Jersey has no controlled foreign company rules, so it does not tax the holding company on profits kept in its subsidiaries. The owners' home countries may have such rules, which is covered below.
A Jurisdiction Counterparties Accept
Jersey is not on the EU's list of non-cooperative jurisdictions, and it was removed from the EU's watch list on 12 March 2019. It was rated Compliant by the OECD Global Forum, and MONEYVAL's 2024 report rated it compliant or largely compliant on 39 of 40 FATF Recommendations. Banks, lenders and buyers accept a Jersey holding company without the questions an unregulated jurisdiction attracts. See the other benefits of incorporating a company in Jersey.
The Jersey Company Tax Rate in 2026
The Jersey company tax rate depends on what the company does, not on where its owners live. For a holding company, it is almost always 0%.
Rate | Who pays it |
|---|---|
0% | The standard rate, for most companies including holding companies |
10% | Financial services companies, such as banks, trust companies, investment businesses, fund administrators and custodians |
20% | Utilities, and income from Jersey property rental, property development, quarrying and hydrocarbon oil |
20% | Large corporate retailers with Jersey retail turnover of £2 million or more, on profits above £750,000, with a taper from £500,000 |
20% | Cannabis businesses |
15% | Groups with consolidated revenue of €750 million or more, under the Multinational Corporate Income Tax from 2025 |
The Jersey Zero Ten Tax Regime
Jersey's current system, known as zero ten, took effect for the 2009 tax year. It replaced the old exempt company regime so that Jersey complied with the EU Code of Conduct on Business Taxation, by taxing all companies at the same standard rate of 0% while keeping 10% for financial services. The Jersey zero ten tax regime is why a holding company pays nothing in Jersey without needing a special status or ruling. Compare the best jurisdictions for offshore holding structures.
Where a Holding Company Pays More Than 0%
A holding company that also owns Jersey land and earns rent pays 20% on that income. One that becomes a licensed financial services business, such as a wealth management company in Jersey, pays 10%. A company in a large multinational group pays 15% under the Pillar Two rules. For a normal holding company owning shares in trading subsidiaries, none of these apply.
How Jersey Holding Company Tax Works on Money In and Out
The Jersey company tax rate is only half the picture. What matters for a holding company is how money moves in from subsidiaries and out to shareholders.
Dividends and Gains From Subsidiaries
Jersey taxes them at 0%. What the subsidiary's own country charges is a separate question: many countries withhold tax on dividends paid abroad unless a treaty or their domestic law removes it. That is where planning is needed, as the treaty section below explains. Our guide to holding company and subsidiary structure covers the basics.
A Simple Example
A founder abroad owns a Jersey holding company with a UK trading subsidiary. The UK subsidiary pays £1 million of dividends to the Jersey company with no UK withholding tax, and Jersey taxes them at 0%. The holding company can reinvest the money in other subsidiaries or pay it on to the founder with no Jersey withholding tax. Tax, if any, arises where the founder lives, when the dividend reaches them or under that country's CFC rules.
Dividends Paid to Shareholders Abroad
No Jersey withholding tax applies. The shareholder is taxed, if at all, in the country where they live.
Shareholders Who Live in Jersey
A Jersey resident individual pays income tax on distributions, at the 20% standard rate. Jersey's older deemed distribution and full attribution rules were repealed, with no new liability for profits arising after 1 January 2012, so Jersey residents are taxed on what they actually receive.
Interest and Royalties
No withholding tax applies to interest or royalties paid by a Jersey company. But a holding company that lends to its subsidiaries or holds intellectual property moves into a different, heavier substance test, so plan those flows before they start. See the best jurisdictions for IP holding and royalty structures.
Selling the Holding Company or a Subsidiary
There is no Jersey capital gains tax on the sale, and no stamp duty on the transfer of shares in a Jersey company, unless the company holds Jersey property. Buyers of a group often prefer a Jersey holding company for exactly that reason.
Tax Residence of a Jersey Holding Company
Every Jersey holding company tax benefit depends on the company being tax resident in Jersey. The test is in Article 123 of the Income Tax (Jersey) Law 1961.
The Rule for Companies Incorporated in Jersey
A company incorporated in Jersey is tax resident in Jersey. It is treated as non-resident only if it is centrally managed and controlled in another country where the highest rate of company tax is at least 10%, and that country accepts it as resident. The company must then attach a certificate of residence from the other country to its Jersey tax return.
Why the Board Matters
Central management and control means where the real strategic decisions are made. A board that meets in Jersey, with directors who decide there, keeps the company resident in Jersey. A board that rubber-stamps decisions made by the owners at home risks the company being taxed in the owners' country instead. Read setting up a business in Jersey as a non-resident.
What Usually Works
At least some directors who are resident in Jersey, board meetings held on the island with a quorum present, minutes that record real decisions, and the company's records kept by its Jersey administrator. That is also what the economic substance test looks for. Read how to set up a Jersey holding company for the structure.
Economic Substance for a Jersey Holding Company
The Taxation (Companies, Economic Substance) (Jersey) Law 2019 applies to Jersey tax resident companies in nine relevant activities: banking, insurance, fund management, finance and leasing, headquarters, shipping, holding company, intellectual property, and distribution and service centre business.
What Counts as Holding Company Business
A holding company for this purpose is a holding body whose primary function is acquiring and holding shares or equitable interests in other entities, and which carries on no commercial activity of its own. Most pure holding companies fall squarely in this activity, as covered in holding company vs operating company.
What the Test Requires
The company must be directed and managed in Jersey, with at least one board meeting a year held on the island with a quorum physically present. It needs adequate employees, expenditure and premises in Jersey, and its core income-generating activities must be carried out there. Jersey's guidance applies these rules to holding companies in a less onerous way, and in practice the administrator's people, premises and board support usually meet them.
When the Test Is Heavier
A holding company that also lends to its subsidiaries is carrying on finance and leasing business, and one that owns trademarks or patents is carrying on intellectual property business. Both carry a heavier test and higher running costs, as financing vehicles show in how to set up an SPV in Jersey.
Reporting and Penalties
The company reports its substance each year in its Jersey tax return: its activities, gross income, board meetings, employees, premises and expenditure. Failing the test can cost up to £10,000 for the first period and up to £100,000 for a later one, with fines of up to £3,000 for information failures, and the final sanction is striking the company off.
Jersey Holding Company Tax Planned Upfront
The tax benefits depend on setup, not on the certificate. This is what we plan with you.
- Residence secured: Board and decisions placed in Jersey.
- Substance met: The holding company test covered from day one.
- Flows checked: Loans and IP kept out unless planned.
- Treaty position reviewed: Where subsidiaries may withhold tax.
- Home-country questions flagged: For your own tax adviser.
- Formed from €1,499: With a licensed administrator in place.
Pillar Two and Large Groups
The Multinational Corporate Income Tax (Jersey) Law 2025 brought the OECD's global minimum tax to Jersey for fiscal years starting on or after 1 January 2025. It charges 15% on the net GloBE income of Jersey companies in groups with consolidated revenue of at least €750 million in at least two of the four preceding years.
What Jersey Introduced
Jersey enacted the Multinational Corporate Income Tax and an income inclusion rule, and did not introduce an undertaxed profits rule. For a December year end, the first MCIT return is due by 31 December 2026, and the income inclusion rule and GloBE returns by 30 June 2027.
Who Is Not Affected
The Government of Jersey estimates that more than 95% of Jersey companies are outside the scope. A holding company for a family, a founder or a group below €750 million of revenue keeps the 0% standard rate.

Double Tax Agreements and Withholding at Source
Jersey holding company tax is 0% at the top of the structure. What the subsidiaries' countries withhold on dividends is the part that needs planning.
Jersey's Treaty Network
Jersey has 16 comprehensive double tax agreements: Bahrain, Cyprus, Estonia, Guernsey, Hong Kong, the Isle of Man, Liechtenstein, Luxembourg, Malta, Mauritius, Qatar, Rwanda, the Seychelles, Singapore, the UAE and the UK. It is a short list compared with the EU holding centres.
No EU Directives
Jersey is outside the EU, so the EU Parent-Subsidiary Directive, which removes withholding tax on dividends between EU companies, does not apply. A subsidiary in an EU country may withhold tax on dividends paid to a Jersey parent unless that country's domestic law or a treaty removes it.
Subsidiaries in the UK
The UK charges no withholding tax on ordinary dividends, so UK subsidiaries can pay dividends to a Jersey holding company without deduction. The UK and Jersey signed their current double tax agreement on 2 July 2018, and it came into force on 19 December 2018. For a UK-only group, compare a UK holding company.
How to Plan It
Map each subsidiary's country, its withholding rate on dividends to a Jersey parent and any treaty relief, before the holding company is formed. For a group with large EU subsidiaries, an EU holding company under the Jersey parent is sometimes the answer. Compare other locations in our guide to the best jurisdictions for holding company formation.
Tax Where the Owners Live
Jersey holding company tax is only one side. The owners' home countries decide how much of the Jersey benefit they keep.
Controlled Foreign Company Rules
Many countries tax their residents on profits kept in a low-tax company they control. The UK's CFC rules, for example, can apply to a non-UK company controlled by UK residents. Whether they bite depends on the activity and the substance, so take advice at home before the company is formed.
Dividends Taxed at Home
A shareholder who lives in a country with dividend tax pays it when the Jersey company distributes, whatever Jersey charges. The Jersey benefit is usually deferral and a clean exit, not the end of tax.
Reporting
Jersey reports accounts held by residents of other countries under the Common Reporting Standard. A Jersey holding company is visible to the owners' tax authorities, and it should be declared from the start. See is an offshore company legal. Families often hold the company through a trust in Jersey, which adds its own reporting.

GST and Other Taxes
Beyond Jersey holding company tax itself, the island's other taxes rarely touch a pure holding company, but they are worth knowing.
GST
Jersey's Goods and Services Tax is 5%, with registration needed once taxable turnover reaches £300,000 in a year. A holding company with no taxable supplies does not register. Companies that provide services mainly to non-residents can take International Services Entity status, which costs £750 a year for a company and removes GST from their costs.
Property Taxes
Stamp duty applies to conveyances of Jersey property, and land transaction tax to transfers of shares in companies that own Jersey property. A holding company that owns no Jersey land pays neither.
No Wealth or Inheritance Tax
Jersey has no inheritance tax, no gift tax and no wealth tax on the company or its shares.

Common Jersey Holding Company Tax Mistakes
Most Jersey holding company tax problems come from the company's setup, not from Jersey law.
Running the Board From Home
A board that decides everything in the owners' country can make the company resident there, and the 0% rate is lost. Place real decisions in Jersey.
Lending to Subsidiaries Without a Plan
A holding company that lends becomes a finance and leasing business for substance purposes, with a heavier test and higher costs. Decide how subsidiaries are funded before the money moves.
Assuming 0% Means No Tax Anywhere
Subsidiaries may withhold tax on dividends, and owners may pay tax at home under CFC or dividend rules. Map both before choosing Jersey.
Holding Jersey Property in the Same Company
Rental income from Jersey property is taxed at 20%, and transfers of shares in property-holding companies attract land transaction tax. Keep Jersey property in a separate company, as in how to use a Jersey SPV for real estate investment.
Forgetting the Substance Return
Substance is reported every year in the tax return, due by 30 November of the following year. A missed or thin return can lead to fines of up to £10,000 in the first year.

Bottom Line
Jersey holding company tax is as simple as it gets at the top of a group: 0% on dividends and gains received, no withholding tax on dividends paid out, no capital gains tax and no stamp duty on the company's shares. The benefits depend on three things: the company staying tax resident in Jersey through a board that decides there, meeting the holding company substance test, and planning withholding tax in the subsidiaries' countries and tax at home for the owners. Groups with revenue of €750 million or more pay 15% under Pillar Two; almost everyone else keeps 0%. We form Jersey holding companies in about a week from €1,499 and plan the board, substance and banking with you. For the full process, read our guide to company formation in Jersey.
