BVI Exempted Company Definition and Requirements in 2026

BVI Exempted Company Definition and Requirements in 2026

People searching for a BVI exempted company usually want what the term promises: a company that pays no tax in the islands, owned from anywhere, with no public register of owners. The BVI gives you all of that through its standard company, the BVI business company, with no special status to apply for.

The confusion is the name. "Exempted company" is a Cayman Islands term, and Bermuda uses it too. The BVI dropped tax-exempt company classes in 2005 when it set income tax to zero for every company, so asking an agent for a BVI exempted company can lead to the wrong product or an outdated IBC package.

We make it simple. Binderr works with licensed registered agents in the BVI and forms the company you actually need: a BVI business company limited by shares, with the KYC pack, the filing and every register handled by one team. Prices start from €1,899, and the company is formed in 2 to 5 working days once the file is complete.

What a BVI Exempted Company Really Is

There is no company called an exempted company in BVI law. When people use the term, they mean a BVI business company: a company formed under the BVI Business Companies Act 2004 that pays no income tax, capital gains tax or withholding tax in the islands. So the BVI exempted company definition, in practice, is simply the standard BVI company, and a BVI exempted company is formed exactly like any other.

The Short Answer

A BVI company is exempt from tax in the sense that the tax rate is zero for every company, not because it holds an exemption certificate. There is no application, no undertaking and no annual declaration to keep the status. Any company on the BVI register gets the same treatment.

Why the Term Keeps Appearing

The term comes from neighbouring jurisdictions and from the BVI's own past. Formation websites copy it across countries, and older guides still describe the international business company, which was exempt from BVI tax under the old law. Both lead people to search for a BVI exempted company definition that the current law does not contain.

BVI Exempted Company Formation, Done Right

The company people mean by a BVI exempted company is very doable from anywhere. This is what we handle for you.

  • From €1,899: A BVI business company formed through a licensed agent, quoted upfront.
  • 0% tax by law: No income, capital gains or withholding tax, with no certificate to apply for.
  • Right product first: No outdated IBC package, no Cayman terms mixed in.
  • Owners anywhere: One director and one shareholder, any nationality.
  • KYC pack prepared: One clean file for every owner and director.
  • Filed on time: Members and beneficial owners within 30 days.
  • Bank-ready from day one: The account file is built from the same pack.

What Changed in 2005

Before 2005 the BVI had two company laws. Local companies paid BVI income tax, while international business companies under the International Business Companies Act of 1984 were exempt from it. The BVI Business Companies Act 2004 came into force on 1 January 2005 alongside an amendment that set BVI income tax for companies at zero, so the difference between exempt and taxable companies disappeared.

Where Exempted Companies Do Exist

The Cayman Islands Companies Act has an exempted company, whose business is carried on mainly outside the Cayman Islands and which can obtain a government undertaking that it will not be taxed on profits, gains or inheritance for up to 30 years. Bermuda also forms exempted companies for international business. If your adviser asked for an exempted company, check whether they meant one of these rather than a BVI exempted company, which does not exist as such.

How to Describe a BVI Exempted Company

For anyone who still needs a working definition, for a contract, a bank form or a tax adviser's note, this is the accurate way to describe the company.

The company is a BVI business company, incorporated under the BVI Business Companies Act 2004, usually a company limited by shares. Its certificate of incorporation shows its name, its company number and the date of incorporation. Read what a BVI company is and how it works.

The Tax Description

The company is subject to BVI income tax at a rate of zero. It pays no capital gains tax and no withholding tax on dividends, interest or royalties paid abroad. It pays payroll tax only if it has staff working in the BVI, and stamp duty only on transfers of BVI land or shares in companies owning BVI land.

The Words to Avoid

Avoid calling it an IBC, an exempted company or a tax-exempt company in legal documents. Banks and auditors may ask for evidence of an exemption that does not exist, or treat the company as formed under a repealed law. "BVI business company limited by shares" is the description that matches the certificate.

BVI Exempted Company Requirements

The BVI exempted company requirements are the requirements for any BVI business company, and meeting them is what keeps the BVI exempted company in good standing. They are short, and most of them are handled by the registered agent.

A Licensed Registered Agent and Office

Every company must have a registered agent licensed by the Financial Services Commission and a registered office in the BVI at all times. Only the agent can file with the Registry. Read about BVI registered agent rules and how to change one.

One Director and One Shareholder

One director and one shareholder are enough, and they can be the same person, of any nationality, living anywhere. A company can act as director. The first director must be appointed within 15 days of incorporation.

A Memorandum and Articles

The constitution states the company's name, its registered agent and office and the maximum number of shares it may issue. There is no minimum share capital, and shares can be issued in any currency with or without a par value.

A Name With a Permitted Ending

The name must end in Limited, Corporation, Incorporated, Société Anonyme or Sociedad Anónima, or an abbreviation such as Ltd, Corp or Inc. A name can be reserved for 90 days, and some words need the Commission's consent. Read how to check and reserve a BVI company name.

Registers Filed With the Registry

The register of members and beneficial ownership information must be filed within 30 days of incorporation and within 30 days of any change. A beneficial owner is anyone who ultimately owns or controls 10% or more of the shares or voting rights. These registers are private.

Yearly Filings

Each year the company pays the annual government fee by 31 May or 30 November, files an annual financial return with its agent within 9 months of its year end and files an economic substance report within 6 months of each financial period end. Read about BVI company annual compliance and filing requirements.

Documents Needed for a BVI Company

The documents are the same whatever the company is called. The agent checks every person behind the company before it files, so a complete pack is what keeps the timeline short.

For Each Shareholder, Director and Beneficial Owner

  • Identity: A certified copy of a valid passport.
  • Address: A certified utility bill or bank statement from the last 3 months.
  • Source of funds: Where the money going into the company comes from, with evidence.
  • Source of wealth: How the person built their wealth, such as salary, a business sale or investments.
  • Professional profile: A short CV or a link to a professional profile.

For a Corporate Shareholder

A certificate of incorporation, the constitution, a register of directors and members, and the same personal documents for the people who own and control it, down to every beneficial owner with 10% or more.

Certification and Translation

Copies are certified by a lawyer, notary or accountant who confirms the copy is true and the photo matches. Documents not in English need a certified translation. Read about BVI company documents and certificates.

BVI Exempted Company Formation

BVI exempted company formation means forming a standard BVI business company. Only a licensed agent can file, and with us one team runs every step with the agent.

Agree the Structure

One call to agree the company type, the owners, the directors and the number of shares. The share count sets the Registry fee: US$550 for up to 50,000 authorised shares and US$1,350 above that.

Build the KYC Pack

Passports, proofs of address, source of funds and source of wealth for every owner and director, collected once and checked before the agent sees them.

File and Receive the Certificate

The agent files the memorandum and articles through VIRRGIN, the Registry's online system, and the certificate of incorporation usually follows within 2 to 5 working days.

File the Registers

The first director is appointed within 15 days, and the register of members and beneficial ownership information go to the Registry within 30 days. Read our BVI company registration guide.

Full-Service BVI Company Formation

You do not need to know which term to use. We form the right company and handle the rules.

  • Structure agreed on one call: Company type, shares, owners and directors.
  • Name checked first: The right ending and no restricted words.
  • One KYC pack: Built once for the agent and the bank.
  • Faster than going direct: One complete file, so no rounds of questions.
  • Registers within 30 days: Members and beneficial owners filed for you.

BVI Exempted Company Benefits

The BVI exempted company benefits people look for are real, and they come with the standard company, so a BVI exempted company in name gives nothing extra. These are the ones that matter most.

Zero Tax by Law, Not by Undertaking

The zero rate applies to every company automatically. There is no tax undertaking that expires, no certificate to renew and no annual declaration that the company has not traded locally. That is simpler than the Cayman exempted company, whose tax undertaking lasts up to 30 years and must be applied for.

Owners and Directors Anywhere

There is no residency or nationality rule, and the whole formation runs remotely. Documents are certified where you live, and the certificate is issued electronically.

Flexible Dividends and Restructuring

A BVI company pays dividends on a solvency test rather than out of profits, and it can merge, buy back shares or move to another jurisdiction without being wound up.

Privacy From the Public

The registers of members and beneficial owners are filed with the Registry but not published. Since 1 April 2026, a person with a legitimate interest can request beneficial ownership information on owners holding 25% or more, for US$75 per request; the general public cannot.

A Known Structure

The Financial Services Commission counted 354,015 active BVI companies at 30 June 2026. Banks, investors and the Hong Kong Stock Exchange know the structure well. Read about the benefits and drawbacks of a BVI company.

What Owners Use a BVI Company For

The company people call a BVI exempted company is used for international structures, not for a business that sells to consumers in one country. These are the most common uses.

  • Holding company: Holds shares in companies in several countries; read how to set up a BVI holding company.
  • Joint venture: A neutral company for partners from different countries; read how to set up a BVI joint venture company.
  • Special purpose vehicle: Ring-fences one asset or one financing deal; read how to set up a BVI SPV.
  • International trading: Contracts and invoices for a business that buys in one country and sells in others.
  • Family wealth: Held under a trust in the BVI or a foundation-style company.

Each of these works with the standard company limited by shares, with no special status needed. Funds and regulated businesses need extra licences and are quoted separately.

How Long It Takes to Form a BVI Company

Corporate shareholders, a trust above the company and documents in another language all add time. A Cayman exempted company follows a different process and timeline, so do not plan a BVI formation on Cayman guidance.

Tax Where the Owners Live

The zero rate in the BVI does not remove tax at home. This is the part of the exempted company idea that misleads people most.

Controlled Foreign Company Rules

Many countries tax their residents on profits kept in a low-tax company they control. The BVI company pays nothing in the islands, but its owners may be taxed on its profits each year at home.

Management and Control

A company whose board makes every decision in a high-tax country can be treated as tax resident there. Where the directors meet and decide matters as much as where the company is registered.

Dividends Paid to the Owners

When the company pays a dividend, the BVI deducts nothing. The shareholder reports it at home, where it is usually taxed as dividend income. Some countries give relief to holding companies receiving dividends from subsidiaries, while others tax them in full, so plan the payments with an adviser at home before the year end.

Reporting to Other Countries

The BVI exchanges account information under the Common Reporting Standard and reports to the United States under FATCA. Read about BVI company tax rates and reporting requirements.

Banking for a BVI Company

The company needs a bank account to trade and pay its costs, and this is where most owners get stuck. The few local banks in Road Town serve mainly residents, and banks abroad review BVI companies closely since the FATF grey listing of June 2025.

A Faster Route Through Our Partners

Our banking partners are licensed electronic money institutions that open multi-currency accounts for BVI companies owned from abroad, usually within days of a complete file, with no minimum balance. Read our guide to BVI offshore banking for companies.

Who a BVI Company Is Wrong For

The standard BVI company fits most international structures, but not every case.

  • Large investment funds: Institutional investors often expect a Cayman exempted company or limited partnership.
  • Consumer sellers in one market: Selling to consumers in the UK or the EU means VAT there anyway, and a local company is simpler.
  • Owners who run everything from home: The company may be taxed where it is managed, so the zero rate saves little.
  • Groups that bank mainly in Europe: EU banks apply enhanced checks to BVI companies since January 2026.

Common Mistakes With the Exempted Company Idea

Most problems come from the label, not the company.

  • Buying an IBC package: The IBC no longer exists, so ask exactly what is being formed.
  • Asking for a tax certificate: There is no BVI exemption certificate to obtain or renew, whatever the BVI exempted company requirements a provider lists.
  • Mixing Cayman and BVI rules: Annual declarations and tax undertakings belong to Cayman, not the BVI.
  • Forgetting home tax: The zero rate in the BVI does not stop tax where the owners live.
  • Calling it exempt in contracts: Use "BVI business company limited by shares" instead of any BVI exempted company definition.
  • Missing the 30-day filings: Late beneficial ownership filings cost US$600, rising to US$800.

Talk to Us About a BVI Company

Not sure whether you need a BVI company or a Cayman exempted company? Tell us what it will do.

  • Right jurisdiction first: BVI or Cayman matched to your structure.
  • Home tax flagged: Questions for your adviser raised before formation.
  • Clear documents: The company described correctly for banks and auditors.
  • Banking planned: The account opened alongside the company.
  • Clear pricing: Every fee in writing, from €1,899.

Bottom Line

There is no BVI exempted company in law. The term belongs to the Cayman Islands and Bermuda, and to the BVI's old international business company. What people want from it, a company with no tax in the islands, owners anywhere and private registers, is the standard BVI business company, with the zero rate applying automatically and nothing to apply for or renew.

Describe it correctly, keep its registers and yearly filings on time and plan for tax where you live, and it works exactly as people expect an exempted company to work. We form BVI companies from €1,899 through licensed agents. Read our BVI company formation guide.
