European Company Formation Agents in 2026

European Company Formation Agents in 2026

A European company formation agent gets you a full EU company without moving there. In Cyprus, Malta and Ireland, a founder living anywhere can own every share, trade across a single market of 27 countries and register for EU VAT like a local business.

The hard part is that the law puts licensed people into the process. In Cyprus, only an advocate of the Cyprus Bar can sign the founding documents. Malta files through an online registry that needs a qualified e-signature, and both countries require a company secretary. In Ireland, one director must live in the EEA unless the company holds a €25,000 bond.

This is where we come in. We act as your agent and form the company ourselves, with the licensed advocates and providers each country requires. We handle the structure, the KYC pack, the paperwork, the filing and the local roles, and open the bank account with our partners. One team, one fixed price from €1,200, and your company in about a week.

As your formation agent in the EU, we form Cyprus, Malta and Ireland companies at fixed prices from €1,200, €1,299 and €1,899.

Why Use a European Company Formation Agent

You use a European company formation agent because Cyprus, Malta and Ireland do not let a founder abroad complete every step alone. Cyprus requires a licensed advocate. Malta's filing system needs an e-ID and a signature most foreign founders do not have. Ireland asks for an EEA-resident director or a bond. The agent covers each of these legally.

Local Roles Every EU Company Needs

An EU company needs people and an address in its own country from the first day. All three countries require a registered office there. All three also require a company secretary, and none lets a sole director hold that role as well. Cyprus sets this in section 171 of its Companies Law, Cap. 113, Malta in article 138 of its Companies Act and Ireland in section 129 of the Companies Act 2014.

These roles do not end with the certificate. The secretary keeps the registers and files changes, and the registered office receives official post for as long as the company exists. A company formation agent in the EU either fills these roles or brings in the licensed firm that does. That is why the choice of agent lasts for years, not days.

European Formation Agent vs a UK Agent

In the UK, the agent is optional. You can register a private company yourself with Companies House for £100, usually within 24 hours, with no company secretary and no residency rule for directors. Many founders consider doing the setup themselves without an agent for exactly this reason.

The EU works differently. In Cyprus the law gives the signing step to advocates. In Malta the registry login and the qualified e-signature keep most founders from abroad out of the system. In Ireland you may file your own form, but a sole director still needs a separate secretary, and a board with nobody in the EEA needs the bond. So in all three, a European formation agent does work you cannot legally or practically do yourself.

European Company Formation Agent Services

We are the agent for your EU company. We file it ourselves, with the licensed advocate or service provider each country calls for.

  • Three EU countries: Cyprus, Malta and Ireland, all formed by one team.
  • Advocate and e-signature: the signing steps Cyprus and Malta require, arranged for you.
  • Secretary at formation: a licensed company secretary arranged for day one.
  • EEA director or bond: the Irish requirement settled before anything is filed.
  • One KYC file: a single pack for the registry, the agent and the bank.
  • Ready in about a week: once your file is complete.

One Agent for Cyprus, Malta and Ireland

Many founders need more than one EU company, or are not yet sure which country fits. A holding company in Cyprus with a trading company in Ireland is a common pairing. With one agent across all three, your identity checks are done once, the documents follow one format and the prices sit side by side before you choose.

It also means one contact answers when a registry or a bank asks a question, instead of three firms.

Licensed Company Formation Agents in Europe

Company formation agents in Europe must hold a licence or registration in the country where they work. EU anti-money laundering law, Article 47 of Directive (EU) 2015/849, requires every member state to license or register trust or company service providers and to check that the people running them are fit and proper. Each country then adds its own rules on who may sign and file.

Cyprus Advocates and Administrative Service Providers

Cyprus gives the most important step to lawyers. According to Invest Cyprus, the memorandum and articles of association can be prepared and signed only by lawyers licensed by the Cyprus Bar Association. The Registrar of Companies adds that the lawyer signs the HE1 declaration and swears it before a court. The memorandum and articles are filed signed in Greek.

After formation, a registered office, a company secretary or a director provided to clients counts as an administrative service under Law 196(I)/2012. CySEC licenses these firms and publishes a list of approved administrative service providers. Lawyers and accountants offer the same services under the Cyprus Bar Association and the Institute of Certified Public Accountants of Cyprus (ICPAC). The Registrar charges €165 to register a company online, plus €100 for the fast track, and since 1 January 2026 filings no longer carry stamp duty. Our page on Cyprus company formation services explains what the service includes.

Malta Company Service Providers and the MBR

In Malta, formation agents need authorisation from the Malta Financial Services Authority (MFSA), under the Company Service Providers Act, Cap. 529. The MFSA's page, updated 25 August 2026, covers company formation, director and secretary services and registered offices. Its rulebook, last amended on 16 May 2025, sets three classes: Class A for formation and a registered office, Class B for directors and secretaries, and Class C for both.

Filing is the second gate. The Malta Business Registry (MBR) takes filings through its online system, BAROS. Its user guide says a filer must be upgraded to an authorised user, log in with an e-ID issued in Malta or another EU state, and sign with a qualified electronic signature, which the MBR issues after a video identity check. A founder from outside the EU usually has no such e-ID, so a licensed Malta firm files. See Malta company formation agents and services for how this works in practice.

Irish TCSPs and the EEA Director Rule

Ireland calls a formation agent a trust or company service provider (TCSP). Under the Criminal Justice (Money Laundering and Terrorist Financing) Act 2010, forming companies, acting as director or secretary and providing a registered office are TCSP services. The Minister for Justice authorises most TCSPs, and the Central Bank of Ireland authorises those owned by banks and financial firms. An authorisation lasts 3 years.

Solicitors and members of the designated accountancy bodies fall outside that definition and answer to their own professional bodies. Carrying on TCSP business without authorisation is an offence under section 87, with up to 5 years in prison on indictment. Unlike Cyprus and Malta, Ireland lets you file your own A1 form online through CORE for €50. What you cannot avoid is the secretary and section 137: at least one director living in the EEA, or a €25,000 bond. Our guide to formation agents and services in Ireland covers the Irish side.

No EU Passport for Formation Agents

A licence in one EU country does not cover another. Each member state licenses the firms that form companies on its own territory, so a firm licensed only in Cyprus cannot act as a company service provider in Malta or Ireland. When one EU company formation agent offers several countries, ask who holds the licence where your company will be registered.

The new EU anti-money laundering rulebook, Regulation (EU) 2024/1624, applies from 10 July 2027. It keeps trust or company service providers under full anti-money laundering duties, but it does not create a single EU licence for them.

Your Licensed EU Corporate Service Provider

The licence has to sit in the country where your company is formed. As your EU corporate service provider, we make sure it does.

  • Licensed where you file: every role held by a firm licensed in that country.
  • Register entries shared: the regulator and licence behind each role, in writing.
  • Greek filing handled: the Cyprus memorandum and articles prepared and translated.
  • Right Malta class: formation, secretary and office under the correct authorisation.
  • Irish roles in place: the TCSP, the secretary and the director rule settled together.

What a Formation Agent in the EU Handles

The registry records your company and does little else. It does not choose the country, check your identity for a bank, draft your documents, act as your secretary or register you for tax. A formation agent in the EU does that work before and after the certificate. The table shows the split.

The registry's step is the shortest one in the process. The work that takes time, and that decides whether the company can trade, sits with the agent. Ask any agent which of these rows its price covers.

Work Before the Company Is Registered

Before filing, the agent settles the structure: who owns the shares, who sits on the board and what the company will do. It checks the name, collects your documents and runs the identity and source of funds checks the law requires. In Cyprus it drafts the memorandum and articles for the advocate to sign in Greek, and the Cyprus company formation requirements list each form. In Malta it plans the share capital, because at least 20% of every share taken up has to be paid in at signing.

A complete file is accepted at the first attempt by the registry and the bank alike. Our list of documents you need to set up a company shows what to have ready.

Work After the Certificate Arrives

After registration, the agent registers the company for tax and, where needed, for VAT. It files the beneficial ownership details, sets up the statutory registers and confirms the secretary and the registered office. In Malta those roles usually sit with a licensed firm that offers company secretarial services in Malta.

Then come the yearly dates: the annual return, the accounts and any change of directors or owners. A European formation agent that keeps these dates on its own calendar saves you late fees.

Checks Before Hiring a European Formation Agent

Before you sign with a European company formation agent, check five things: the licence in the country of filing, the Malta class or the Cyprus advocate, the year two fees, who covers the Irish director rule and the plan for the bank account. For the general method, see how to choose a company formation agent.

The Licence in the Country of Filing

Ask for the regulator and the licence number, then check the public list yourself. CySEC publishes its list of approved administrative service providers. The MFSA keeps a register of authorised company service providers. In Ireland, section 104 of the 2010 Act requires the Minister to keep a register of authorised TCSPs, showing each name and principal place of business. A firm that cannot point to one of these entries, or to its Bar Association or accountancy body, is not licensed for this work.

The Malta Class and the Cyprus Advocate

Two questions apply only in these countries. In Malta, ask which class the firm holds. A Class A firm can form the company and give it an address, but cannot act as its director or secretary. In Cyprus, ask which advocate will sign and swear the documents. A clear answer, by name, is a good sign.

Year Two Fees for the Secretary and Office

The formation price is paid once. The secretary, the registered office and the accounts are paid every year. Ask for an itemised quote that covers both years in writing. Our guide to company formation costs shows how the yearly lines add up, and the European company formation cost comparison puts the three countries side by side.

Who Covers the Irish Director Rule

An Irish company with no director living in the EEA must hold a €25,000 bond for at least two years. On published broker prices, that costs about €1,500 to €1,970 including VAT. Ask whether the quote includes the bond or a resident director, and what that director will sign. The non-resident director rules for Irish companies explain each option.

The Bank Account Before Filing

Ask how and when the account will open. In Malta the registry wants proof that the share capital has been paid into the company's bank account. In all three countries, the bank asks for the same identity file as the agent, so an agent that builds both at once saves weeks.

Fixed Pricing From Your EU Formation Agent

We put the scope in writing before you pay, so you know what year one and year two include.

  • Two-year quote: formation and the first renewals set out line by line.
  • Licence named: the regulator behind every role on your file.
  • Office and secretary: arranged at formation through licensed partners.
  • Bond priced upfront: the Irish option costed before filing.
  • Capital route planned: the Malta deposit arranged before signing.
  • Exit terms stated: your records handed over if you ever move.

Red Flags With Company Formation Agents in Europe

Most problems with company formation agents in Europe show up before you pay, in the quote or the first few emails. These four signs are the ones to watch for, and each has a simple check.

Privacy Promised Through Nominee Shareholders

Cyprus, Malta and Ireland all keep a register of beneficial owners, and a nominee shareholder does not take the real owner off it. In Ireland, a new company files anyone holding more than 25% within 5 months of incorporation. An agent that sells anonymity is selling something the law does not allow, so walk away.

No Named Advocate on a Cyprus Filing

A Cyprus company cannot be formed without a Bar-licensed advocate who signs the documents and swears the HE1. If the agent will not say which advocate signs, you cannot check that the step is done properly. A good agent names the advocate before filing.

A Local Director Sold as a Tax Fix

A director who signs papers but makes no decisions does not move management to the EU. Your home country can still treat the company as resident there, or tax its profits, if the real decisions are made at home. If an agent sells a local director as the whole tax answer, ask where the board will meet and who will decide.

Bank Accounts Guaranteed Before the File Exists

No agent decides whether a bank or payment institution accepts your company. The provider does. An agent that guarantees an account before it has seen your file is selling a promise it cannot keep. A good agent can promise a complete file and an introduction to providers that take companies like yours.

Banking With Your European Formation Agent

A company that cannot bank cannot trade, so the account belongs in the plan from the start. The job of a European company formation agent is to build a file the bank accepts the first time. With that file, our partners open accounts in days.

Why Local EU Banks Take Weeks

Traditional banks in Cyprus, Malta and Ireland review a new company owned from abroad slowly. They ask for trading history, proof of where the money comes from and often a local director or a branch meeting. A new company cannot show history yet, so reviews run for several weeks and refusals are common, usually with no reason given.

The fees are not the problem. Under AIB's business fee schedule, effective 1 July 2026, keeping an account open costs €4.50 a quarter. The problem is how long a new company owned from abroad waits for a yes.

Open an EU Business Account With Your Company

We build the account file while we form the company, and our partners open the account in days.

  • Days, not weeks: accounts opened in 2 to 4 days with a complete file.
  • Fully online: onboarding with no branch visit and no local director.
  • Multi-currency payments: euro and other major currencies in one account.
  • Same KYC pack: the formation file reused for the account.
  • Published plans: from about €30 to €100 a month.

Our Partners Open the Account in Days

Our partners are regulated payment and e-money institutions that work with international companies every day. A new Cyprus, Malta or Ireland company gets a multi-currency account from them in 2 to 4 days, fully online, on monthly plans from about €30 to €100. This is the route we recommend first. A local bank can come later, once the company has accounts to show.

We form the company and prepare the bank file in one go, so the certificate, registers, ownership chart and source of funds reach our partners together. Our guide to a business bank account in Europe covers the options.

The EEA director rule

Cyprus and Malta need an EU formation agent most, because the law or the registry keeps founders abroad out of the signing and filing. Ireland is the only one where you could file alone, but the secretary and the director rule still bring in licensed help. Price and time are close, so the choice usually comes down to tax, your directors and your sector.

Cyprus Company Formation Agent

Cyprus fits most founders who live outside the EU, plus holding companies and service businesses. PwC's tax summary, reviewed 4 August 2026, confirms the 15% rate that applies from 1 January 2026. Our Cyprus price starts at €1,200, covering the advocate's work and the Registrar's fee, and the company is ready in about a week. The catch is documents in Greek and an audit or review every year. Which EU Country to Form With Us

Choose Cyprus if you live outside the EU and want the lowest starting price, or if the company will hold shares in others. Choose Ireland if a director lives in the EEA and the company will trade. Malta is the pick for a company that will hold an EU gaming or fintech licence, or that will pay most profits out as dividends.

For most non-resident founders, Cyprus is our recommendation: no director rule, the advocate and the secretary arranged by us, and a company in about a week. Holding structures are covered in European holding company formation, and the full ranking is in the best country to register a company in Europe.

Pick Your EU Country Before Anything Is Filed

Share your residence, your markets and the company's purpose. We recommend the country and form the company.

  • Cyprus from €1,200: 15% tax, with the advocate and secretary arranged.
  • Malta from €1,299: tax of about 5% once the refund is paid.
  • Ireland from €1,899: 12.5% on trading profits.
  • Advice in writing: country and company type confirmed first.
  • Groups planned together: holding and trading companies set up as one project.

UK Formation Agent Outside the EU

The UK is fast and low cost, but it sits outside the EU. A private company costs £100 to register online with Companies House and is usually live within 24 hours. Our UK price starts at €350, and that fee is part of it. There is no residency rule for directors and no company secretary to appoint. Since 18 November 2025, every director must verify their identity with Companies House.

An agent is optional for your own filing. From no earlier than November 2027, agents filing for clients must be registered as Authorised Corporate Service Providers, according to Companies House guidance updated 5 August 2026. What a UK company gives up is the EU itself: no access to the single market, no use of the EU VAT One Stop Shop as an EU business, no withholding tax relief from the EU directives and no licence you can passport to other member states.

Common Mistakes With EU Formation Agents

These mistakes come up often with founders using EU formation agents. Each one costs time or money, and one question to your agent prevents it.

Leaving the Irish VIF Until the Last Week

A founder with no Irish PPS number expects to sign the identity form on a video call. Since 30 April 2026, a VIF counts only if the director and the witness are physically together when it is signed, so a director abroad needs a notary appointment. The director's identity number comes from that form, and the A1 cannot be filed without it. Until then, the CRO's 5 or 10 working day target has not even started. Ask your agent for the VIF on day one and book the notary the same week.

Letting the Sole Director Act as Secretary

A founder who is the only director plans to act as secretary too. None of the three countries allows it. In Malta, a corporate secretary must also be registered as a company service provider, and if the post falls vacant the directors must fill it within 14 days. A company without a valid secretary is in breach of company law, and banks check the officers on every file. Appoint the secretary at formation, through a licensed firm, and price its renewal for year two. Changing the secretary later means another filing and often another fee.

Running the EU Company From Home

A founder forms in Cyprus for the 15% rate but makes every decision from home. The home country can then treat the company as resident there, or tax its profits under its own rules, and the 15% gives way to the home rate. Cyprus itself bases tax residence mainly on where the company is managed and controlled. Hold board meetings in Cyprus with directors who make real decisions, and keep the minutes. The bank will ask who runs the company and from where, so the answer has to be real. Our guide to Cyprus tax residency rules sets out the tests.

Signing the Malta Memorandum Without a Bank Plan

A founder plans Malta like Ireland or Cyprus and leaves the bank account until after registration. But under article 72 of Malta's Companies Act, a private company starts with at least €1,164.69 of authorised capital, and 20% of each subscribed share has to be paid at signing. That is about €233 at the minimum, and the registry wants proof of payment. Ireland and Cyprus have no such step. The amount is small, but the filing waits until it is done. Agree the account for the capital with your agent first, so the filing is not held up.

Bottom Line on European Company Formation Agents

In the EU, a European company formation agent is part of the legal process, not an extra. Cyprus needs an advocate, Malta needs an authorised filer and a registered company service provider, and Ireland needs a secretary plus an EEA director or a bond. Check the licence in the country of filing, get year two in writing and plan the bank account with the company.

For most founders who live outside the EU, Cyprus is the clearest choice. Ireland suits founders with an EEA director, and Malta suits licensed sectors. We are your European company formation agent in all three, from €1,200, with the company formed in about a week. If price decides it for you, see the cheapest country to form a company in Europe.
