Cheapest Country to Form a Company in Europe 2026

The cheapest country to form a company in Europe can cost very little to register. Ireland's registry charges €50, Cyprus €175 with name approval and Malta from €100. Each one gives you a company inside the EU single market, with EU VAT tools and a wide treaty network, and each can be formed within about a week.

The real cost sits in the yearly lines. A company secretary, a registered office, the accounts, an audit or review and, in Ireland, a director bond for owners outside the EEA decide what you pay. These lines differ by thousands of euros between countries, and most price lists leave them out.

This is where we come in. We form the company ourselves in Cyprus, Malta or Ireland, at one starting price with the registry fee inside it. Before you commit, we cost the first year for your size of company, from the officers to the audit rule and the business account. You see the full figure before you pay.

Our EU incorporation starts from €1,200 in Cyprus, €1,299 in Malta and €1,899 in Ireland, with the registry fee inside each price.

Cheapest Country to Form a Company in Europe

For a small business, the cheapest country to form a company in Europe is Ireland or Cyprus, at about €3,500 to €7,500 and €4,000 to €7,000 in the first year. Cyprus has the lowest starting price with us, from €1,200. Ireland has the lowest running cost from year two, as long as one director lives in the EEA.

Cheapest EU Country for a Small Company

Almost every new business is a small company under EU rules, and for a small company the audit rule is the line that differs most. Ireland needs no audit until turnover passes €15 million. Cyprus needs an audit, or a review when turnover stays under €300,000. Malta needs one unless the company is very small.

That is why Ireland is the cheapest EU country to form a company for the long run, even though our price there is the highest of the three, from €1,899 with the €50 CRO fee, the registered office and the company secretary included. The condition is a director who lives in the EEA. Without one, Irish law asks for a €25,000 bond, and the cheapest EU company for you is usually in Cyprus. Our Ireland company formation cost guide sets out every line.

EU Registry Fees and the Real Total

Registry fees are low across the EU. Ireland's Companies Registration Office charges €50 for an online incorporation. The Cyprus Registrar of Companies charges €10 to approve a name and €165 to register, with €20 and €100 more for the express routes, and no stamp duty since 1 January 2026. The Malta Business Registry charges €100 when authorised share capital is €1,500 or less, on a scale that rises to €1,900.

The gap between the cheapest and the dearest registry is about €125. The gap between first-year totals is several thousand euros, from about €3,500 in Ireland to €10,500 plus VAT in Malta. Low-cost company formation in Europe is decided by the yearly lines, and our guide to company formation costs by country shows the same outside the EU.

Cheap Company Formation in Europe at One Price

Cheap company formation in Europe is simple when the whole first year is costed upfront. This is what we handle for you.

  • Registry fee included: The CRO, Cyprus Registrar or Malta Registry fee sits inside our price.
  • First year costed: Officers, accounts and the audit rule priced before you commit.
  • Right country for your size: Ireland, Cyprus or Malta, picked on turnover and directors.
  • KYC pack built: We tell each owner what to send and prepare the file.
  • Formed in about a week: A complete file becomes an EU company in about 7 days.

Cheapest EU Country After Year One

From the second year, only the yearly lines remain, and the ranking settles. A small Irish company pays the €20 annual return, its office and secretary renewals and an accountant, with no audit. A Cyprus company pays similar lines plus an audit or review every year. Malta costs the most to keep: through our partners the office and the secretary each start from €900 plus VAT a year, before accounting and any audit. Our Malta company cost guide lists every line.

Small and Medium Company Formation in Europe

EU law sorts companies into micro, small, medium and large by three tests: balance sheet total, net turnover and staff. Small company formation in Europe covers most new businesses, and the size category decides your accounts and your audit. A company fits a category when it stays within two of the three limits.

EU Size Categories for Companies

Delegated Directive (EU) 2023/2775 raised these Accounting Directive limits by about 25% for financial years from 1 January 2024.

Size category

Balance sheet total

Net turnover

Average employees

Micro

Up to €450,000

Up to €900,000

Up to 10

Small

Up to €5 million, or up to €7.5 million where the country opts higher

Up to €10 million, or up to €15 million where the country opts higher

Up to 50

Medium

Up to €25 million

Up to €50 million

Up to 250

Ireland uses the highest small limits the EU allows. EU law only requires an audit for medium and large companies, so each country decides whether small ones are audited. That choice is why the same small company costs more to run in Cyprus or Malta than in Ireland.

Small Company Formation in Europe

Small company formation in Europe is the normal case. A new trading company with a few staff and turnover under €10 million is usually small under the EU tests, and often micro below €900,000. In Ireland it files unaudited accounts. In Cyprus and Malta the limits for relief sit far below the EU small limits, so most small trading companies there still pay for an audit or a review. For a company that only holds shares, read our guide to European holding company formation, where tax weighs more than running cost.

Medium Company Formation in Europe

Medium company formation in Europe works differently. Once a company passes two of the small limits for two years running, it is medium-sized, and EU law requires a statutory audit in every member state. The audit is then a fixed cost everywhere, so tax on profit decides the ranking: 12.5% on trading income in Ireland, 15% in Cyprus, and about 5% effective in Malta after the shareholder refund. Plan with the size you expect in year three. Our European company formation guide covers the wider setup.

Audit Rules Behind Cheap EU Company Formation

The audit rule is the biggest yearly difference between the three EU countries. Ireland lets a small company skip the audit up to €15 million of turnover. Cyprus and Malta allow a lighter review only for very small companies. An audit or review is paid every year, so check this rule before anything else.

2 years in a row

An Irish company can grow to €15 million of sales with no auditor. A Cyprus company loses its review route at €300,000 of turnover, and a Malta company at €93,000, which a busy trading company passes in its first year. A review is cheaper than an audit, but it is still paid work every year.

Ireland Audit Exemption up to €15 Million

A small Irish private company can skip the audit when it meets two of the three small tests in the current and previous year. The limits rose to this level under S.I. No. 301 of 2024, for financial years starting on or after 1 January 2024. One condition catches people: a company that files its annual return late, after another late return in the previous five years, loses audit exemption for two years. Our page on Irish company formation requirements covers the other rules.

Cyprus Review Below €300,000 Turnover

Every Cyprus company is audited by default under the Companies Law, Cap. 113, but a small company may use a review by its auditor instead. In January 2026 the House of Representatives approved raising the turnover limit for this route from €200,000 to €300,000, for financial years starting on or after 6 February 2026. Total assets must also stay under €500,000 for two years in a row, so holding companies with loans or investments rarely qualify. Our guide to audit services in Cyprus explains both routes.

Malta's Audit Exemption Rules, Legal Notice 139 of 2025, apply to accounting periods starting on or after 1 January 2025. A private company within two of three limits for two years in a row can file a review report instead of an audit: a balance sheet total of €46,600, turnover of €93,000 and 2 employees. Within all three, it needs neither. Our page on audit services for Malta companies covers the fees.

Find the Cheapest EU Country for Your Turnover

The cheapest EU company depends on your turnover and where your directors live. We do the sums.

  • Audit rule checked: Whether your company needs an audit, a review or neither.
  • Size category confirmed: Micro, small or medium, measured on the EU tests.
  • Year-two cost shown: The running cost after the first year, not just the setup.
  • Director route planned: An EEA director or the Irish bond, decided before you file.
  • Tax and cost together: The country picked on total cost and tax on profit.

Yearly Costs That Decide the Cheapest EU Company

After the audit, four yearly lines decide which country is cheapest: the company secretary, the registered office, the accountant and, in Ireland, the director bond. The law sets which ones you need, and the market sets what each one costs you every year.

Company Secretary and Registered Office

Cyprus, Malta and Ireland all require a company secretary and a registered office in the country. In Ireland, a company with one director needs a different person as secretary, under section 129 of the Companies Act 2014. Our Ireland price includes both at formation, and published market prices then run from about €200 to €375 plus VAT a year for the office and €200 to €600 plus VAT for the secretary. In Malta, through our partners, each starts from €900 plus VAT a year, as our guide to company secretarial services in Malta explains. In Cyprus they are quoted with your setup.

Accounting and Tax Returns

Accounting is the largest yearly line for most small companies. For a simple Irish company, plan about €1,200 to €3,000 a year for bookkeeping, financial statements and the CT1 tax return. In Malta, our partners' retainer starts from €1,500 plus VAT a year for up to 20 transactions, with the tax return from €500 plus VAT. In Cyprus, plan about €1,000 to €2,000 a year, as our page on accounting services in Cyprus explains.

Irish Director Bond Without an EEA Director

Ireland is the only one of the three with a residence rule. Section 137 of the Companies Act 2014 requires at least one director resident in the European Economic Area, or a €25,000 bond in force for at least two years. You pay only the premium, which published broker prices put at about €1,500 to €1,970 including VAT for two years, and it is not refunded. Our page on non-resident director rules for Irish companies explains the options.

Annual Returns and Late Fees

The annual return costs €20 in Ireland and Cyprus, and €85 online in Malta for authorised capital up to €1,500. In Ireland, a late return costs €120 on the first day, then €3 a day up to €1,200. Cyprus abolished its €350 annual levy in 2024, so older guides that still add it overstate what a Cyprus company costs, as our page on the Cyprus annual levy explains.

Plan the Yearly Costs of Your EU Company

Cheap EU company formation is won on the yearly lines. We price them before you file.

  • Secretary and office arranged: The roles every EU company needs, set up at formation.
  • Renewals quoted upfront: Year-two office and secretary prices given at the start.
  • Accounts on schedule: Annual returns, accounts and tax returns on one calendar.
  • Late fees avoided: Filings made on time, so an Irish audit exemption stays safe.
  • Partners for the yearly work: Accounting and tax returns through our partners.

First-Year Cost in Cyprus, Malta and Ireland

A realistic first year costs about €4,000 to €7,000 in Cyprus, €6,800 to €10,500 plus VAT in Malta and €3,500 to €7,500 in Ireland, before any bond. Each total includes our formation price, with the registry fee inside it, and the yearly lines a simple company pays.

In year one, Ireland and Cyprus are close. Ireland pulls ahead from year two because a small company has no audit, while Cyprus is cheaper whenever no director lives in the EEA. Malta costs the most, because its officers and compliance lines are priced higher and most trading companies there still need an audit or review. Trusts, foundations, regulated companies and cell companies are quoted separately. For every European option side by side, see our European cost comparison for company formation.

Cheapest Way to Form an EU Company

The cheapest way to form an EU company is to choose the country on your size and your directors, then buy only what the law requires. If a director lives in the EEA and turnover will grow, Ireland usually costs least to keep. If nobody does, Cyprus avoids the bond. If large profits will be paid out, the Malta refund can outweigh its higher running cost.

Business Bank Account Costs for EU Companies

A business account adds about €30 to €100 a month with our banking partners, opened in days. Local banks can cost more in fees and much more in time. Count the account in the first-year budget, because a company that cannot bank cannot trade.

Local Bank Fees in Cyprus and Ireland

Bank of Cyprus publishes its charges. Its June 2026 tariff for international business customers charges an active company incorporated in the EEA €50 a month in maintenance, plus €20 in any month with four or fewer transactions, and 0.40% on currency conversion. Our guide to the best banks for Cyprus companies covers the local choice.

Irish banks charge less. AIB's business fee schedule, effective 1 July 2026, sets account maintenance at €4.50 a quarter. The cost there is time: Irish high street banks review new companies with owners abroad over several weeks, and usually want an Irish-resident director and local activity. Read about business bank accounts in Ireland for new companies.

Ireland costs the most to form with us and the least to run, so it is the cheapest EU company over two or three years for a small business with an EEA director. Cyprus is the cheapest start, and Malta is chosen for tax on profit.

Cyprus for the Lowest Starting Price

Cyprus suits founders who want the lowest EU starting price and have no director in the EEA. We form a Cyprus company from €1,200, in about a week, with the Registrar's fees inside the price, and we arrange the advocate who must sign the incorporation documents. Plan about €4,000 to €7,000 for the first year. The catch is the audit, with a review allowed only below €300,000 of turnover, and corporate tax is now 15%. Ireland for the Lowest Running Cost

Ireland suits small trading companies with a director who lives in the EEA. Plan about €3,500 to €7,500 for the first year, then the lowest running cost of the three, with no audit below €15 million of turnover. The catch is the director rule, and a director without a PPS number signs the CRO identity form in front of a witness in person. Our answer is clear. For a small company with an EEA-resident director, Ireland is the cheapest country to form a company in Europe once you look past the first invoice. With no EEA director, choose Cyprus, the cheapest company formation in the EU to start. Choose Malta only when profits are large enough for the refund to pay for its higher running cost. If cost is not your only test, read our guides to the best country in Europe to set up a company and the easiest country to set up a company in Europe, or Cyprus vs Malta for company formation.

Is UK Company Formation Cheaper Than the EU?

Yes. The UK is the cheapest place we form companies, from €350 with the £100 Companies House fee included, and about €2,000 to €5,000 for the first year. But the UK is not in the EU, and that has a cost no fee saving can cover.

A UK private company needs no company secretary and no resident director, and a small company needs no audit up to £15 million of turnover. Every director verifies their identity with Companies House, and we guide each person through it.

Outside the EU, a UK company has no place in the single market and no full access to the EU VAT One Stop Shop, which lets an EU company report sales to consumers across the EU on one return. It gets no relief under the EU directives that remove withholding tax on dividends, interest and royalties between group companies, and a UK licence cannot be passported into the EU. If any of these matter, the extra cost of an EU company is the price of access. If none do, see the cost of setting up a UK company.

Common Mistakes With Cheap Company Formation in Europe

Most overspending on cheap company formation in Europe comes from three mistakes, and each is easy to avoid before you file.

Choosing on the Registry Fee Alone

A founder sees €50 at the Irish registry and €175 in Cyprus, and treats the €125 gap as the deciding number. The yearly lines then add several thousand euros, and the audit rule alone can add a yearly bill many times the filing fee. In Malta, an audit or review can reach about €3,000 a year, 30 times the €100 registry fee. Compare the realistic first-year total and the year-two cost instead, and treat the registry fee as a rounding line. Our list of company formation mistakes to avoid covers more.

Missing the Irish Director Rule

Many founders pick Ireland for the 12.5% rate and the €50 registry fee, then learn that none of their directors lives in the EEA. The €25,000 bond then costs about €1,500 to €1,970 including VAT for two years, and it is renewed while that stays true. It moves a simple Irish company from about €3,500 to €7,500 in the first year to about €5,500 to €9,500. Check where your directors live before you choose. If nobody lives in the EEA, Cyprus is usually cheaper, and our guide to setting up a company as a non-resident shows the other routes.

Losing Irish Audit Exemption Through Late Filing

The audit exemption is what makes a small Irish company cheap to run, and late filing can take it away. Since July 2025, a company that files its annual return late, after another late return in the previous five years, loses audit exemption for two years. The late fee itself is €120 on the first day, then €3 a day up to €1,200. Owners abroad miss these dates most, because the first return falls 6 months after incorporation. Cyprus and Malta also charge penalties on late annual returns. Put every date on one calendar on the day the company is formed.

Bottom Line on the Cheapest EU Country

The cheapest country to form a company in Europe is decided by the yearly lines, not the registry fee. Registry fees start at €50, while first-year totals run from about €3,500 in Ireland to €10,500 plus VAT in Malta.

For a small company with an EEA-resident director, choose Ireland for the lowest running cost. With no EEA director, choose Cyprus, from €1,200 with us. Choose Malta for tax on large distributed profits. If you do not need the EU, a UK company from €350 is cheaper still. We form all four, and you get the first-year figure in writing before you pay.
