The BVI Business Companies Act 2004 is the one law behind every company in the British Virgin Islands. It lets a company have a single director and shareholder anywhere in the world, issue shares with no minimum capital, pay dividends on a solvency test and merge or move abroad without winding up. Investors and courts know it well.
The hard part is the amendments. The Act has been changed many times, most recently by the 2024 Amendment Act that took effect on 2 January 2025, and those changes added register filings, a 10% beneficial ownership test, a 15-day rule for directors and penalties of up to US$75,000. Older copies of the Act online do not show them.
We make it easy. Binderr works with licensed registered agents in the BVI and forms your company under the current Act: the KYC pack, the memorandum and articles, the filing and every register the 2024 amendments require. One team, prices from €1,899, and no clause left for you to interpret.

What the BVI Business Companies Act Does
The 2004 Act sets out how a BVI company is formed, owned, run, restructured and closed. Every company on the BVI register, more than 354,000 of them at 30 June 2026, is governed by it.
The Law for Every BVI Company
The Act came into force on 1 January 2005 as Act No. 16 of 2004. It covers incorporation, company names, the memorandum and articles, shares and distributions, directors, the registered agent and office, registers and records, mergers and continuation, striking off and voluntary liquidation. Insolvent liquidation sits in a separate law, the Insolvency Act 2003. Read about the benefits and drawbacks of a BVI company.
From the International Business Companies Act to the 2004 Act
Before 2005 the BVI had two company laws: the International Business Companies Act of 1984 for offshore companies and the older Companies Act for local ones. Under the international business companies act, BVI offshore companies made the territory the world's largest offshore register. The 2004 Act replaced both. After 1 January 2007 every company formed under the International Business Companies Act was re-registered under the new Act, and after 1 January 2009 every company under the old Companies Act followed. Read what a BVI company is and how it works.
Incorporate Under the BVI Business Companies Act
A BVI company is very doable from anywhere when the file meets the current Act from day one. This is what we handle for you.
- From €1,899: Formed through a licensed registered agent, quoted in full upfront.
- Current Act applied: Registers, directors and ownership filed under the 2024 amendments.
- Owners anywhere: One director and one shareholder, any nationality.
- Licensed filing only: You cannot file yourself, our licensed agents do it for you.
- KYC pack prepared: One clean file for every owner and director.
- Deadlines on our calendar: The 15-day and 30-day rules handled at incorporation.
Who Administers the Act
The Registry of Corporate Affairs, part of the BVI Financial Services Commission, keeps the register of companies and accepts filings through its online system, VIRRGIN. The Commission supervises the registered agents, and the BVI High Court, the Commercial Division, hears company disputes, with appeals to the Eastern Caribbean Court of Appeal and the Privy Council.
The Laws That Sit Alongside It
Several other laws apply to a BVI company: the Insolvency Act 2003 for insolvent liquidation, the Economic Substance (Companies and Limited Partnerships) Act 2018, covered in BVI company tax rates and reporting requirements, the anti-money laundering rules that registered agents apply, and for funds and crypto businesses the Securities and Investment Business Act 2010 and the Virtual Assets Service Providers Act 2022.
Key Rules in the BVI Business Companies Act 2004
These are the parts of the 2004 Act that matter most to owners. Each one is a reason investors choose British Virgin Islands company law.
Company Types
The Act allows companies limited by shares, companies limited by guarantee with or without the power to issue shares, and unlimited companies with or without shares. Any of them can also be a restricted purposes company, and a company can become a segregated portfolio company with the Commission's approval; read how a BVI segregated portfolio company works. Read about the types of BVI companies and legal entities.
Shares Without Share Capital
The Act removed the idea of share capital. A company states the maximum number of shares it may issue, shares can have a par value or no par value, can be issued in any currency, and there is no minimum amount to pay in. Shares can carry different rights, such as non-voting or preference shares, where the memorandum allows it. Bearer shares are no longer allowed: any that remained were converted to registered shares on 1 July 2023.
Distributions and the Solvency Test
Under sections 56 and 57, the directors can authorise a dividend if they are satisfied that, immediately after it, the company's assets will exceed its liabilities and it will be able to pay its debts as they fall due. There is no rule that dividends come only from profits, which makes BVI companies flexible holding vehicles.
Directors' Duties
Sections 120 to 122 require directors to act honestly and in good faith in what they believe to be the company's best interests, to use their powers for a proper purpose, and to act with the care, diligence and skill of a reasonable director in the same position. A company needs at least one director, and since 2 January 2025 the first must be appointed within 15 days of incorporation.
Registered Agent and Registered Office
Every company must have a registered agent licensed by the Financial Services Commission and a registered office in the BVI at all times. Only the agent can file documents with the Registry. Read about BVI registered agent rules and how to change one.
Registers and Records
The company keeps a register of members, a register of directors and its beneficial ownership information, and files all three with the Registry. It keeps accounting records that explain its transactions for at least 5 years and tells its agent where they are kept. Read about BVI company documents and certificates.
Voluntary Liquidation
A solvent company can be wound up voluntarily under the Act by appointing a liquidator, usually after the directors make a declaration of solvency. Since 2023 an individual liquidator of a solvent company must have lived in the BVI for at least 180 days. An insolvent company is wound up under the Insolvency Act 2003 instead, through the court or a creditors' process.
Mergers, Continuation and Restructuring
The Act allows two or more companies to merge or consolidate, a company to continue into the BVI from abroad or out of the BVI to another jurisdiction, and schemes of arrangement and forced redemptions of minority shares within set limits. None of these requires the company to be wound up first, which is why the Act suits joint venture companies and groups that restructure often.
Shareholder Remedies
Members have statutory protection. Section 184C lets a member bring a derivative action on the company's behalf with the court's permission, and section 184I lets a member apply to court when the company's affairs are conducted in a way that is oppressive, unfairly discriminatory or unfairly prejudicial to them.
Striking Off and Dissolution
A company that does not pay its annual fee or keep a registered agent can be struck off after 90 days' notice, and since 2023 it is dissolved at the same time. It can be restored within 5 years. Read how to strike off or restore a BVI company.

BVI Business Companies Act Amendments by Year
The Act has been amended many times since 2004. These are the BVI companies act amendments that still shape what a company files today.
Year | Amendment | What it changed |
|---|---|---|
2015 and 2016 | BVI Business Companies (Amendment) Act 2015 | Register of directors filed privately with the Registry |
2017 | Beneficial Ownership Secure Search System Act 2017 | Beneficial ownership held on a secure system run through agents |
2020 | Revised Edition of the Laws | The Act consolidated as the BVI Business Companies Act, Revised Edition 2020 |
2022 | BVI Business Companies (Amendment) Act 2022, in force 1 January 2023 | Annual financial return, strike-off with dissolution, 5-year restoration, bearer shares abolished |
2024 | BVI Business Companies (Amendment) Act 2024, in force 2 January 2025 | Register of members and beneficial ownership filed with the Registry, 10% threshold, 15-day director rule |
2026 | Regulations and guidance, no new amending Act | Legitimate interest access from 1 April 2026 |
The table shows why an old copy of the Act is risky: a version printed before 2025 leaves out the filing rules every company now follows.
The 2015 Amendments
The BVI Business Companies (Amendment) Act 2015 required every company to file its register of directors with the Registry, on a private basis, from 2016. It was the first step from records held only by the agent toward records held by the Registry itself.
BVI Business Companies Act Revised Edition 2020
The revised edition is the consolidated text published as part of the Revised Laws of the Virgin Islands. It brings the amendments up to that date into one document, which is why lawyers often cite it as the BVI Business Companies Act, Revised Edition 2020. It does not include the 2022 or 2024 changes, so a BVI business companies act revised edition 2020 copy must be read with the later amending Acts.
The 2022 Amendment Act, in Force in 2023
The BVI Business Companies (Amendment) Act 2022 came into force on 1 January 2023. It introduced the annual financial return, filed with the registered agent within 9 months of the year end, made a struck-off company dissolved at the same time, set a 5-year period to restore a dissolved company, converted any remaining bearer shares to registered shares on 1 July 2023 and required residence in the BVI for individual liquidators of solvent companies.
The BVI Business Companies Amendment Act 2024
The BVI Business Companies (Amendment) Act 2024 and the Beneficial Ownership Regulations came into force on 2 January 2025. They are the BVI business companies act 2024 changes most owners know: the register of members and beneficial ownership information filed with the Registry within 30 days of incorporation and of any change, beneficial owners defined from 10%, the first director appointed within 15 days, nominee and licensed director disclosures, an expiry date on certificates of good standing and tiered penalties of up to US$75,000.
What Changed in 2025 and 2026
No new amending Act was passed in 2025 or by the autumn of 2026. The changes came through regulations, circulars and guidance: existing companies had until 1 January 2026 to file their registers, owners could apply for an exemption from disclosure from 2 January 2026, and legitimate interest access opened on 1 April 2026. What the Act Requires Today
Taken together, the BVI Business Companies Act and its amendments give every BVI company the same short list of duties. This is the current position under British Virgin Islands company law.
Requirement | Deadline | Penalty if missed |
|---|---|---|
Appoint the first director | Within 15 days of incorporation | Registry penalties |
File the register of members | Within 30 days of incorporation, and of any change | Loss of good standing |
File beneficial ownership information, owners from 10% | Within 30 days of incorporation, and of any change | US$600, rising to US$800 |
Pay the annual government fee | 31 May or 30 November, by incorporation date | 10%, then 50%, then strike-off |
File the annual financial return with the agent | Within 9 months of the year end | Penalties and a report to the Registrar |
Keep accounting records | At least 5 years | Penalties under the Act |
Keep a licensed registered agent | At all times | Strike-off |
A company that keeps to these rules stays in good standing and can get a certificate of good standing at any time. Read about BVI company annual compliance and filing requirements.
BVI Business Companies Regulations
The BVI Business Companies Act is supported by regulations and orders that set the detail. These are the ones owners meet in practice.
- BVI Business Companies Regulations 2012: Detail on filings, forms and procedures under the Act.
- Beneficial Ownership Regulations 2024: Who counts as a beneficial owner, what is filed, the exemptions and legitimate interest access.
- Schedule 1 fee orders: The Registry fees, including US$550 to incorporate a company authorised to issue up to 50,000 shares and US$1,350 above that.
- Register filing fees order 2024: US$50 to file the register of members, US$75 for a change, and US$125 for beneficial ownership information.
Commission guidance sits on top: the revised beneficial ownership guidelines of 2 January 2026 and industry circulars on filing dates. These BVI company regulations change more often than the Act itself, so they are where most new rules appear first.

Where to Find the BVI Business Companies Act PDF
The Financial Services Commission publishes the BVI business companies act pdf of the Revised Edition on its website, and the government's laws portal holds the Act and its amending Acts. Several law firms publish consolidated versions; Conyers, for example, released a compendium of the Act and related laws updated to January 2026.
When you read any copy, check three things:
- The date of the text: A copy dated before 2 January 2025 leaves out the register and beneficial ownership rules.
- The amending Acts: The 2022 and 2024 Amendment Acts must be read with the 2020 Revised Edition.
- The regulations: Fees and filing details sit in orders and regulations, not in the main text.
An out-of-date British Virgin Islands business companies act 2004 pdf is the most common source of wrong advice online. When in doubt, the registered agent works from the current text.

How the Act Shapes Company Formation
The BVI Business Companies Act decides how a company is formed, and only a licensed registered agent can file. With us, each step runs through one team and a licensed agent.
Memorandum and Articles
We prepare the constitution with the company type, the maximum number of shares, the registered agent and office, and articles that fit your plans, for example rights for investors in a joint venture.
Filing and Certificate
The agent checks every owner, files through VIRRGIN and pays the Registry fee. The certificate of incorporation usually follows within 2 to 5 working days once the file is complete.
The First 30 Days
The first director is appointed within 15 days, and the register of members and beneficial ownership information are filed within 30 days. Read our BVI company registration guide.
Full-Service BVI Company Formation Under the Act
The Act's rules are handled for you, so nothing is filed late or in the wrong form.
- Constitution drafted: Memorandum and articles fitted to your structure.
- Owners checked once: One KYC pack for the agent and the bank.
- Filed through a licensed agent: Registry fee and certificate handled.
- 15-day and 30-day rules met: Director, members and beneficial owners filed.
- Faster than going direct: One complete file, so no rounds of questions.
What a BVI Company Costs Under the Act
The Registry fees come from Schedule 1 of the Act and the fee orders, so they are the same whoever files. With Binderr, formation starts from €1,899, quoted in full before anything is filed.

Banking for a Company Under the Act
The Act lets a BVI company hold assets and accounts anywhere, but it does not make opening one easy. The few local banks in Road Town serve mainly residents, and banks abroad review BVI companies closely since the FATF grey listing of June 2025, often asking for large balances.
A Faster Route Through Our Partners
Our banking partners are licensed electronic money institutions that open multi-currency accounts for BVI companies owned from abroad, usually within days of a complete file, with no minimum balance. A company whose registers are filed under the 2024 amendments is the file they approve fastest. Read our guide to BVI offshore banking for companies.

Common Mistakes With the BVI Business Companies Act
Most mistakes come from reading an old version of the law or assuming the agent handles everything without being told.
- Relying on a pre-2025 copy: It leaves out the register and beneficial ownership filings.
- Calling it an IBC: Under the international business companies act, BVI companies followed different rules, and that Act was repealed long ago.
- Paying dividends without the solvency test: Directors can be liable to repay an improper distribution.
- Late beneficial ownership updates: Any change must be filed within 30 days, or penalties start at US$600.
- Forgetting the annual return: It has been required since 2023 and agents now report non-filers.
- Letting the agent relationship lapse: A company without a registered agent can be struck off.

- Structure checked: Company type, share rights and directors fitted to the Act.
- Ownership mapped: Beneficial owners from 10% identified before filing.

- Clear pricing: Every fee in writing, from €1,899.
Bottom Line
The BVI Business Companies Act 2004 is a flexible, well-known company law: one director, no share capital, dividends on a solvency test, mergers and continuation without winding up, and strong shareholder remedies. The 2022 and 2024 amendments added the annual return, register and beneficial ownership filings and tighter deadlines, but they did not change those core features.
What matters for owners is reading the current law, not an old copy, and keeping the filings on time. We form BVI companies under the current Act from €1,899 through licensed agents and track every deadline. Read our BVI company formation guide.
