A BVI shelf company is a company formed in advance by a registered agent and held, unused, until someone buys it. It gives you an existing company with an older incorporation date, ready to transfer in a day or two once your documents are checked, and it carries the same 0% tax position and flexible law as any BVI company.
The hard part is what age does not give you. Since 2025 a shelf company has to file its directors, members and owners like any other, the buyer pays for the years it sat unused, and banks see the transfer date. A shelf company sold with a bank account is a warning sign, not a shortcut.
This is where we come in. Binderr works with licensed registered agents in the BVI and helps you choose the right route: a new company formed in days from €1,899, or an aged company checked and transferred properly. Our banking partners then open the account in your own name.

What a BVI Shelf Company Is
A shelf company is a company that has been incorporated and kept dormant so it can be sold later. In the BVI, registered agents form a small stock of companies, appoint their own nominees as the first directors and shareholders, and keep them in good standing until a buyer takes over the shares.
Point | BVI shelf company | New BVI company |
|---|---|---|
Incorporation date | Months or years in the past | The day it is formed |
Time to get it | 1 to 2 days after your KYC is approved | 2 to 5 working days after your KYC is approved |
Price | About US$1,300 to US$2,500, or US$2,500 to US$5,000 and more for older ones | From €1,899 with Binderr |
History | No trading, but a record of nominee owners | Clean, with you as the first owner |
Banking | Treated as a new customer, with questions about the transfer | Treated as a new customer |
Name | Chosen by the agent, can be changed | Chosen by you |
How Shelf Companies Are Made
The agent incorporates the company with a standard constitution, usually authorised to issue up to 50,000 shares, and keeps it dormant. It pays the annual fee and files whatever the company owes each year so the company stays in good standing. When it is sold, the nominee shareholder transfers the shares to the buyer and the nominee director resigns.
Why People Buy Them
Most buyers want speed or an older date. Some need a company in place for a contract signing in the next few days. Others believe an older company looks more established to a bank, a supplier or a tender panel. The first reason still holds in a few cases. The second rarely does, because anyone checking the company can see when it changed hands. Test both reasons against your real deadline before you pay extra for age.
A New BVI Company in Days
A new company is often faster than people expect and cleaner than a shelf. This is what we handle for you.
- From €1,899: Formation through a licensed registered agent.
- Your name, your structure: No inherited name or constitution.
- Clean history: You are the first owner on every register.
- KYC pack prepared: One file for every owner and director.
- Registers filed: Members and beneficial owners within 30 days.
- Banking with our partners: An account in the company's name, opened online.
British Virgin Islands Shelf Company Rules Since 2025
The BVI Business Companies (Amendment) Act 2024 changed the shelf market from 2 January 2025. A company must appoint its first director within 15 days of incorporation and file its register of members and beneficial ownership information within 30 days, so every British Virgin Islands shelf company now has nominee owners and directors on file with the Registry. When you buy it, the changes must also be filed within 30 days.
BVI Shelf Companies vs a New Company
BVI shelf companies made more sense when forming a company took weeks and records were held only by the agent. In 2026 the gap has almost closed, and a new company is the better choice for most buyers.
Speed
A shelf company can be transferred within a day or two once the agent approves your KYC. A new company is usually incorporated within 2 to 5 working days of the same approval. The KYC check takes the same time either way, so the real saving is a few days at most.
Age and Credibility
An older incorporation date does not give a company a trading history, accounts or a reputation. Banks and counterparties look at what the company has done and who owns it, and the Registry records show when the shares changed hands. A tender that asks for a company with several years of existence usually also asks for its accounts, which a shelf company cannot provide.
Cost
A shelf company costs more than a new one, and older companies cost more again, because the buyer pays for the years the agent kept it in good standing. A vintage BVI company can cost US$3,500 or more before any transfer filings. A new company with Binderr starts from €1,899.
The Constitution
A shelf company comes with the agent's standard memorandum and articles. They usually allow one class of shares and a simple board, which suits a basic holding company. If you need preference shares, rules for a joint venture or investor protections in the articles, they must be amended after the transfer, which adds a filing and a fee. A new company starts with articles drafted for your structure.
The Record of Past Owners
Since 2025 the Registry holds the history of every company's members, directors and beneficial owners. For a shelf company, that history shows the agent's nominees and the date you took over. It shows no trading, but the company's record does not start with you, and some banks and buyers ask about that.
When a Shelf Company Still Makes Sense
- A signing date that cannot move: You need a company this week.
- A contract that names an existing company: Rare, but it happens.
- A replacement for a lapsed group company: Where restoring the old one is not possible.

How to Buy a BVI Company Off the Shelf
To buy a BVI company off the shelf, you go through the same owner checks as for a new company, then take over the shares and the board. These are the steps.
Choose the Company
The agent offers companies by incorporation date, name and share structure. Check that the share count is 50,000 or fewer, so the yearly fee stays at US$550, and that the name suits your business or can be changed. Ask for the incorporation date, the financial year end and the next fee date before you choose, so you know what is due soon after you buy.
Pass the KYC Review
The agent checks every new director, shareholder and beneficial owner before the transfer: certified passports, proof of address, a description of the business and the source of funds. A shelf company does not let you skip any of this.
Transfer the Shares and the Board
The nominee shareholder signs a share transfer to you, or the company issues new shares to you and the nominee's shares are cancelled. The nominee director resigns and your directors are appointed by resolution.
File the Changes Within 30 Days
The updated register of members, register of directors and beneficial ownership information are filed with the Registry within 30 days. The Registry charges US$75 for a changed register of members, US$75 for changed beneficial ownership information and US$50 for a changed register of directors.
Take the Company Documents
You receive the certificate of incorporation, the memorandum and articles, the registers, the resolutions and a fresh certificate of incumbency. Ask for a certificate of good standing issued after the transfer, because banks will want one. Read about BVI company documents and certificates.
Buy or Form Your BVI Company With Us
Whether you need an aged company or a new one, we make sure the file is clean. This is what we handle.
- Route compared: Shelf company or new company, for your deadline.
- Company checked: Filings, history and good standing confirmed.
- KYC pack prepared: One file for every new owner and director.
- Transfer handled: Shares, resignations and appointments with the agent.
- Changes filed: Registers and ownership within 30 days.
- Account opened: With our banking partners, in your name.
Due Diligence Before You Buy a BVI Company
A shelf company should be a blank company. Check that it is before you pay.
- Certificate of good standing: Recent, showing fees and filings are current.
- Certificate of incumbency: Showing the agent's nominees as the only officers.
- Registers: Every past owner and director, filed with the Registry.
- Annual returns: Filed for each financial year since 2023, even if nil.
- Substance reports: Filed for each period, even with no activity.
- No bank account: And no account ever opened in its name.
- No contracts or debts: A written statement and an indemnity from the seller.
Buying a BVI Company That Trades
If you want to buy a BVI company that already does business, it is a share purchase, not a shelf transfer. You need legal advice, a share purchase agreement with warranties, a review of the company's accounts, contracts, tax position abroad and bank relationships, and the consent of its bank to the change of owner. The register changes are filed within 30 days, the same as for a shelf company.
Documents You Need and Documents You Get
The paperwork for a shelf transfer is close to that for a new company. You supply the KYC file, and the agent hands over the company's records.
What You Provide
- Certified passport: For every new director, shareholder and beneficial owner.
- Proof of address: Under three months old.
- Source of funds: Where the purchase money and the company's capital come from.
- Business description: What the company will do and where.
- Corporate buyers: Certificate of incorporation, registers and an ownership chart.
What You Receive
- Certificate of incorporation: With the original date.
- Memorandum and articles: As registered, or amended if you change them.
- Share certificates: In your name, with the old ones cancelled.
- Resolutions: The transfer, the resignations and the appointments.
- Registers: Members, directors and beneficial owners, as filed.
- Certificates: Incumbency and good standing, issued after the transfer.
BVI Shelf Company With Bank Account
Some sellers advertise a BVI shelf company with a bank account already open. It sounds like the answer to the hardest part of running a BVI company. In practice it is the riskiest way to buy one.
Why Banks Do Not Transfer Accounts
A bank opens an account for a company based on the people who own and control it. When the owners change, the bank must check the new ones, and most account terms require the bank to be told and to agree. Many banks close the account when ownership changes.
The Risk of Buying an Account
An account opened by a seller in order to sell the company is a red flag for any bank's compliance team. If the bank finds out, it can freeze the funds and close the account, and the refusal follows the company to its next application. You also inherit whatever the account was used for before you bought it.
What Banks Ask About an Aged Company
Expect questions about the purchase itself. Banks ask who owned the company before you, why you bought an existing company instead of forming one, what it has done since incorporation and whether it ever had an account elsewhere. A clear one-paragraph answer, with the agent's confirmation that the company never traded, saves a round of questions.
The Safe Route
Buy or form the company without an account, then open one in the company's name with you as its owner. Our banking partners are licensed electronic money institutions that open multi-currency accounts for BVI companies owned from abroad, usually within days of a complete file, with no large deposit. What a BVI Shelf Company Costs
A BVI shelf company costs more than a new company, and the price rises with its age. The table shows the usual costs.
Cost item | Typical amount | What it covers |
|---|---|---|
Standard shelf company | About US$1,300 to US$2,500 | A recently formed company in good standing |
Vintage shelf company | About US$2,500 to US$5,000, more for older ones | The years of fees and filings the agent paid |
Register of members change | US$75 | The Registry fee for filing the new owner |
Beneficial ownership and directors changes | US$75 and US$50 | The Registry fees for filing the new owner and director details |
Agent transfer and KYC fees | Quoted by the agent | The share transfer, resignations and checks |
Annual fee from the next due date | US$550 a year | Keeping the company on the register |
New company with Binderr, for comparison | From €1,899 | Formation, KYC review, Registry fee and first-year office |
Costs by Choice
- New company: From €1,899, with year two quoted upfront.
- Standard shelf company: About US$1,300 to US$2,500, plus transfer filings.

How Long a BVI Shelf Company Transfer Takes
Stage | Shelf company | New company |
|---|---|---|
KYC pack and certified documents | 2 to 7 days, depending on you | 2 to 7 days, depending on you |
Agent review | 1 to 3 days | 1 to 3 days |
Transfer or incorporation | Same day to 2 days | 2 to 5 working days |
Register filings | Within 30 days of the transfer | Within 30 days of incorporation |
Bank account with our partners | Days, once the file is complete | Days, once the file is complete |
Most of the time goes on your documents, which are the same in both cases. The BVI shelf company route only wins when a signing date is days away.
Yearly Filings After You Buy
Once the company is yours, it has the same yearly obligations as any BVI company. The agent's nominees no longer file them for you.
Obligation | Deadline |
|---|---|
Annual government fee | 31 May or 30 November, depending on the original incorporation date |
Annual return to the agent | Within 9 months of the financial year end |
Economic substance report | Within 6 months of each financial period end |
Register and ownership changes | Within 30 days of any change |
Accounting records | Kept for at least 5 years |
The fee date follows the company's original incorporation date, not the date you bought it, so check when the next fee is due as part of the purchase. Read about BVI company annual compliance and filing requirements.
BVI Company Formation From €1,899
For most buyers a new company is quicker to bank and cheaper than a shelf. This is what the price includes.
- Licensed agent filing: Through VIRRGIN, with the Registry fee inside our price.
- KYC review: One file, checked once.
- Constitution drafted: Memorandum and articles for your structure.
- First-year office: Registered agent and office included.
- Running costs shown: Year two quoted with the setup.
Shelf Companies, the Grey List and Banks' Checks
The BVI has been on the FATF grey list since 13 June 2025 and on the EU high-risk list since 29 January 2026. Banks now look harder at BVI companies, and a recent change of owner is one of the things they look at first.
A BVI shelf company bought from a licensed agent, with a clean record and complete documents, passes those checks. One bought from an unknown seller, with gaps in its filings or a past account, often does not. The grey listing has made the quality of the company's file more important than its age.

A Shelf Company in the BVI or a New One
For most buyers in 2026, a new company is the better choice. A shelf company in the BVI saves a few days at best, costs more and adds a transfer that banks will ask about. Choose a shelf company only when a fixed date or a contract leaves no other option.
What We Recommend
If your deadline is more than a week away, form a new company. If it is closer, ask whether the other side will sign with a company in formation or accept a short delay. If neither works, buy a shelf company from a licensed agent, check it fully and open the bank account yourself. Read our BVI company formation guide.
When a Shelf Company Is the Wrong Choice
- You need a trading history: A shelf company has none.
- You want an easier bank account: The transfer adds questions.
- You want a lower price: A new company usually costs less.
- You want privacy from past owners: The nominees stay on the record.
- You are offered one with a bank account: Walk away.
Common Mistakes When Buying a BVI Shelf Company
Most problems come from assuming an old company is a better company.
- Paying extra for age alone: Banks look at owners and activity, not the date.
- Skipping the checks: Confirm the filings and the clean history.
- Missing the 30-day filings: The new owners must be filed with the Registry.
- Keeping the old name by default: Change it if it does not fit your business.
- Buying a company with an account: The bank can freeze and close it.
Talk to Us Before You Buy
Not sure whether you need a shelf company? Tell us your deadline and what the company will do.
- Deadline checked: New company or shelf, for your date.
- Company reviewed: History and filings before you pay.
- Banking planned: The partner that takes your activity.
- Filings done: Transfers and registers within 30 days.
- Clear pricing: Every fee in writing, from €1,899.
Bottom Line
A BVI shelf company gives you an existing company quickly, but in 2026 the advantage is small. A new company takes 2 to 5 working days once the KYC is approved, costs less and starts with a clean record, while a shelf company carries nominee history, transfer filings and questions from banks. A shelf company sold with a bank account should be avoided.
If you need a company fast, a new one is usually the better buy. If a fixed date leaves no choice, buy from a licensed agent, check the file and open the account yourself. We form BVI companies from €1,899 through licensed agents, check any aged company before you buy it and open the account with our banking partners in your own name.
