Since 1 March 2025, new companies are filed only online, through the Registry's BAROS system. Non-EU shareholders also give a bank or professional reference letter dated within six months.

A company incorporated in Malta is tax resident in Malta and taxed on its worldwide income. A Malta limited company needs a name, a memorandum and articles, authorised capital of at least €1,164.69 with 20% paid up, a registered office in Malta, at least one director, a company secretary and a beneficial ownership declaration. For the Company
The name must end in "limited" or "ltd." and must not match an existing name. The objects must describe the real business, not "any lawful purpose". A private company can have up to 50 members, and a private exempt company can have one member whose sole director also acts as secretary. The Capital Deposit Before Registration
At least 20% of each share, €232.94 at the minimum, is paid when the memorandum is signed. The Registry asks for a bank receipt that shows the name of the company in formation, so the capital is deposited before the company exists. The five largest banks held 76.89% of Maltese banking assets in 2025, according to ECB data, and the Central Bank of Malta names four core domestic banks: Bank of Valletta, HSBC Malta, MeDirect and APS Bank. With so few banks, one refusal closes a large part of the market for a new company.
Appointments and Questionnaires
Bank of Valletta asks business clients to request a branch appointment and wants an organigram that shows every level, percentage and country up to the real owners. HSBC Malta discusses its business account in person, by appointment. MeDirect says it may not serve clients located outside the EU.
Foreign-Owned Companies Pay More
HSBC Malta treats a company as an International Company if it is registered outside Malta or at least 50% owned by a parent outside Malta, and charges €175 a month against €30 for a local company. Lombard Bank charges entities with foreign shareholding €350 for due diligence and €750 on acceptance, and BNF Bank charges international corporate customers €1,500 a year per account.
Gaming, Crypto and Payments Pay Most
Bank of Valletta charges gaming companies and payment processors €3,000 to open an account and up to €600 a month to keep it, and MeDirect charges gaming entities €1,500 to open. These sectors are priced rather than banned, but at a level most new companies cannot carry.
A Refusal Follows You
Banks rarely explain a refusal in detail, and the next bank asks whether you applied elsewhere. In a market this small, a second refusal on the same file is hard to explain.
