Jersey company registration gives you a private company within days: 1 director and 1 shareholder who can live anywhere, no minimum capital and a 0% standard tax rate. The Registry can incorporate a company within 2 hours when a deal needs it, and a private company never files its accounts.
What slows people down is the rulebook. Only a licensed Jersey provider can register a company for an owner abroad, the JFSC must consent to the share issue, every company needs a secretary, and the beneficial owners and a nominated person are filed before the company trades.
We take that off your hands. We work with licensed Jersey administrators and run your company registration in Jersey from the name check to the registered office: memorandum and articles, the consent application, the ownership filing and the first registers. You see one price from €1,499, and the company is registered within a week.

Why Register a Company in Jersey
Jersey is quick to register in, light to run and trusted by banks and investors. A private company needs very little to start, pays 0% tax at the standard rate and keeps its accounts private. The Registry incorporated 2,889 Jersey companies in 2025.
Registered in Days, or in 2 Hours
The JFSC Registry offers five service levels, from £200 within 5 business days to £820 within 2 hours. Most companies use the standard service, but a same-day company is possible when a transaction needs one.
Few Setup Requirements
To set up a company in Jersey as a private company, you need 1 director, 1 member, a secretary and a registered office in Jersey. There is no minimum share capital, and neither the director nor the shareholder has to live on the island.
Jersey Company Registration
Jersey company registration is quick when the file is complete on the first day. This is what we do for you.
- Licensed filing only: You cannot file from abroad, our licensed administrators do it.
- Name checked first: Reserved before a single document is drafted.
- Secretary arranged: Every Jersey company needs one, and we provide it.
- Share consent prepared: The JFSC consent filed with the incorporation.
- 0% company tax: The standard rate for most Jersey companies.
- From €1,499: The Registry fee sits inside our price.
- No back-and-forth emails: One contact from the first call to the certificate.
A 0% Standard Tax Rate
The standard rate of company tax in Jersey is 0%, with 10% for certain financial services companies and 20% for utilities, large retailers, hydrocarbon oil and Jersey property income. Jersey has no capital gains tax and no withholding tax on dividends paid to owners abroad.
Private Accounts
Every company prepares accounts, but a private company does not file them with the Registrar and needs no audit unless its articles or a resolution require one. Its finances stay between the company, its members and its bank.
A Registry Banks Trust
Jersey was rated Compliant overall by the OECD on tax transparency and scored among the highest levels worldwide in MONEYVAL's 2024 evaluation. A Jersey certificate of incorporation is a document banks and counterparties already know. Read more about the benefits of incorporating a company in Jersey.
Requirements for Setting Up a Company in Jersey
The requirements for setting up a company in Jersey come from the Companies (Jersey) Law 1991 and two other rules that catch people out: the JFSC consent to the share issue and the beneficial ownership filing. None of them asks you to live on the island.
Directors
A private company needs at least 1 director and a public company at least 2. Directors can live anywhere and there is no nationality rule. Where the directors sit still matters for tax, because a company managed from another country can be treated as resident there.
Members
A company can be formed by one person or by two or more, so a single shareholder is enough for a private or a public company. A company or a trust can be the shareholder, as long as the people behind it are identified.
Secretary
Article 81 says every company must have a secretary, and a sole director cannot also be the secretary. A one-person company therefore appoints a separate secretary, usually the licensed administrator. A public company's secretary must be suitably qualified.
Registered Office
Every company needs a registered office in Jersey where notices can be served. For an owner abroad, the licensed provider supplies it along with the statutory records.
Share Capital
There is no minimum capital. Shares can have a par value or no par value, and the choice is made in the memorandum. No par value companies keep a stated capital account, which makes returning money to shareholders simpler. They are also common in a Jersey SPV.
The Consent to Issue Shares
The incorporation includes an application for consent to issue shares under the Control of Borrowing (Jersey) Order 1958. It is granted in the same process, but it is a real consent: the JFSC sees who will own and control the company before it exists, and a long ownership chain or a sensitive activity draws questions.
Beneficial Owners and the Nominated Person
Under the Financial Services (Disclosure and Provision of Information) (Jersey) Law 2020, each company files its beneficial owners and significant persons with the JFSC and appoints a nominated person. Changes must be notified within 21 days, with fines of up to £10,000 plus daily fines of up to £1,000 for failures. Our ultimate beneficial owner guide shows how ownership is traced through layers.
Who Can File
The Registry accepts an incorporation from a beneficial owner who lives in Jersey, or from a JFSC regulated provider licensed to form companies. Everyone else files through a provider.

Company Registration in Jersey for Non-Residents
Company registration in Jersey for an owner abroad follows the same law as for a resident, with the licensed provider in the middle. Nobody travels, and there is no residency rule for directors or shareholders.
Using a Licensed Provider
The provider files the incorporation, supplies the registered office and the secretary, acts as nominated person and keeps the records on the island. It is also the largest yearly cost, so it is agreed in writing before you start. Read about setting up a business in Jersey as a non-resident.
Identity Checks From Abroad
The provider must identify every beneficial owner and controller before it acts. Expect certified passports, recent proofs of address and evidence of where the money comes from. We tell you exactly what is needed and check it before submission, so the provider does not come back with questions.
Tax Residence and the Board
A Jersey company whose decisions are all taken in another country can be claimed as resident there. Hold board meetings in Jersey and record the decisions there, and the company stays a Jersey company. Read how to set up a company as a non-resident for the same rule elsewhere.
Start a Company in Jersey From Abroad
You can start a company in Jersey from any country. This is how we keep it simple.
- No travel needed: Documents certified and signed where you live.
- Provider in place: Registered office, secretary and nominated person arranged.
- No residency rule: Directors and shareholders can live anywhere.
- Board position planned: We agree where directors meet before filing.
- Island banks slow to onboard: Our partners open accounts for owners abroad in days.
- Same price from abroad: From €1,499, the Registry fee included.
How to Register a Private Company in Jersey
To register a private company in Jersey, you reserve the name, settle the share structure, draft the memorandum and articles, and file them with the consent application. We do each step for you, and the whole process usually takes about a week.
Check and Reserve the Name
A name reservation costs £10 under the JFSC fee schedule in force since 1 January 2024. The Registry refuses a name that is the same as an existing company, so we check it before anything else is drafted. You can search the Jersey registrar of companies for existing names.
Choose Par Value or No Par Value Shares
Par value shares have a nominal value, such as £1 each. No par value shares have none, and the company keeps a stated capital account instead. Holding companies and funds often choose no par value because distributions come out of stated capital rather than distributable profits.
Draft the Memorandum and Articles
The memorandum states the company's name, that it is private and its share type. The articles set the rules: share classes, transfers, directors' powers and decisions that need shareholder approval. A joint venture or an investor round belongs here, not in a side letter.
Prepare the Consent Application
The application for consent to issue shares goes in with the incorporation. It names the shareholders and the beneficial owners behind them and describes what the company will do. A clear ownership chart gets a clear answer.
File With the JFSC Registry
The provider files the memorandum, the articles and the consent application. The fee depends on how fast you need the company.
What you pay for | JFSC fee | When it is done |
|---|---|---|
Name reservation | £10 | Before filing |
Incorporation | £200 | Within 5 business days |
Incorporation | £295 | Within 3 business days |
Incorporation | £375 | Within 2 business days |
Incorporation | £520 | Within 1 business day |
Incorporation | £820 | Within 2 hours |
These fees sit inside our price, and we use the service that matches your deadline.
Receive the Certificate
The Registry issues the certificate of incorporation with the company number. The company is automatically registered for company tax with Revenue Jersey at the same time, so no separate tax registration is needed.
File the Owners and Open the Registers
After incorporation, the company appoints its nominated person, files its beneficial owners and significant persons and opens its register of members and register of directors. In Jersey, set up company registers on day one, because the bank will ask for them.
Full-Service Company Registration in Jersey
Company registration in Jersey runs through one team with us, from the name check to the open account.
- Structure planned first: Owners, board and share type agreed before filing.
- Documents drafted: Memorandum, articles and consent application prepared.
- Faster than going direct: One complete file, so no rounds of Registry questions.
- Registry speed chosen: Standard, next-day or 2 hours, to match your deadline.
- Deadlines on our calendar: February confirmation and November return tracked.
- Bank file ready: Built from the same KYC pack as the company.
Documents Needed for Jersey Company Registration
The documents for Jersey company registration are the same whether you live on the island or not. In Jersey, set up company documents once and reuse them for the bank. The provider, the JFSC and the bank all see the same file, so we build it once.
For Each Owner, Director and Controller
- Passport: Certified, with the same spelling used on every other document.
- Proof of address: A utility bill or bank statement, usually from the last 3 months.
- Source of wealth: Where the money going into the company was earned.
- Role in the company: Director, shareholder, beneficial owner or more than one.
- Tax residence details: Country and tax number for reporting.
For the Company
The proposed name and a back-up, the share type and classes, the rights attached, a short description of what the company will do, where it will do it and the expected money in and out in the first year.
For a Corporate Shareholder or Trust
The registry extract or the deed of a Jersey trust, the constitution, a board resolution approving the investment and an ownership chart up to the individuals. Every layer is traced, so a missing link is the most common delay.

How Long Jersey Company Registration Takes
Jersey company registration takes about a week with us. The Registry can be as fast as 2 hours, so the time goes on the KYC pack and the ownership chart, not on the filing.
Stage | Typical time | What happens |
|---|---|---|
Structure call | 1 day | Owners, board, share type and activity agreed |
KYC pack and ownership chart | 2 to 4 days, longer where owners are slow | Certified passports, addresses, source of wealth and the chart |
Name reservation and constitution | 1 day | A £10 reservation, then the memorandum and articles |
JFSC incorporation and consent | 2 hours to 5 business days, by service | The company is incorporated and the share issue consented |
Registers, nominated person and filings | 1 to 2 days after incorporation | Ownership filed and statutory registers opened |
Account with our banking partners | Usually 2 to 4 days from a complete file | A multi-currency account opens |
What Adds Days
A passport that is not properly certified, a corporate shareholder with no registry extract, a trust above the company or a politically exposed person in the chain. The Registry is almost never the slow part. Read how to incorporate a company in Jersey for the timing of each document.

After Company Registration in Jersey
After company registration in Jersey, a private company has a short, fixed list of yearly duties. Miss one and the penalties start at once. In Jersey, set up company reminders for February and November on day one.
Obligation | Deadline | Where it goes | If it is late |
|---|---|---|---|
Annual confirmation statement | Last day of February each year | JFSC Registry | £75 after February, rising through £150, £225, £295, £445 and £590 to £740 by the end of September |
Beneficial owner and significant person changes | Within 21 days of becoming aware | JFSC Registry | A fine of up to £10,000 plus daily fines of up to £1,000 |
Company tax return with the substance answers | Midnight on 30 November of the following year | Revenue Jersey | Penalties, and the substance position is judged on the return |
Accounts for the members | Each year | Kept by the company | No Registry filing and no audit for a private company |
Board meetings and minutes | Through the year | Held and kept in Jersey | The substance and residence position weakens |
The Annual Confirmation Statement
Every company confirms its details and beneficial owners between 1 January and the last day of February. The fee is £330 including the government levy for a company administered by a trust company business, or £220 for one that is not. The late penalties climb every month, so a September filing costs £740 on top.
Economic Substance
A company carrying on one of the nine relevant activities, such as holding company, finance and leasing or intangible property business, must be directed and managed in Jersey with adequate people, spending and premises. The answers go on the tax return. A first failure carries a penalty of up to £10,000 and a second up to £100,000.
Accounts and Audit
Every company prepares accounts, but a private company does not file them and needs no audit unless its articles or a resolution require one. A public company audits and files within 7 months.
Keeping the Records on the Island
The registers, the board minutes and the ownership record stay with the provider in Jersey. The tax authorities can look back 6 years on substance, and by then the only evidence is what was written down at the time.

What the Jersey Registry Shows
Anyone can search a Jersey company's name, number, registered office and status on the JFSC public register. The beneficial ownership information filed under the 2020 Law is not part of that search. Access is limited to the JFSC, the police, Revenue Jersey and other authorities, plus regulated firms carrying out their checks. The Government of Jersey consulted from October 2025 to January 2026 on access for people with a legitimate interest, such as journalists. Until that changes, a private company's owners stay off the public record.
Business Banking After Jersey Company Registration
A new company needs an account before it can receive money, and this is the slowest step for most owners abroad. Island banks such as NatWest International, Butterfield and HSBC are cautious with new companies with no local link, and refusals are common. Our partners open multi-currency accounts in days.
Feature | Jersey and offshore banks | Our partners |
|---|---|---|
Time to open | Several weeks for a new company owned from abroad | Usually 2 to 4 days from a complete file |
Who they accept | Companies with a local link or a large relationship | Jersey companies with owners abroad and a clear ownership chart |
Minimum balance | Often a substantial relationship | None |
Monthly cost | Relationship based | About €30 to €100 a month on a published plan |
Multi-currency | A separate account per currency | Several currencies in one account, with real IBANs |
Why a New Jersey Company Is a Hard File
A new company has no trading history, so the bank looks through it to the owners and the plan. Owners abroad, a corporate shareholder or a sector the bank avoids each add weeks. See the best banks for Jersey companies and Jersey bank account requirements.

Who Jersey Company Registration Is Wrong For
A Jersey company costs more to run than an onshore company, so it has to earn that cost. Our guide to Jersey offshore company formation covers the cases where it does.
Small Companies Trading in One Country
A company that sells in one country and makes modest profits usually pays more for the administrator than the structure saves. A local company is the better answer.
Companies That Need an EU Address
Jersey is not in the EU. If customers, licences or contracts need an EU company, look at Ireland, Cyprus or Malta.
Owners Who Want No Ongoing Provider
For an owner abroad, the licensed provider is not optional and it is the biggest yearly cost. A Jersey company is not a cheap shelf company.
Common Mistakes When Setting Up a Company in Jersey
Most mistakes when setting up a company in Jersey happen before the filing, in choices that look small at the time.
Planning a Sole Director as Secretary
A sole director cannot also be the secretary. Plan the secretary with the provider before filing, or the Registry sends the application back.
Choosing Par Value by Default
Par value shares are fine for a simple company, but a holding company or a private fund usually wants no par value so money can be returned more easily. Changing later costs more than choosing right.
An Ownership Chain With Gaps
A corporate shareholder with no registry extract, or a trust with no deed, stops the consent and the bank at the same time. Map every layer to the individuals before filing. In Jersey, set up company ownership charts first, not after the JFSC asks.
Missing the 21-Day Ownership Update
A new shareholder or a new controller must be notified within 21 days. The fines run up to £10,000 plus daily fines.
Filing the Confirmation Statement Late
The confirmation statement is due by the last day of February. The penalty starts at £75 in March and reaches £740 by the end of September.

Bottom Line
Jersey company registration is quick and the requirements are light: 1 director, 1 member, a secretary, a registered office, no minimum capital and a Registry that can incorporate within 2 hours. Anyone can set up a company in Jersey from abroad through a licensed provider. The details that matter are the JFSC consent to issue shares, the beneficial ownership filing, the secretary rule and a licensed provider for any owner abroad. After registration, a private company confirms its details every February, files a tax return every November and keeps its accounts private. We handle company registration in Jersey from €1,499 with licensed administrators, and the company is ready in about a week. For the wider picture, read our guide to company formation in Jersey.
