How to Set Up an SPV in the Isle of Man in 2026

An Isle of Man SPV holds one asset, such as an aircraft, a ship, a property or a loan book, in a company of its own, so the risks of that asset stay apart from everything else you own. Leasing and shipping income is taxed at the standard 0% rate, and dividends leave with no withholding tax.

The hard part is the detail around the asset. A 2006 Act company can only be filed by a licensed registered agent, and lenders, registries and banks all check every owner. Leasing, shipping and finance SPVs must also pass the full substance test, with a board that really meets on the island.

Setting it up with us is simple. We work with a licensed registered agent on the island and handle the whole SPV: the structure, your KYC pack, the articles, the filing, the ownership report and the bank file. One team and no email chains. You tell us what the SPV will hold, and we get it done.

Why Set Up an SPV in the Isle of Man

An SPV in the Isle of Man gives one asset its own company, taxed at 0% on most income, with no capital gains tax and no withholding tax on dividends. The island also runs its own aircraft and ship registries, so owners and lenders can keep the asset, the company and the registration in one place. The wider benefits of registering a company in the Isle of Man apply as well.

0% Tax on Leasing and Shipping Income

Most companies on the island pay income tax at 0%, and that includes income from leasing an aircraft and from shipping. This is the standard rate, not a special scheme, so there is no application and no ruling to keep. Only income from Isle of Man land and property is taxed at 20%, and banking business at 10%.

One Asset in One Company

An SPV keeps one asset and its debts in one company. If a lease fails or a project loses money, the claim stops at that company and does not reach your other assets. Lenders like this, because the only thing in the company is the asset they finance. Our guide to what an SPV company is explains the idea in more detail.

Set Up an SPV in the Isle of Man

An Isle of Man special purpose vehicle is easy to set up when the file is right. This is what we handle for you.

  • Licensed agent included: We work with a licensed registered agent, as the 2006 Act requires.
  • Built around your asset: We plan the SPV for the aircraft, ship, property or loans it will hold.
  • KYC pack prepared: We tell each owner what to send and check it before submission.
  • Substance test confirmed: We tell you early if the full test applies to your SPV.
  • Formed in about a week: From a complete file, with the Registry fee included.

Island Registries for Aircraft and Ships

The Isle of Man Aircraft Registry has registered aircraft under the M- prefix since 2007, and the Isle of Man Ship Registry registers merchant ships and pleasure yachts. An island SPV can own the asset and register it on the same island, so the lender, the registry and the company all deal with one jurisdiction.

A Crown Dependency Lenders Know

The Isle of Man is a self-governing Crown Dependency, outside the EU but inside the UK VAT area. Its double tax agreement with the UK has been in force since 19 December 2018. Banks, lessors and financiers are used to working with its law.

Types of SPV in the Isle of Man

The main types of SPV in the Isle of Man are asset holding, aircraft, ship and yacht, property, finance and cell companies. Most are ordinary 2006 Act companies with a narrow purpose. What the SPV does with its asset decides its tax rate and which substance test it faces, so choose the type before you file.

SPV type

What it holds

Tax and substance

Asset holding SPV

Shares or investments

0%, reduced test if it only holds shares

Aircraft SPV

One aircraft, owned and often leased out

0% on leasing income, full test

Ship or yacht SPV

0% on shipping income, full test

Property SPV

20% on Isle of Man land, rent not a listed sector

Finance SPV

Loans or receivables

0%, full test for financing

Cell company

Separate pools of assets in cells

0%, test set by each cell's activity

The table shows why the type matters. Holding shares is light, while leasing, shipping and lending bring the full substance test with people and board meetings on the island. Property on the island is the only common case taxed above 0%.

Asset Holding SPV

An asset holding SPV owns shares in one company or one investment, and nothing else. It is often used to buy a business or to hold one stake in a joint venture. If it only holds shares, it is a pure equity holding company and faces the reduced substance test. If you plan to hold several subsidiaries, a holding company may suit you better: see how to set up an Isle of Man holding company and our guide to SPV vs holding company.

Aircraft SPV

An aircraft SPV owns one aircraft, often a business jet, and leases or charters it to the operator. The island runs its own aircraft register, so aircraft SPVs get their own section below.

Ship and Yacht SPV

The Isle of Man Ship Registry accepts bodies corporate that are incorporated, and have their principal place of business, in the Isle of Man, the UK, the Channel Islands or a qualifying country. From 1 March 2025 the registry added 58 more countries and territories to that list. A pleasure yacht costs £209 to register and from £312 a year, rising to £1,260 for yachts over 24 metres. For the registration steps, see how to register a yacht in the Isle of Man.

Property SPV

Investors often use one SPV per property or development project, so each project can be financed and sold on its own. Rent and profits from Isle of Man land and property are taxed at 20%. Property abroad is usually taxed where it sits, so check that country's rules first. Interest paid by a company taxed on Isle of Man land income also carries 20% withholding tax. Our guide on how to use an SPV for real estate covers the structure.

Finance and Securitisation SPV

A finance SPV lends money or holds loans and receivables, often in a structured finance deal. Its shares are often held by a purpose trust under the Purpose Trusts Act 1996, so the SPV can sit off the sponsor's balance sheet. The island has no separate securitisation law, so confirm early whether your deal needs a licence. See how to set up an Isle of Man trust.

Protected and Incorporated Cell Companies

A protected cell company keeps separate pools of assets and liabilities in cells inside one company. It can be formed under the Protected Cell Companies Act 2004 or the Companies Act 2006, and is no longer limited to insurance. An incorporated cell company, under the Incorporated Cell Companies Act 2010 in force from 1 June 2011, gives each cell its own legal personality, but it can only be formed if it is authorised under the Insurance Act 2008 or in a class the Treasury prescribes. Cell companies are quoted with your setup. Compare them with Guernsey protected and incorporated cell companies.

LLCs and Limited Partnerships

Some SPVs use a limited liability company under the Limited Liability Companies Act 1996, or a limited partnership under the Partnership Act 1909. Both cost £100 to register on the standard service, and each files a £95 annual return or statement. Ask us which vehicle fits your deal before you file.

Isle of Man SPV for Aircraft

An aircraft SPV is a company that owns one aircraft and leases or charters it to the operator. Its leasing income is taxed at the standard 0% rate, and the aircraft is registered with the Isle of Man Aircraft Registry under an M- mark. Because the SPV leases, it must pass the full substance test.

How an Aircraft SPV Works

The SPV holds legal title to the aircraft and nothing else. It can charter the aircraft to related companies or dry lease it to a third party, within the registry's conditions. A lender that finances the purchase deals with one company whose only asset is the aircraft, and the owner's other companies stay outside the deal.

Who Can Own an Aircraft on the M- Register

Isle of Man aircraft carry the prefix M followed by four characters, such as M-YJET, and owners can choose marks out of sequence and transfer them. The aircraft owner does not have to be an Isle of Man company. The registry's rules have allowed companies from the Commonwealth, the EEA and Switzerland to own, and an owner that does not qualify can still register if it dry leases the aircraft to a qualifying lessee. Check the current list with the registry before you buy. Registry fees are set under the Civil Aviation (Charges) Scheme.

Leasing Income and the Full Substance Test

Financing and leasing is a sector under the island's substance rules, so an aircraft SPV that leases faces the full test set out in the tax section below. In practice, that means island directors and board meetings held on the island. One published island fee scale lists a sole corporate director from £3,330 a year.

VAT When the Aircraft Is Imported

The Isle of Man and the UK are one area for VAT. Import VAT is paid when the aircraft is imported, and a VAT registered business that shows business use can recover it. The island's offset procedure nets the two at the point of import. An HM Treasury review published in 2019 found that registration checks were robust but that checks after registration were not strong enough. It counted 472 aircraft registrations and 233 aircraft VAT registrations between 2012 and 2017. Since the UK left the EU, an import here brings the aircraft into the UK and Isle of Man VAT area, not the EU. See Isle of Man VAT and the UK VAT area.

Set Up Your Isle of Man SPV for Aircraft

An aircraft SPV is straightforward when the owner file is ready before the purchase. We prepare it with you.

  • Owner company formed: The SPV formed with our licensed agent, ready to hold title.
  • File your financier accepts: Registers, ownership chart and KYC pack in one set.
  • Island board planned: Directors and board meetings set before the first lease.
  • VAT questions raised early: Import VAT and business use flagged before you buy.
  • Owners anywhere: No residency rule for owners, documents signed where you live.
  • Account for lease income: Our partner opens accounts for single asset structures.

Isle of Man SPV Requirements

Under the 2006 Act, an SPV needs one director, one shareholder, a licensed registered agent and a nominated officer for beneficial ownership. There is no residency rule, no company secretary and no audit under company law. Leasing, shipping and finance SPVs add the full substance test on top.

One Director, One Shareholder and a Licensed Agent

A 2006 Act company needs one director, appointed within one month of incorporation, and one member. The director can be a person or a company, and neither needs to live on the island. Every 2006 Act company must have a registered agent with a Class 4 licence from the Isle of Man Financial Services Authority, and only the first registered agent can file the incorporation. See Isle of Man registered agent requirements. A 1931 Act company needs two individual directors and a secretary instead, as our guide to 1931 Act vs 2006 Act companies explains.

Beneficial Ownership for SPVs

Under the Beneficial Ownership Act 2017, anyone with 25% or more of the shares or votes, looking through every layer, is a registrable beneficial owner. Owners have 21 days to give their details to the nominated officer, who then has 21 days to file them. Where no one qualifies, a senior managing official is filed instead. Our guide to the Isle of Man Companies Registry search explains who can see the data.

Filings, Records and the Tax Return

The annual return is due within one month of its made-up date and costs £380 on time, £480 when 1 month and 1 day to 3 months late, and £630 after that. Since 1 April 2025, director changes are notified within one month on Form IM12. Accounting records are kept for 6 years, and the CT1 tax return is due 12 months and 1 day after the year end. See Isle of Man company annual filing and compliance.

Isle of Man SPV for Non-Residents

An SPV owned from abroad is formed and run the same way as one owned on the island. You can own 100% of it and be its only director, and the setup runs remotely. The catch is substance: a leasing, shipping or finance SPV must be managed on the island, so most owners abroad add island directors. Our guide to Isle of Man company formation for non-residents covers the rest.

How to Set Up an SPV in the Isle of Man

To set up an SPV in the Isle of Man, you tell us what the SPV will hold, who owns it and how it is financed, and we do the rest. Our licensed agent checks the owners, files the company with the Registry and reports the beneficial owners. A clean file is formed in about a week.

Before You Start

Decide four things first. What the SPV will hold and do, because that sets its tax rate and substance test. Who owns it, because every owner with 25% or more is checked. How it is financed, because the lender will review the articles. And where the board meets, because that decides tax residence.

We Plan the Structure

We map the SPV, its asset, its owners and any trust or company above it. We confirm the Act, the share classes and the name, and we flag early if the full substance test or a licence could apply.

We Build the KYC File

Our licensed agent checks every owner and director before it files. We tell each person exactly what to send, check it against the agent's list and close the gaps before submission, including the owners of any corporate shareholder or trust.

We Draft the Articles and File

We prepare a memorandum and articles written around the SPV's single purpose and its financing. Our licensed agent then files with the Companies Registry, which processes a standard application within 48 hours for £100, or within 2 hours for £250. The Registry fee is included in our price.

We Report the Owners and Prepare for the Asset

The nominated officer files the beneficial owners within the deadlines. We then hand you the company documents the lender and the aircraft or ship registry ask for, and we build the bank file at the same time.

How Long Isle of Man SPV Formation Takes

From a complete file, the SPV is formed in about a week. The Registry part is 48 hours, and most of the time goes on owner checks. The bank account follows within days with our partner once the file is complete.

Full-Service Isle of Man SPV Formation

We handle the whole SPV with our licensed agent, from the first document to the bank file.

  • Registry filing handled: Our licensed agent files the company and pays the Registry fee.
  • Articles for one purpose: Drafted around the asset and the financing behind it.
  • Owners reported on time: Beneficial ownership details filed within the deadlines.
  • Clean file, fewer questions: Gaps closed before the agent's checks, not after.
  • Papers for the registry: Company documents ready for the aircraft or ship registry.
  • Clear timeline: About a week from a complete file to the certificate.

Documents Needed for an Isle of Man SPV

The documents cover three groups: each person, any company or trust that owns the SPV, and the asset. The agent, the lender and the bank use the same papers, so we prepare one set that works for all three.

  • Passport: A certified copy for every owner, director and signatory.
  • Proof of address: A utility bill or bank statement from the last 3 months.
  • CV: A short career history that shows how the person earns money.
  • Source of funds and wealth: Where the money for the asset came from, with evidence.
  • Reference: A bank or professional reference.

A lawyer, notary or accountant in your own country certifies the copies. Documents not in English need a certified English translation.

A company that owns the SPV sends its certificate of incorporation, its constitution, its register of directors and details of its own beneficial owners. A trust sends the trust deed or a letter from the trustee. For the asset, we need the purchase or lease agreement, the financing terms and, for an aircraft or ship, the details the registry asks for.

Most SPVs pay nothing on the island, but most of them also sit in a substance sector. So plan for the cost of the board and the people, not for tax. The company still files a CT1 return every year, even when it owes nothing. Our guide to Isle of Man company tax and the zero rate rules covers every rate.

What the Full Substance Test Asks For

The Income Tax (Substance Requirements) Order 2018 applies to accounting periods from 1 January 2019. Under the full test, the SPV must be directed and managed on the island, with board meetings held there at an adequate frequency and a quorum physically present. It needs adequate qualified employees, spending and premises on the island, and its core income generating activities must happen there. It can outsource them only to a supervised provider on the island. The company reports its position in its tax return.

Substance Penalties

An SPV that fails the test pays £10,000 for the first period, £50,000 for the second and £100,000 for the third, and it may be struck off. Information about the failure is also sent to foreign tax authorities each time. That is why we confirm which test applies before you file.

Business Banking for Isle of Man SPVs

An SPV needs an account for lease income, loan payments and sale proceeds. Island banks mostly open business current accounts for residents with simple ownership, which rules out most SPVs owned from abroad or through a trust. Our banking partner for complex structures opens the account remotely, and we prepare the file with you.

Isle of Man Banks for SPVs

Isle of Man Bank and NatWest International charge £12.50 a month per account on tariffs correct as of January 2025. Both open business current accounts only where all owners, directors and shareholders live in the Channel Islands, the Isle of Man or Gibraltar, with one layer of ownership and no nominees. Lloyds offers Island Business Banking at £8.50 a month to businesses registered and operating in the islands, and its guide to bank charges allows an enhanced due diligence fee of up to £10,000 a year per legal entity. For asset finance, Nedbank Private Wealth lends to corporate structures in the Isle of Man and elsewhere, with loans from £500,000. Company deposits are protected up to £20,000 per entity per bank. See Isle of Man bank accounts for non-resident companies.

Our Banking Partner for Complex Structures

We work with a regulated partner built for trusts, foundations and SPVs. It opens multi-currency accounts remotely for single asset companies and layered ownership, on published plans of about €30 to €100 a month. We build the file from the formation documents, so you do not send them twice. Our guide on how to open a bank account for an SPV explains what the partner checks.

The Isle of Man stands out for aircraft and ship SPVs, because it has its own registries for both and the light rules of the 2006 Act. Guernsey and Jersey suit SPVs tied to funds and cell structures there. Malta is worth its extra rules when the SPV needs to sit inside the EU. All four are formed with us in about a week.

Isle of Man vs Guernsey

Guernsey also has a 0% standard rate, with 10% for banking, fiduciary and insurance business and 20% for some regulated utilities, large retailers and Guernsey land. A standard Guernsey incorporation costs £100 at the Registry within 24 hours, and a provider-run company pays a £525 annual validation fee. Guernsey is known for its cell companies and funds. Who an Isle of Man SPV Is Wrong For

The structure is the wrong choice when its 0% rate cannot hold in practice, or when the asset needs something the island does not offer. These are the main cases.

It does not suit a leasing or shipping SPV run entirely from home. These SPVs face the full substance test, so with no board, people or premises on the island they risk penalties and strike-off.

It does not give EU free circulation. An aircraft or yacht imported here enters the UK and Isle of Man VAT area, not the EU, so an EU based owner may need another route.

It may cost more than it saves on a small asset. A simple SPV costs about €5,000 to €8,000 in its first year, so a low value asset may not justify its own company.

Very large groups lose the 0% rate. Groups with revenue of €750 million or more pay a 15% minimum on island profits from 1 January 2025.

Read more: how to set up a company in the Isle of Man.

Common Mistakes When Setting Up an Isle of Man SPV

Most problems come from a few choices made before the asset is bought. Each one has a cost, and each one is easy to avoid.

Leasing With No Board on the Island

Owners often form a leasing SPV and then run every decision from home. A leasing SPV faces the full substance test, so it must be directed and managed on the island with a quorum physically present at board meetings. Failing the test costs £10,000 for the first period, then £50,000, then £100,000, and the company can be struck off. Plan island directors and a board calendar before the first lease is signed, and keep minutes that show where each decision was made.

Treating the Island as Part of the EU for VAT

Older material still describes the island as inside the EU for VAT. Since the UK left the EU, an import into the Isle of Man brings an aircraft or yacht into the UK and Isle of Man VAT area only. An owner who expects EU free circulation may face EU import VAT when the asset is brought into the EU. Check where the asset will be used before you choose where to import it.

Putting Several Assets in One SPV

An SPV protects you because it holds one asset. If a second aircraft or a second property goes into the same company, a problem with one asset reaches the other, and lenders may refuse to finance either. Form one SPV per asset or per project. The annual return is £380 per company, which is small next to the risk it removes.

Forgetting a Quiet SPV's Annual Return

An SPV that holds one asset has little activity, so owners forget its filings. The annual return costs £380 on time, £480 when up to 3 months late and £630 after that. A company that keeps missing it can be struck off, and restoring it costs a £1,185 Registry fee before any provider fees. Keep the agent's fees paid too, because an agent can resign after 8 weeks' notice for unpaid fees.

Plan Your SPV Before You Buy the Asset

Not sure which SPV structure fits your deal? Book a short call and we map it with you before anything is filed.

  • €30 advisory call: Credited against your setup if you go ahead within 30 days.
  • Vehicle chosen: 2006 Act, 1931 Act, LLC or cell company, matched to the asset.
  • Reduced or full test: Which substance test applies, decided before you file.
  • Registry route mapped: What the aircraft or ship registry will ask the SPV for.
  • Banking route agreed: The account that fits your owners and your lender.
  • Year one budget: Every running cost listed for your SPV profile.

Bottom Line

An SPV on the island gives one asset its own company, taxed at 0% on leasing, shipping and holding income, with no capital gains tax and no withholding tax on dividends. The island's own aircraft and ship registries make it a strong base for an aircraft or yacht SPV, and a 2006 Act company needs just one director and one shareholder.

The work is in the setup and the first year: a licensed registered agent to file, a clean KYC file for every owner, ownership reports on time, island directors where the full substance test applies, and a bank account for a structure owned from abroad. Plan those before you buy the asset.

We form the SPV with our licensed agent from €1,499, handle the filings and open the account with our partner. Cell companies and trusts are quoted with your setup, and a simple SPV costs about €5,000 to €8,000 in its first year.
