A BVI company does not need a company secretary by law, and many never have one. One director and one shareholder can run it, with a licensed registered agent handling the filings. Many owners still appoint a BVI company secretary, because someone has to keep the minutes, prepare the resolutions and make sure the yearly deadlines are met on time.
The hard part is knowing who is allowed to do what. Forming companies, acting as registered agent, providing directors, secretaries or nominee shareholders are all licensed activities in the BVI, and the rules on disclosure, ownership checks and inspections have tightened every year since 2023.
This is where we come in. Binderr works with licensed registered agents in the BVI and handles the whole picture for you: formation, the registers, the yearly filings and the board paperwork. One team, one point of contact, and every service provided by a firm licensed to provide it.

BVI Company Secretary Rules in 2026
There is no requirement for a BVI company secretary in the BVI Business Companies Act. The Act requires a registered agent, a registered office, at least one director and at least one member. A secretary is optional, and the company decides whether to have one.
Role | Required by law | Who can fill it | Licensed if provided as a business |
|---|---|---|---|
Registered agent | Yes, at all times | A licensed BVI firm only | Yes |
Registered office | Yes, in the BVI | Usually the registered agent | Yes |
Director | Yes, at least one | Any individual or company, anywhere | Yes, for professional directors |
Company secretary | No | Any individual or firm | Yes, when provided from the BVI for reward |
Nominee shareholder | No | Any person, disclosed on the register | Yes |
Accountant | No, but books must be kept | Any accountant | Under accounting rules |
Why Many Companies Still Appoint One
A BVI company secretary keeps the company's paperwork in order: minutes of board and shareholder meetings, written resolutions, the internal registers and the yearly calendar. Banks and investors expect that paperwork to exist, and the Act requires the company to keep minutes and resolutions. A secretary is simply the person who makes sure it happens.
Who Usually Acts
For a small company, one of the directors often acts informally, or the registered agent's group provides a corporate secretary. Larger groups use their in-house company secretarial team or a firm in the country where the board meets. Any individual or company can be appointed if the articles allow the directors to appoint officers.
Set Up and Run Your BVI Company With Us
A BVI company runs smoothly when the formation and the paperwork are handled together. This is what we do for you.
- From €1,899: Formation through a licensed registered agent.
- Registers filed: Members, directors and beneficial owners on time.
- Board paperwork: Resolutions and minutes prepared when needed.
- Yearly filings tracked: Fee, annual return and substance report.
- Licensed providers only: Every service from a firm licensed to provide it.
- One point of contact: We deal with the agent for you.
What a Secretary Does Not Replace
A company secretary does not replace the registered agent. Only the licensed agent can act as the company's agent with the Registry, provide the registered office and carry out the checks the law requires on the owners. A secretary works alongside the agent, not instead of it. In the same way, a secretary does not replace an accountant: the books behind the annual return still need to be kept by someone who can prepare a balance sheet and a profit and loss statement.
What a BVI Company Secretary Does
The duties of a BVI company secretary are set by the company, not the Act. In practice, they fall into five groups.
Board and Shareholder Meetings
The secretary prepares notices and agendas, records the minutes and keeps them with the company's records. Section 102 of the Act requires the company to keep minutes of every meeting of directors and members and copies of every written resolution.
Written Resolutions
Most BVI companies make decisions by written resolution rather than meetings. The secretary drafts them, collects the signatures and sends copies to the registered agent, which acts on directors' resolutions.
Registers and Filings
The secretary keeps the internal registers up to date and makes sure changes of members, directors and beneficial owners reach the agent in time to be filed with the Registry within 30 days.
The Yearly Calendar
The secretary tracks the annual fee date, the annual return and the economic substance report, and makes sure the agent has what it needs for each one.
Records and Correspondence
The secretary keeps the company's records together, tells the agent where they are kept and handles letters from the agent, the Registry and banks. Read about BVI company documents and certificates.

BVI Company Service Provider Regulations
The BVI company service provider regulations decide who can form companies and provide services to them. They come from three laws and the Financial Services Commission's codes.
The Company Management Act
Company management business means providing company management services for profit or reward. It covers forming BVI companies, acting as registered agent, providing a registered office, providing directors, officers or secretaries, and providing nominee shareholders. Anyone doing this as a business in or from the BVI needs a licence under the Company Management Act or a trust licence.
The Banks and Trust Companies Act
Trust licences under the Banks and Trust Companies Act also allow company services, and a Class I trust licence can carry registered agent status. The Commission's register lists several categories of trust and corporate service providers, including Class I, Class II and Class III trust licences, restricted licences and company management licences.
The Anti-Money Laundering Rules
Every licensed service provider must check its clients' identity, ownership and source of funds under the BVI's anti-money laundering laws and code of practice. It must keep the records, monitor the relationship and report suspicions. These are the checks you see as the KYC file at formation and every few years after.
The Commission's Supervision
The Financial Services Commission licenses and inspects service providers. On 27 April 2026 it announced that it would inspect at least 50 licensees in 2026 to 2027, with beneficial ownership verification and enhanced due diligence the focus for trust and corporate service providers.
Getting a Licence
A company management licence costs a US$500 application fee, a US$500 licence fee, or US$250 if granted after 30 June, a US$500 yearly renewal and US$10 for each active company serviced. Applicants must be fit and proper, with a business plan, a compliance manual and a resident director, and the Commission aims to decide within 8 weeks.
Your BVI Company, Run From Abroad
You can own and run a BVI company from anywhere, with licensed providers doing the regulated work. This is how we set it up.
- Fully remote setup: Documents certified where you live.
- Licensed registered agent: The office and filings the law requires.
- Directors your choice: You, your team or a licensed professional.
- Board paperwork handled: Resolutions prepared and filed with the agent.
- Yearly reminders: Every deadline on one calendar.
- Clear pricing: From €1,899, with the yearly costs in writing.
Directors, Nominees and Disclosure
The rules on who appears on a BVI company's registers have changed the most. Since 2 January 2025, professional and nominee arrangements must be shown on the record.
Professional Directors
A licensed provider can supply directors for a fee. The register of directors filed with the Registry must show when a director acts in a professional capacity under a licence. A professional director has the same duties as any other director under the Act.
Nominee Shareholders
A nominee can hold shares for the real owner, but the nominee arrangement must be disclosed, and the real owner is filed as a beneficial owner with the Registry if they own or control 10% or more. A nominee never hides the owner from the agent, the Registry or a bank.
Corporate Directors and Secretaries
A company can act as director or secretary of a BVI company. A corporate director is common in groups and with professional providers, but banks look through it to the individuals who control it.
Other Officers
Articles usually let the directors appoint other officers too, such as a president, treasurer or authorised signatory, with whatever powers the board gives them. These titles are common in companies owned from the US or Asia. They are not filed with the Registry, but banks will ask for the board resolution that appoints them and sets their authority.
Which Firms Offer BVI Incorporation and Ongoing Company Secretarial Services
The firms that offer BVI incorporation and ongoing company secretarial services are licensed registered agents and other trust and corporate service providers. The Commission's register lists several hundred regulated trust and corporate service providers across its licence categories.
Registered Agents and Their Groups
Most registered agents offer formation, the registered office, the yearly filings and, through group companies, directors and company secretarial services. Their main strength is the BVI side: filings, certificates and the KYC file.
Firms in the Owners' Country
Many owners use a secretarial firm where the board meets, such as Hong Kong, Singapore or Dubai. That firm keeps the minutes and the calendar, while the BVI agent does the filings. Firms abroad are regulated by their own country: in Hong Kong, for example, trust or company service providers need a licence. Firms that offer BVI incorporation and ongoing company secretarial services from abroad work through a licensed BVI agent for the filings.
Binderr
Binderr works with licensed registered agents in the BVI and handles formation and the yearly cycle with them, so you have one point of contact for the agent, the filings and the board paperwork. Read about BVI registered agent rules and how to change one.
How We Run the Paperwork for a BVI Company
The yearly paperwork for a simple BVI company is light. This is how we handle it with the registered agent.
Formation
We agree the structure, collect the KYC pack, prepare the memorandum and articles and have the agent file them. The first director is appointed within 15 days, and the registers are filed within 30 days.
Board Decisions
When the company needs a decision, such as opening an account, issuing shares or appointing a director, we draft the written resolution, collect the signatures and send it to the agent. We check the wording against the articles first, because a resolution passed by the wrong body or without the right majority is the most common reason a bank or agent sends one back.
Changes
Any change of shareholder, director or beneficial owner is filed with the Registry within 30 days. We prepare the updated registers and send them to the agent in time.
The Yearly Cycle
We track the annual fee date, prepare the annual return with you after the year end and prepare the substance report, so the agent can file both on time. Read about BVI company annual compliance and filing requirements.
Ongoing Support for Your BVI Company

- Minutes kept: Board and shareholder meetings recorded.
- Registers updated: Changes filed within 30 days.
- Annual return prepared: The figures built with you.
- Substance report prepared: Classified and filed on time.
- Agent handled: We deal with the registered agent.
Covering the Secretary Role
There are three usual ways to cover the secretary role. The right one depends on how active the board is and where it meets.
Option | Suits | Watch out for |
|---|---|---|
A director acts informally | Small companies with one or two owners | Changes and deadlines being forgotten |
The registered agent's group | Companies that want one provider for everything | Fees for each resolution or meeting |
A secretarial firm where the board meets | Groups with regular board meetings abroad | Making sure the BVI agent gets every change in time |
A Year of Secretarial Work
For a simple BVI holding company with a December year end, the year usually looks like this:
When | Task |
|---|---|
January to March | Collect the bank statements and prepare the year's figures |
By 31 May or 30 November | Make sure the annual fee is paid through the agent |
By 30 June | Send the substance report information to the agent |
By 30 September | Send the annual return to the agent |
Within 30 days of any change | Send updated registers or ownership details to the agent |
Whenever the board decides | Draft and sign the resolution, send a copy to the agent |
Most of this is a few hours of work a year for a holding company. The value is in it never being missed, because each missed item brings a penalty and blocks the company's good standing certificate. A trading company with many transactions, or a company with several shareholders and regular share issues, needs more time, mainly for the books and the resolutions.
Questions to Ask a Secretarial Provider
Before you appoint anyone, agree the scope in writing. These questions cover most of it.
- What is included in the yearly fee? Minutes, resolutions, registers and reminders.
- What costs extra? Meetings, share issues, changes of directors and certificates.
- Who sends changes to the agent? And how quickly after a decision.
- Where are the records kept? And has the agent been told the address?
- Who prepares the annual return figures? The secretary, an accountant or you.
- What happens if the provider resigns? How the records are handed over.
A clear answer to each one stops tasks falling between the secretary, the agent and the accountant. That gap is where most late filings come from.

Company secretary service | Quoted per company, often bundled with the agent's fee | The provider |
Registered agent and office | About US$500 to US$1,500 a year | The registered agent |

Records the Company Must Keep
Whoever acts as BVI company secretary, these records must be kept.
- Memorandum and articles: At the registered agent's office.
- Register of members and register of directors: Or copies, at the agent's office.
- Copies of filings: Every notice filed in the last 10 years, at the agent's office.
- Minutes and resolutions: Anywhere, with the address given to the agent.
- Accounting records: At least 5 years, with the address and keeper given to the agent.
- Beneficial ownership information: Kept current and filed with the Registry.
If minutes, resolutions or accounting records move, the company must tell the agent within 14 days. Keeping them with the secretary is common, as long as the agent knows where they are.
BVI Company Formation From €1,899
Start with a company whose paperwork is in order from day one. This is what the price includes.
- Licensed agent filing: Through VIRRGIN, with the Registry fee included.
- KYC review: One file for every owner and director.
- Constitution drafted: Memorandum and articles for your structure.
- First-year office: Registered agent and office included.
- Running costs shown: Year two quoted with the setup.
What Is Changing for Service Providers
The Throne Speech of 13 January 2026 announced a new law for trust and corporate service providers, alongside a Banking Bill and other financial services reforms. It had not been passed at the time of writing.
For owners, the practical effect is already visible. Agents and secretarial firms ask for more documents, refresh KYC more often and want a clear explanation of each layer of ownership. The FATF grey listing since June 2025 and the EU high-risk listing since January 2026 add to the pressure. Read about BVI company law changes and regulatory updates.

Service Providers and Your Bank
Banks read the company's paperwork closely: the registers, the board resolution authorising the account and the signatories, and a recent certificate of incumbency. A good secretary keeps these consistent, which is what gets an account opened quickly.
The Board Resolution
Every bank asks for a resolution of the directors approving the account and naming the signatories. It must match the register of directors and the bank's own form.
A Faster Route Through Our Banking Partners
Our banking partners are licensed electronic money institutions that open multi-currency accounts for BVI companies owned from abroad, usually within days of a complete file. We prepare the resolution and the document set with the agent. Read about BVI offshore banking for companies.

When You Need More Than a Secretary
Some companies need more than paperwork support.
- The company has a relevant activity: It may need real substance in the BVI.
- The board meets in a high-tax country: Tax residence needs planning.
- The company is regulated: Funds and licensees have their own officers.
- The owners want professional directors: They must be licensed and disclosed.
- The company trades in the BVI: A trade licence and local filings apply.
Common Mistakes With BVI Company Secretarial Work
Most problems come from paperwork that falls between the secretary and the agent.
- No minutes at all: The Act requires them, and banks ask for them.
- Resolutions that do not match the registers: Banks send them back.
- Changes not sent to the agent: The 30-day filing is missed.
- Records moved without telling the agent: The law requires notice within 14 days.
- Unlicensed providers: Nominee and director services must be licensed.

Bottom Line
A BVI company secretary is optional. The Act requires a registered agent, a registered office, a director and a member, but many companies appoint a secretary to keep the minutes, resolutions and registers in order. Providing company services, including directors, secretaries and nominee shareholders, is a licensed activity in the BVI, supervised by the Financial Services Commission.
For most owners, the simplest setup is a licensed agent for the filings and one point of contact for the paperwork. We form BVI companies from €1,899 through licensed agents and run the yearly cycle and board paperwork with you. Read our BVI company formation guide.
