How to Set Up a Holding Company in Dubai

A holding company in Dubai lets you own your other companies, property and investments through one UAE entity, with dividends and share gains that can fall outside the 9% corporate tax, no withholding tax on payments abroad and a network of 137 tax treaties signed by the UAE. Owners use it to separate risk, plan succession and hold Dubai property in one clean structure.

The hard part is choosing the vehicle and keeping it compliant. The DIFC Prescribed Company, the DMCC holding licence, JAFZA Offshore and a mainland company each follow different rules on who can apply, whether you need an office, who must sign your filings and whether an audit is due. Banks also look hard at a company that only holds shares.

This is where we come in. We set up your Dubai holding company for you: the right vehicle, the licence, the registered agent, the KYC file and the bank introduction. One team, one clear price, no back-and-forth emails.

Ready to structure your group? Our team forms holding companies across Dubai's free zones, offshore registries and mainland.

Why Set Up a Holding Company in Dubai

It gives you tax, legal and practical benefits that most other holding locations cannot match in one place. These are the reasons owners choose it.

Dividends and Share Gains Can Be Exempt

Under Article 23 of Federal Decree-Law No. 47 of 2022, your company can receive dividends and sell shares without corporate tax when it owns at least 5% of the subsidiary, holds it for 12 months and the subsidiary pays tax of at least 9% where it sits. Ministerial Decision No. 116 of 2023 adds a second route: an acquisition cost of AED 4 million or more meets the ownership test even below 5%. Dividends from other UAE companies are exempt under Article 22.

No Withholding Tax on Payments Out

The UAE sets withholding tax at 0% under Article 45 of the corporate tax law. Your holding company can pay dividends, interest and royalties to shareholders abroad without a tax deduction at source. The rate is set by Cabinet Decision, so it is policy rather than a permanent rule, but it has stayed at 0% since corporate tax began in June 2023.

Set Up a Holding Company in Dubai

Structuring your group in Dubai is very doable once the vehicle fits your group. This is what we do for you.

  • Right vehicle first: DIFC, DMCC, JAFZA Offshore or mainland matched to your assets.
  • Tax planned early: Participation exemption and 0% routes checked before you file.
  • Registered agent handled: The service provider each vehicle requires, arranged by us.
  • No office needed: Most holding vehicles run without a lease.
  • KYC pack prepared: We tell you what we need and build the file.
  • Bank file built in: The account planned with the company, not after it.
  • Clear pricing, no surprises: One quote, from €1,899, with every fee listed.

A Wide Treaty Network

The Ministry of Finance lists 137 double taxation agreements concluded by the UAE. A tax resident company can use them to reduce foreign withholding tax on dividends it receives, which matters most for groups with subsidiaries in Europe, Asia and Africa.

Separate Liability for Each Business

Article 21(4) of the Commercial Companies Law says each subsidiary of a holding company has its own legal personality and liabilities. A claim against one operating company stays with that company, so the assets held higher up are protected.

A Clean Way to Hold Dubai Property

The Dubai Land Department does not let foreign companies own real estate directly. It asks them to hold the property through a JAFZA or DMCC company, and RAK ICC companies are accepted under a 2019 agreement. The right holding vehicle gives you that and keeps the property separate from your trading risk.

Succession and Family Wealth

Families use holding companies to keep ownership together across generations. The DIFC reported 1,408 family business entities and 1,409 foundations in the first half of 2026, up 36% and 67% on the year.

A Credible Address for Investors

The DIFC passed 10,000 active registered companies in the first half of 2026, and DMCC has more than 26,000 members. Investors, banks and counterparties know these names, which makes your structure easier to explain than one in a small offshore registry.

Types of Holding Company in Dubai

There are five main routes. They differ on who can apply, the office rule, the registered agent, the audit and the cost.

The cheapest fee is not always the cheapest year. A JAFZA company costs more to register but brings a mandatory secretary and audit, while a DIFC company is cheap to license but needs a service provider every year.

DIFC Prescribed Company

The DIFC amended its Prescribed Company Regulations on 24 July 2026. Any applicant can now form one, and the old tests on GCC control, GCC assets and a qualifying purpose are gone. Every non-exempt company must appoint a corporate service provider, and companies formed before that date must appoint one by 24 January 2027 or face fines of up to USD 20,000. A Prescribed Company must stay passive: it is licensed as a holding company, cannot employ staff and cannot trade. The DIFC charges USD 100 to incorporate and USD 1,000 a year, plus a USD 750 data protection fee if it processes personal data. Read more about DIFC company formation.

The service provider now does much of the work that owners used to do themselves. It keeps the company's filings and records for six years and must receive the documents it asks for, with fines of up to USD 100,000 for failing to hand them over. The registered office can be DIFC space, the office of a group company or, most often, the service provider's own address. Companies controlled by DIFC registered persons, DFSA-authorised firms, governments or listed companies are exempt from the service provider rule. For a family or a group that simply wants a clean, well-known holding vehicle, this is now the most direct route in Dubai.

DMCC Holding Company

DMCC launched its Holding Company and SPV licences in May 2025. Both remove the office lease requirement, need a registered agent and start from AED 3,690. A holding company can be an LLC or a company limited by guarantee under the DMCC Company Regulations. Advisers report a share capital of AED 50,000, a company secretary and a first general meeting within 18 months. DMCC says a standard setup takes about 10 working days. Read about DMCC company formation.

The saving is large when you compare it with a normal DMCC trading company. DMCC's standard schedule charges AED 9,020 to register, AED 20,285 a year for the licence and AED 16,000 to AED 19,000 for a flexi desk. A holding company in Dubai that never trades does not need any of that, which is why DMCC created the separate licence. It still cannot trade, so an operating business sits in a subsidiary below it.

JAFZA Offshore

JAFZA Offshore is the only offshore registry inside the emirate of Dubai. It charges AED 10,000 to register and AED 2,500 to renew, and registration takes 5 to 7 working days. Its regulations require a secretary and an annual audit, and the company is not meant for trading in the UAE market. It can own freehold property in Dubai's designated areas. Read about JAFZA offshore company formation.

The 2023 regulations replaced the 2018 version. One shareholder and one director are enough, corporate shareholders are allowed and there is no minimum capital. Accounting records must be kept for ten years and a general meeting held every year. Registration goes through a JAFZA registered agent, corporate documents must be notarised and attested by a UAE embassy, and late renewal adds AED 120 for every 30 days. JAFZA issues a no objection letter for property ownership for AED 200. Owners who also want an operating company in the same zone can look at JAFZA company formation.

Meydan and Other Free Zones

Meydan Free Zone offers a holding licence from about AED 12,500 with a digital office. Other free zones license holding activities too, but few publish a holding-specific price. Read about Meydan Free Zone company formation, IFZA company formation and the best free zones in the UAE.

A free zone holding licence makes most sense when you also want visas or a light operating presence in the same zone. Before you choose one, check that the holding activity is on the zone's list and ask whether the licence counts as a qualifying activity for the 0% corporate tax rate. Many zones sell holding activities inside their general packages rather than as a separate licence.

Mainland Holding Company

The Ministry of Economy and Tourism lists the holding company among mainland legal structures. A mainland holding company suits groups whose subsidiaries trade on the mainland. The law sets no fixed minimum capital for an LLC, only capital sufficient for its purpose. Read about mainland company formation in Dubai.

A mainland holding company in Dubai is licensed by the Department of Economy and Tourism and needs a registered office with an Ejari lease. It is the natural parent for mainland trading companies, and it can sponsor visas for its own staff.

RAK ICC, the Low-Cost Offshore Alternative

Many owners compare Dubai vehicles with RAK ICC in Ras Al Khaimah. Its 2026 schedule charges AED 3,250 to incorporate an international business company and AED 3,950 to renew, and a company is incorporated within 2 working days of a complete submission through a registered agent. RAK ICC does not require legalised corporate documents, bans bearer shares and needs ownership changes reported within 15 days. The Dubai Land Department has accepted RAK ICC companies as property owners since a 2019 agreement, with a no objection certificate of AED 1,250 per property. Read about RAK ICC offshore company formation and Ajman offshore company formation.

ADGM in Abu Dhabi

ADGM, Abu Dhabi's financial free zone, is the other main holding location in the UAE. Its SPV still needs a link to the region and costs about USD 1,900. Read about ADGM company formation.

What a Holding Company in Dubai Can Hold

The assets decide the vehicle, the tax result and what the bank will ask. These are the main things owners put inside one.

Shares in UAE Companies

Dividends from other UAE companies are exempt under Article 22 of the corporate tax law. A holding company in Dubai above several UAE trading companies lets profits move up the group without tax, and groups with 95% common ownership can file one return as a tax group.

Shares in Foreign Subsidiaries

Foreign dividends and share gains fall under the participation exemption in Article 23. The subsidiary must be taxed at 9% or more where it sits, so a European or Asian operating company usually qualifies and a zero-tax company usually does not. Foreign withholding tax on those dividends can often be cut under one of the UAE's treaties.

Dubai Property

Foreign companies cannot own Dubai property directly, so a JAFZA, DMCC or RAK ICC company is the usual owner. The Dubai Land Department charges 2% of the price to the buyer and 2% to the seller on a sale, plus AED 250 for the title deed. Holding property in a company also makes a later sale or inheritance easier, because the shares change hands instead of the title. Read about a real estate investment company in Dubai.

Intellectual Property

Some groups hold trademarks, software or patents in a UAE company and license them to subsidiaries. The tax result depends on the type of income, so check the qualifying income rules before moving IP into a free zone company.

Cash and Investment Portfolios

A holding company in Dubai can hold listed shares, funds and cash. Investment income that is not exempt is taxed at 9% above AED 375,000, and a free zone company claiming 0% must keep securities for at least 12 months. Read about investment company setup in the UAE.

Holding Company in Dubai for Non-Residents

You do not need to live in the UAE to own one. None of the main vehicles requires a resident shareholder, and most can be formed remotely.

No Residency Rule

The DIFC, DMCC and JAFZA accept foreign individual and corporate shareholders. The service provider or registered agent gives the company its UAE address and handles filings, so you do not need an office or a local director.

Corporate Shareholders and Attestation

If a foreign company will own the company, its documents need legalisation in its home country and attestation by the UAE Ministry of Foreign Affairs. The UAE is not a party to the Apostille Convention, so this chain takes two to four weeks. Start it on day one.

Tax Residence

The company is a UAE resident taxable person by default. To use the treaty network it needs a tax residency certificate, and for that it must show where it is managed and controlled. Plan board meetings and decisions so they are made in the UAE.

Set Up a Dubai Holding Company From Abroad

Owning a Dubai holding company from abroad is simple when the file is right first time.

  • No residency rule: Foreign individuals and companies can own 100%.
  • No travel needed: Most vehicles are formed fully remotely.
  • Attestation started early: We map the legalisation chain for your documents.
  • Service provider included: Your UAE address and filings handled for you.
  • Tax residence planned: Board and management set up to support a certificate.
  • One point of contact: No back-and-forth emails across time zones.

How to Set Up a Holding Company in Dubai

These are the steps, in the order we run them for you.

Map What the Company Will Hold

List the shares, property, intellectual property and cash the company will own, and where each asset sits. This decides the vehicle, the tax position and what the bank will ask.

Choose the Vehicle

Match the vehicle to the assets. Dubai property points to JAFZA or DMCC, a passive group structure to the DIFC or DMCC, and mainland subsidiaries to a mainland holding company.

Reserve the Name and Get Approval

We reserve the name and apply for initial approval with the registry. The DIFC and DMCC run this through online portals.

Sign the Constitutional Documents

Shareholders sign the articles of association, and corporate shareholders pass a board resolution. We prepare both and arrange signing remotely.

Receive the Licence

The registry issues the licence and certificate of incorporation. Registration fees are paid at this stage.

Register for Tax and File Ownership Details

Register for corporate tax and submit the beneficial ownership details. We add both to your compliance calendar.

Open the Bank Account

We build the bank file alongside the company, so the account can open as soon as the licence is issued.

Full-Service Holding Company Formation in Dubai

Most delays come from the vehicle choice and the paperwork. We handle both.

  • One team for every step: Name, approval, articles and licence.
  • Documents prepared: Resolutions, registers and ownership charts drafted for you.
  • Faster than going direct: One complete file, so no rounds of questions.
  • Tax registration done: Corporate tax and ownership filings on time.
  • Property ready: A vehicle the Dubai Land Department accepts.
  • Deadlines on our calendar: Renewals, audits and returns tracked for you.

Documents Needed for a Holding Company in Dubai

The document list is short, but every item must match across the file.

For Individual Shareholders and Directors

  • Passport copy and a recent photo
  • Proof of home address, usually a utility bill or bank statement from the last three months
  • A short CV or profile
  • Emirates ID and visa if you live in the UAE

For Corporate Shareholders

  • Certificate of incorporation, articles and register of shareholders and directors
  • A board resolution approving the investment
  • A group ownership chart down to the individual owners
  • All of the above legalised and attested for the UAE

For the Holding Company Itself

  • The proposed name and a short description of what it will hold
  • Details of the assets or subsidiaries, with share certificates where available
  • A source of funds statement for the initial capital

Corporate Tax for a Holding Company in Dubai

Your company is inside the UAE corporate tax system. The rate is 0% on taxable income up to AED 375,000 and 9% above it, but most holding income can be exempt if the rules are met.

The Participation Exemption

Dividends and gains on shares are exempt under Article 23 when the company owns at least 5%, or AED 4 million of cost, for 12 months, and the subsidiary is taxed at 9% or more. Income from a subsidiary in a zero-tax jurisdiction usually fails the subject-to-tax test, so check each holding.

The Qualifying Free Zone Person Route

A free zone company that meets the conditions pays 0% on qualifying income. Ministerial Decision No. 229 of 2025 lists holding shares and other securities for investment, held for at least 12 months, as a qualifying activity. Advisers report that non-qualifying income must stay below 5% of revenue or AED 5 million, and a breach costs the 0% rate for five years.

The Audit Rule

Ministerial Decision No. 84 of 2025 requires audited financial statements from every Qualifying Free Zone Person, whatever its revenue, and from other companies above AED 50 million. A company that relies on the 0% rate must budget for an audit every year.

Tax Groups and Transfers

Companies with 95% common ownership can form a tax group under Article 40 and file one return. Transfers of assets within a 75% qualifying group can be tax neutral under Article 26. Related-party deals must still be at arm's length, and full transfer pricing files apply to groups with AED 3.15 billion in revenue.

Small Business Relief

Companies with revenue of AED 3 million or less can elect Small Business Relief, now extended to tax periods ending by 31 December 2029. A Qualifying Free Zone Person cannot use it. Read more about UAE corporate tax for companies and the Qualifying Free Zone Person rules.

Compliance for a Dubai Holding Company

The yearly duties are light, but missing one can be costly.

Economic Substance Reporting Has Ended

Cabinet Decision No. 98 of 2024 cancelled economic substance reporting for financial years ending after 31 December 2022. Many guides still tell you to file substance reports. You do not, but the Qualifying Free Zone Person rules now carry their own adequate substance test.

Beneficial Ownership Register

Cabinet Decision No. 109 of 2023 requires a register of every person who owns or controls 25% or more, updated within 15 days of a change. Cabinet Decision No. 132 of 2023 fines a missing register AED 50,000, rising to AED 100,000, and a late update AED 15,000, rising to AED 30,000. DIFC companies follow the DIFC's own ownership rules.

Returns and Renewals

The corporate tax return is due within nine months of the year end. The licence, the service provider and any secretary renew every year.

Holding Company or Foundation in Dubai

A holding company and a foundation both keep family assets together, but they work differently. A company has shareholders who own it and can sell or pass on their shares. A foundation has no shareholders: a council runs it for named beneficiaries or a purpose, under a charter that can outlive the founder.

When a Foundation Fits Better

Foundations suit families who want to fix the rules of succession in advance and keep assets out of individual estates. The DIFC counted 1,409 foundations in the first half of 2026, up 67% in a year. RAK ICC charges AED 1,500 to register a foundation, and its rules require a council of at least two members.

Using Both

Many families use a foundation to own the holding company in Dubai. The foundation sets the long-term rules, and the company runs the investments and signs the contracts. Read about family office setup in Dubai.

Banking for a Holding Company in Dubai

A company that only holds shares is one of the harder files for a UAE bank. There is no trading activity to point to, the money often comes from abroad and the ownership chain can be long.

Why Local Banks Find Holding Companies Hard

No UAE bank publishes a policy for pure holding companies. Published business packages ask for large balances, such as AED 50,000 at Emirates NBD and AED 100,000 at Commercial Bank of Dubai. The Central Bank requires low-risk, complete files to open within three business days, but a holding company with foreign shareholders is rarely treated as low risk, so reviews run for weeks. A bank must give a written reason for a refusal, except where the reason is financial crime risk.

The table shows the real problem. Most holding companies are owned through another company or by people abroad, which is exactly what these products screen out.

What Banks Ask a Holding Company For

Expect a group ownership chart down to every person with 25% or more, the accounts of the main subsidiaries, a source of funds and source of wealth statement for the owners, and a clear reason for the structure. Banks want to see what the company holds and where the money will come from, such as dividends from named subsidiaries or rent from a named property. A company that exists only on paper looks like a shell, and partners decline shell companies too.

A Faster Way to Open a Holding Company Account

Our partners work with holding structures every day. They open multi-currency accounts remotely, often in about one to two weeks, with no minimum balance and far lower international payment and currency costs than a local bank. A holding company still needs a clear reason to exist, such as the subsidiaries or property it owns, so we build that into the file.

Who a Dubai Holding Company Is Wrong For

A holding company in Dubai is not right for every group. It is the wrong choice if your subsidiaries sit in zero-tax jurisdictions and you expect the participation exemption, because the 9% subject-to-tax test will fail. It is also wrong if you need EU directive benefits on dividends from EU subsidiaries, or if the company has no real reason to exist, since banks and tax authorities will question an empty shell. If you only want to own one Dubai flat, a simpler structure or direct ownership may cost less. And if your group needs regulated activities, such as fund management, the holding company is only one part of a licensed structure. Read about private equity and VC firm setup in ADGM or DIFC.

Common Mistakes With a Holding Company in Dubai

Picking the Vehicle on Price Alone

A cheap licence can hide a mandatory secretary and audit. RAK ICC charges AED 3,250 to incorporate but AED 3,950 to renew, and JAFZA's audit and secretary add a yearly cost on top of the AED 2,500 renewal. Compare the first two years of fees for each vehicle, including the service provider, and choose the one that fits what the company will hold.

Assuming 0% on Every Dividend

Dividends from subsidiaries taxed below 9% fail the participation exemption, so they are taxed at 9% in the holding company above AED 375,000. Owners often move a zero-tax offshore company under a Dubai parent and expect the same result. Check the tax each subsidiary pays before you move it, and keep low-tax companies outside the group if the exemption matters.

Filing Substance Reports That No Longer Exist

Economic substance reporting ended for years after 2022, and the penalties are being waived or refunded. Many advisers still sell substance filings. Spend that money on the corporate tax return, the audit where one is due and an accurate ownership register instead.

Missing the Ownership Update

A change of shareholder or controller must reach the ownership register within 15 days. The fine for a late update starts at AED 15,000 and rises to AED 30,000, and a missing register costs AED 50,000. Put every share transfer and board change through your service provider on the day it happens.

Leaving the Bank Until Last

A holding company with no account cannot receive dividends, pay its fees or show the bank history that property deals and investors ask for. Holding files take longer than trading files at local banks. Plan the bank file with the company so the account opens as soon as the licence is issued.
