Every BVI company has a small set of documents that prove it exists, who runs it and that it is up to date. The certificate of incorporation, the memorandum and articles, the registers, a certificate of incumbency and a certificate of good standing are what banks, lenders and buyers ask for, and with them in hand most checks take days rather than weeks.
The hard part is keeping them fresh. A certificate of good standing is valid for three months, banks want an incumbency certificate issued recently, and a company that is behind on one filing cannot get a good standing certificate at all. Documents for use abroad also need certifying and an apostille.
This is where we come in. Binderr works with licensed registered agents in the BVI and prepares your BVI company documents for you: the formation pack, fresh certificates when a bank asks and apostilled copies for use abroad. One request, one team, and documents that match the Registry.

BVI Company Documents in 2026
BVI company documents come from three places: the Registry issues certificates, the registered agent issues the certificate of incumbency and keeps the records, and the company itself keeps its registers, minutes and resolutions. The table shows the documents most people need.
Document | Issued or kept by | What it shows | When you need it |
|---|---|---|---|
Certificate of incorporation | The Registry | The company exists, its name, number and date | Bank accounts, contracts, every due diligence check |
Memorandum and articles | Filed with the Registry, kept by the agent | The company's rules, share structure and powers | Bank accounts, investors, lenders |
Certificate of good standing | The Registry | Fees paid and registers filed, valid 3 months | Banks, transactions, renewals |
Certificate of incumbency | The registered agent | Directors, shareholders, office and status | Banks, payment providers, counterparties |
Registers of members and directors | The company, filed with the Registry | Who owns and runs the company | Banks, transfers, investors |
Beneficial ownership information | Filed with the Registry | Owners with 10% or more | Kept current, seen by banks and authorities |
Common seal | The company, imprint kept by the agent | Used on deeds and share certificates | Documents executed under seal |
Documents the Company Keeps
The company keeps its memorandum and articles, its register of members, its register of directors and copies of every notice it filed in the last 10 years at the office of its registered agent. It keeps the minutes and resolutions of its directors and members there or anywhere else, as long as the agent has the address. Its accounting records are kept for at least 5 years.
Documents the Registry Issues
The Registry issues the certificate of incorporation, certificates of good standing, certificates of change of name, restoration, merger and dissolution, and certified copies of filed documents. They are issued electronically through VIRRGIN and requested by the registered agent.
Get a Bank-Ready BVI Company From Day One
A new company should leave formation with every document a bank will ask for. This is what we prepare.
- From €1,899: Formation through a licensed registered agent.
- Certificate and constitution: Issued and checked on day one.
- Registers filed: Members, directors and beneficial owners on time.
- Incumbency certificate: Issued by the agent for your bank.
- Apostilled copies: Arranged when the bank is abroad.
- Banking with our partners: The account opened with the same file.
Documents the Agent Issues
The registered agent issues the certificate of incumbency and certified copies of the company's records. The agent holds the company's KYC file, so it will only issue documents for a company that is up to date with its fees and its owner checks.
BVI Company Certificate of Incorporation
The BVI company certificate of incorporation is the Registrar's confirmation that the company exists under the BVI Business Companies Act. It shows the company's name, its company number, its date of incorporation and its type, such as a company limited by shares.
Electronic and Paper Copies
The certificate is issued electronically when the company is formed. The Registry charges US$50 for a physical copy of a certificate that was issued electronically, US$50 for a duplicate, US$75 for a certified copy and US$50 for an uncertified copy. Banks abroad usually want a certified copy, often with an apostille.
After a Change of Name or Restoration
A certificate of incorporation never changes. If the company changes its name, the Registry issues a certificate of change of name, and the company number stays the same. A restored company receives a certificate of restoration, and a company formed by merger or consolidation receives the matching certificate. Keep them together, because banks ask for the full chain.
What It Does Not Show
The certificate of incorporation does not show who owns or runs the company, or whether it is still in good standing. A certificate of incorporation for a BVI company formed years ago proves nothing about today, which is why banks pair it with a recent certificate of good standing and a certificate of incumbency.
Certificate of Good Standing for a BVI Company
A certificate of good standing for a BVI company is issued by the Registrar under section 235 of the Act. Anyone can request one for any company. The Registry fee is US$100.
What It Confirms
The Registrar issues the certificate only if the company:
- Is on the Register: It has not been struck off or dissolved.
- Has paid its fees: Every annual fee and penalty due.
- Has filed its register of members: With the Registry.
- Has filed its register of directors: With the Registry.
- Has filed its beneficial ownership information: With the Registry.
- Has no reported missing annual return: The agent has not notified a failure to file.
The certificate also states whether the company is in liquidation, has a merger pending or faces strike-off proceedings.
How Long It Is Valid
Under regulation 25 of the BVI Business Companies Regulations, a certificate of good standing is valid for 3 months from its date. For a new company whose registers are not yet due, it is valid until the date they must be filed. Banks and counterparties now check the date, so order a fresh certificate shortly before you need it.
When You Cannot Get One
A company that is behind on its annual fee, its register filings or its annual return cannot get a certificate of good standing for a BVI company until it catches up. That usually shows up at the worst time: a bank review, a sale or a loan. Keeping the yearly filings current is the only way to be sure a certificate is available.

BVI Company Certificate of Incumbency
A BVI company certificate of incumbency is issued by the registered agent, not the Registry. It confirms the company's details from the agent's records on the date it is signed.
What It Shows
- The company: Name, number, date of incorporation and registered office.
- The directors: Names and dates of appointment.
- The shareholders: Names and shareholdings.
- The registered agent: Its name and licence.
- The status: Usually that the company is in good standing with the agent.
Some agents also list the beneficial owners or the authorised share capital. Banks often specify what they want the certificate to show, so send the bank's requirements to the agent with the request.
How Fresh It Must Be
Most banks want a certificate of incumbency for a BVI company issued within the last three months. A new one is needed after any change of director or shareholder, because the old one no longer matches the registers.
A Registry Alternative
The Registrar can also issue a certificate confirming information recorded on the Register about a company, or its status, for US$75. It is not a substitute for an incumbency certificate at most banks, but it is useful where a counterparty wants confirmation from the Registry itself. The Registrar will also provide a list of a company's directors to anyone who asks, for US$75.
Memorandum, Articles and Registers
The constitution and the registers are the core BVI company documents. They decide what the company can do and show who owns and runs it.
Memorandum and Articles
The memorandum states the company's name, type, registered agent, registered office and the number of shares it may issue. The articles set the rules for shares, directors, meetings and resolutions. Any amendment is filed with the Registry, and filing within 30 days of the resolution costs US$50, rising to US$200 after 90 days.
Registers of Members and Directors
The register of members records each shareholder and their shares, and the register of directors records each director. Both are filed with the Registry, and any change within 30 days. They are private: the register of members is only public if the company chooses to make it so, and the public can only ask the Registrar for a list of directors.
Beneficial Ownership Information
The company files the details of everyone who owns or controls 10% or more with the Registry, and any change within 30 days. Since 1 April 2026, a person with a legitimate interest, such as a bank, can request details of owners with 25% or more for US$75.
Register of Charges
The company keeps a register of the charges over its assets. A lender can also register a charge with the Registry for US$200, which gives it priority over later charges. Lenders usually insist on registration.
Share Certificates, Minutes and Resolutions
The articles say when share certificates are issued. If they are, they are signed by a director or put under the company's seal. Minutes of meetings and written resolutions of directors and members are kept with the company's records.
BVI Company Seal
Under section 102 of the BVI Business Companies Act, a BVI company must have a common seal, and an imprint of the seal is kept at the office of its registered agent. A company with a foreign character name, such as a Chinese name, must show its English name on the seal and may add the foreign name.
What the Seal Is Used For
The BVI company seal is used to execute deeds and documents that must be under seal, and it can be used on share certificates instead of a director's signature. The seal is applied and witnessed by a director or another person the articles authorise.
Signing Without the Seal
The Act no longer makes the seal essential. A deed is validly executed if it says it is a deed and is signed by a director or an authorised person, and a document is not invalid only because the seal was not applied. Most companies keep the seal for formality and for countries where counterparties expect it.
Getting a Seal Made
The registered agent usually supplies the BVI company seal at formation, as a metal embosser or a self-inking stamp. If the company changes its name, it needs a new seal with the new name.
Apostilles and Certified Copies for Use Abroad
Banks and authorities outside the BVI usually want certified and legalised copies of BVI company documents. The BVI is a party to the Hague Apostille Convention, so an apostille is enough for every other member country.
How an Apostille Works
A notary public first certifies the document, unless it already carries an original government signature. An authorised official then adds the apostille: the Governor, the Deputy Governor, the Registrar of the High Court, the Registrar of Companies or the Director of Financial Services. A document delivered in the morning can be apostilled the same day.
Countries Outside the Convention
For a country that is not a member, the apostilled document is legalised further by the Foreign, Commonwealth and Development Office in the UK and then by that country's consulate. This adds time and cost, so check the destination country's rules first.
What to Apostille
The documents most often apostilled are the certificate of incorporation, the memorandum and articles, the certificate of good standing and the certificate of incumbency. A bank abroad usually wants all four in one set.
How to Get BVI Company Documents
All requests go through the registered agent, which deals with the Registry through VIRRGIN. This is how we run a request.
Tell Us What the Bank or Buyer Needs
Most delays come from ordering the wrong document. We read the bank's or buyer's checklist first, including how recent each certificate must be and whether it needs an apostille.
Check the Company Is Up to Date
A certificate of good standing is refused if a fee, register or return is outstanding. We check the company's status first and fix any gap before ordering.
Order the Documents
The agent requests the Registry certificates and prepares the certificate of incumbency and certified copies. Most are ready within one to three working days.
Certify and Apostille
Where the documents are going abroad, we arrange notarisation and the apostille, and send the full set by courier or as certified electronic copies, whichever the recipient accepts.

Documents Banks Ask For
Banks ask for the same core set: the certificate of incorporation, the memorandum and articles, a recent certificate of good standing, a recent certificate of incumbency and the registers. Many also want certified identity documents for each owner and director and an apostille if they are outside the BVI.
Why Banks Are Strict
The BVI has been on the FATF grey list since June 2025 and on the EU high-risk list since January 2026. Banks check that the documents match each other and the Registry, and that none is older than they allow.
A Faster Route Through Our Banking Partners
Our banking partners are licensed electronic money institutions that open multi-currency accounts for BVI companies owned from abroad, usually within days of a complete file. We prepare the document set once and check it before it goes out. Read about BVI offshore banking for companies.

When Documents Will Not Be Enough
Some problems cannot be fixed by ordering a new certificate.
- The company is struck off: It must be restored first.
- The registers are wrong: They must be corrected and refiled.
- The owners are hidden behind nominees: Banks will ask for the real owners.
- The agent has resigned: A new agent must be appointed first.
- Fees are unpaid: No good standing certificate until they are paid.
Common Mistakes With BVI Company Documents
Most delays come from ordering too early or ordering the wrong thing.
- Sending an old good standing certificate: It is valid for 3 months.
- Ordering before fixing a missing filing: The certificate is refused.
- Forgetting the apostille: Banks abroad send the file back.
- Using an incumbency from before a change: It no longer matches.
- Losing the change of name certificate: Banks want the full chain.

Bottom Line
The main BVI company documents are the certificate of incorporation, the memorandum and articles, the registers, the certificate of incumbency from the agent and the certificate of good standing from the Registry, which is valid for 3 months. Every company must also have a common seal, the BVI company seal, though most documents can now be signed without it.
The documents are easy to get when the company is up to date and hard to get when it is not. We form BVI companies from €1,899 through licensed agents, with a bank-ready document pack from day one, and we order fresh certificates and apostilles whenever you need them.
