UK holding company formation gives you a parent company that owns your trading companies, property or investments, with some of Europe's best group tax rules. Most dividends it receives from subsidiaries are exempt from Corporation Tax, gains on selling a qualifying trading subsidiary can be tax-free, and the UK charges no withholding tax on dividends paid out.
When you work out how to set up a holding company in the UK, the hard part is getting the structure right the first time. Putting a holding company on top of an existing business means a share-for-share exchange, an HMRC clearance and stamp duty relief. Every owner above 25% must be verified, and the associated company rules can change your Corporation Tax rate.
We make it simple. We form the holding company ourselves and handle the structure, identity checks, the share exchange paperwork and a bank-ready file, at one clear price from €350 with the Companies House fee included. One team, no email chains, and a group ready within a week.

Why Set Up a Holding Company in the UK
A UK holding company is a normal private limited company whose job is to own shares in other companies. The UK tax rules for groups are generous, the company is cheap to form and run, and banks and investors understand the structure. Read more about the benefits of setting up a company in the UK.
Tax-Free Dividends From Subsidiaries
Most dividends a UK company receives are exempt from Corporation Tax under Part 9A of the Corporation Tax Act 2009. Profits can move up from a trading subsidiary to the holding company without a second layer of UK tax.
Tax-Free Gains on Selling a Trading Subsidiary
The substantial shareholding exemption can make the gain on selling a trading subsidiary completely tax-free. The holding company must have owned at least 10% for a continuous 12 months in the six years before the sale, and the subsidiary must be a trading company or the holding company of a trading group.
UK Holding Company Formation
A UK holding company is quick to form when the structure is planned first. This is what we do for you.
- We form it ourselves: Name check, articles, capital and filing by one team.
- Tax-free dividends: Most dividends from subsidiaries are exempt from Corporation Tax.
- Share exchange paperwork: Clearance and stamp duty relief prepared for you.
- Ownership mapped: Every owner above 25% traced and verified.
- No residency rule: Directors and shareholders can live anywhere.
- From €350: The Companies House fee is included.
- No back-and-forth emails: One contact runs your file from start to finish.
No Withholding Tax on Dividends Paid Out
The UK does not deduct tax from dividends paid by UK companies, including to shareholders abroad. Money can leave the holding company to its owners without a UK withholding charge, and the owners are taxed where they live.
A Wide Tax Treaty Network
The UK has double tax treaties with a large number of countries, which can reduce foreign withholding tax on dividends and interest that subsidiaries abroad pay up to a UK parent.
Separate Risk Between Businesses
Each subsidiary is a separate legal person, so a claim or a debt in one business stays in that company. The holding company keeps the valuable assets, such as property, brands or cash, away from the trading risk.
Cheap and Quick to Form
A holding company is formed like any private company: £100 at Companies House, one director, no minimum capital and usually registered within 24 hours. With us, UK holding company formation starts from €350 with the fee included. See our UK company registration guide.
How a UK Holding Company Is Taxed
A UK holding company pays Corporation Tax at 19% on profits up to £50,000 and 25% above £250,000, with marginal relief in between. What makes it useful are the exemptions and reliefs that apply inside a group.
The Dividend Exemption
Dividends received by a UK company are taxed only if they are not exempt, and most are. For small companies, a dividend is exempt if the payer is resident in the UK or a qualifying territory. For larger companies, it is exempt if it falls into one of the exempt classes, such as dividends from a controlled company or on non-redeemable ordinary shares.
The Substantial Shareholding Exemption
Under Schedule 7AC of the Taxation of Chargeable Gains Act 1992, a gain on selling shares is exempt if the holding company held at least 10% throughout a 12-month period starting no more than six years before the sale, and the company sold was a trading company or the holding company of a trading group. Since April 2017, the holding company itself no longer has to be trading.
Group Relief for Losses
Losses can move between UK group companies where one is a 75% subsidiary of the other, or both are 75% subsidiaries of a third. A loss in a new subsidiary can then reduce the tax on profits in another.
Associated Companies and the Corporation Tax Limits
Since 1 April 2023, the £50,000 and £250,000 limits are divided by one plus the number of associated companies. A holding company with two subsidiaries splits each limit by three, so the 25% main rate starts at about £83,333 of profit per company instead of £250,000. Plan this before you add companies to the group.
Profits Kept Abroad
Profits held in low-taxed foreign subsidiaries can fall under the UK controlled foreign company rules. If the group has subsidiaries in low-tax countries, take tax advice before you set up the structure.

Types of UK Holding Company Structures
Setting up a holding company in the UK usually means one of four structures. The company form is the same, a private limited company, but the purpose and the tax points differ.
Group Holding Company Above Trading Subsidiaries
The most common structure. The holding company owns one or more trading companies, collects their dividends tax-free and can sell a subsidiary under the substantial shareholding exemption. It is how most founders prepare a business for investment or a sale.
Investment Holding Company
A holding company that owns shares, funds or other investments rather than trading businesses. Dividends are usually still exempt, but the substantial shareholding exemption does not apply to gains on shares in non-trading companies.
Property Holding Company
A company that owns property and rents it to the trading companies in the group or to third parties. It keeps the property away from trading risk, but rental profit is taxed and stamp duty land tax applies when property moves into it.
Holding Company Above Foreign Subsidiaries
A UK holding company can own subsidiaries in other countries. Dividends from them are usually exempt, and the UK's treaties can reduce foreign withholding tax. A foreign company that only wants to trade in the UK, without a UK parent, can instead register a UK branch. Groups planning a public offer can use a PLC at the top, as explained in how to set up a UK public limited company.
UK Holding Company Formation for Non-Residents
UK holding company formation for non-residents follows the same rules as for residents. Directors and shareholders can live anywhere, and the holding company can be owned by individuals or by a company abroad.
Identity Checks From Abroad
Every director and every person with more than 25% of the shares or votes verifies their identity through GOV.UK One Login, from any country. Where a foreign company owns the holding company, the people behind it are recorded as PSCs.
Tax Residence of a Holding Company Run From Abroad
A UK-incorporated holding company is UK tax resident by default. If its directors make all the decisions in another country, that country may also treat it as resident, and a treaty decides. Read whether a UK company is tax resident.
Banking for a Holding Company Owned From Abroad
Most UK high street banks want a UK-resident director, and many refuse holding companies with corporate shareholders. Our banking partners accept both, as our guide to opening a UK business bank account as a foreigner explains. Read our guide to UK company formation for non-residents.
Set Up a UK Holding Company From Abroad
A UK holding company can be formed and run from any country. This is how we keep it simple.
- No travel needed: Identity checks and signatures happen online.
- Same price abroad: From €350, the Companies House fee included.
- Foreign owners mapped: Corporate shareholders traced to the real people.
- Banks refuse holding companies: Our partners open accounts for them in days.
- Tax residence planned: We flag where the company will be managed.
- One point of contact: From the first question to the certificate.
How to Set Up a Holding Company in the UK
How to set up a holding company in the UK depends on whether you are starting a new group or putting a holding company on top of a business you already own. The first is a simple formation. The second is a share-for-share exchange.
Form the Holding Company
Check and reserve the name, verify every director and PSC, give a registered office and file with Companies House for £100 online. The holding company is usually registered within 24 hours. Read how to set up a limited company in the UK for the formation rules.
Starting a New Group
If there is no business yet, form the holding company first, then form each subsidiary with the holding company as its shareholder. The ownership is right from day one, and no share exchange is needed.
Putting a Holding Company Above an Existing Company
For an existing company, the shareholders transfer their shares to the new holding company, and the holding company issues its own shares to them in exchange. The shareholders end up owning the holding company in the same proportions, and the holding company owns the trading company.
Getting HMRC Clearance
A share-for-share exchange can usually be tax-neutral for the shareholders under sections 135 and 137 of the Taxation of Chargeable Gains Act 1992. Since 26 November 2025, the test is whether a main purpose of the arrangement is to avoid capital gains tax. Most groups apply for advance clearance under section 138, and HMRC replies within 30 days.
Claiming Stamp Duty Relief
Stamp duty on a share transfer is 0.5% of the consideration, rounded up to the nearest £5. A share-for-share exchange into a new holding company can claim relief under section 77 of the Finance Act 1986 where the consideration is only shares and the new shareholding mirrors the old one.
Updating the Registers
After the exchange, the holding company files the share allotment with Companies House, and both companies update their registers of members and persons with significant control. The trading company's PSC is now the holding company, with the people behind it recorded too. Anyone can then search the company on Companies House to see the new structure.
Full-Service UK Holding Company Setup
Setting up a holding company in the UK runs through one team with us, from formation to the share exchange.

Documents Needed for UK Holding Company Formation
UK holding company formation needs the same details as any private company, plus the paperwork for the group. Prepare both at the same time.
For the Holding Company
For each director, shareholder and PSC: full legal name, date of birth, nationality, country of residence, a service address, a home address kept private and the personal code from identity verification. For the company: the name, a registered office, a registered email, at least one SIC code, the statement of capital and the articles.
For a Share-for-Share Exchange
- Stock transfer forms: For each shareholder transferring shares to the holding company.
- Board and shareholder minutes: Approving the exchange and the allotment.
- Share allotment filing: Recording the new shares issued by the holding company.
- HMRC clearance application: Setting out the commercial reasons for the reorganisation.
- Stamp duty relief claim: Showing the consideration is only shares, mirrored.
- Updated registers: Members and PSCs for both companies.
For the Bank
The certificates of incorporation, the articles, a group structure chart down to the ultimate beneficial owners, a passport and proof of address for each owner above 25%, and a short description of what each company in the group does. See the full list of documents needed to open a business bank account.

How Long UK Holding Company Formation Takes
UK holding company formation takes about 24 hours at Companies House once filed, and about a week with us including identity checks. A share-for-share exchange above an existing company adds the HMRC clearance, which takes up to 30 days.
Stage | Typical time | What happens |
|---|---|---|
Identity verification | Same day with GOV.UK One Login | Each director and PSC gets a personal code |
Forming the holding company | Usually within 24 hours online | The certificate of incorporation is issued |
HMRC clearance for a share exchange | Up to 30 days | HMRC confirms the reorganisation is not for tax avoidance |
Share exchange completed | A few days after clearance | Shares transferred, new shares allotted, registers updated |
Account with our banking partners | Usually 2 to 4 days from a complete file | A multi-currency business account opens |
What Adds Days
An incomplete clearance application, a shareholder who has not verified their identity and an ownership chart that does not match the registers are the usual causes. Apply for clearance as soon as the structure is agreed. Read how long it takes to register a UK company.

Running a UK Holding Company
A holding company files like any other company, and each company in the group files separately. A few group rules can save money if you use them.
Filing | Deadline | Late penalty |
|---|---|---|
Confirmation statement | At least every 12 months, plus 14 days to file | A fine of up to £5,000 and a risk of strike-off |
First annual accounts | 21 months after incorporation | £150 to £1,500 |
Later annual accounts | 9 months after the year end | £150 to £1,500, doubled if late two years running |
Company Tax Return | 12 months after the accounting period ends | £200, then £400 in total at 3 months |
Group Accounts for Small Groups
A small group does not have to prepare group accounts. A group is small if it meets two of three tests: turnover up to £15 million net, a balance sheet up to £7.5 million net, and 50 or fewer employees.
Audit Exemption for Subsidiaries
A UK subsidiary can skip its own audit if the parent guarantees its debts under section 479C, all members agree, the subsidiary is included in the parent's group accounts and the notices are filed. This can save a significant amount in larger groups.
Associated Company Limits Each Year
Count the associated companies at the start of each accounting period, because the Corporation Tax limits are shared between them. Adding a new subsidiary can push profits in the others into the 25% rate sooner.
VAT for a Holding Company
A holding company that only owns shares makes no taxable supplies and usually cannot register for VAT. One that charges its subsidiaries for management services can register, and the group can apply to be treated as a single VAT group. Read about UK VAT registration for non-resident companies.

Business Banking for a UK Holding Company
Holding companies are among the hardest companies to bank on the UK high street. They have no trading history, often a corporate shareholder, and sometimes owners abroad. Our banking partners open accounts for holding companies owned from anywhere, in days and remotely.
Feature | UK banks | Our partners |
|---|---|---|
Holding companies | Often refused, especially with corporate shareholders | Accepted, with ownership traced to the real people |
Who they accept | At least one UK-resident director, often UK tax residence | Owners and directors anywhere |
Opening time | Weeks for a new holding company, or a refusal | Usually 2 to 4 days from a complete file |
Currencies | Sterling, with a separate account for each currency | Several currencies in one account, with real IBANs |
Foreign exchange | Up to 2%, built into the rate | About 0.25% to 1.0% over the interbank rate |
Why UK Banks Turn Down Holding Companies
Starling takes no corporate shareholders, Santander caps owners at two, and most banks want a UK-resident director. A holding company with no income of its own and a foreign parent fails several of these rules at once. Read why banks reject business account applications.

UK Holding Company vs Cyprus, Malta and Ireland
Founders choosing where to put a holding company usually compare the UK with Cyprus and Malta, the EU's best-known holding locations, and with Ireland. We form all four, so the choice turns on tax, EU access and running costs.
Factor | UK | Cyprus | Malta | Ireland |
|---|---|---|---|---|
Standard company tax | 19% small profits rate, 25% main rate | 15% flat | 35% headline, about 5% effective for non-resident shareholders after the refund | 12.5% trading, 25% non-trading |
EU member | No | Yes | Yes | Yes |
Audit | Small company exemption | Mandatory for all companies | Mandatory for all companies | Small company exemption |
Known for | Dividend and gains exemptions, no withholding tax on dividends | EU holding companies with a wide treaty network | Holding structures and the shareholder refund | Trading and technology companies in the EU |
Our price | From €350 | From €1,200 | From €1,299 | From €1,899 |
Time to incorporate | 1 week | 1 week | 1 week | 1 week |
The UK is the cheapest of the four to form and run, and its dividend and gains exemptions compete with the EU's best. An EU holding company makes sense when the group needs EU status or when the subsidiaries are mainly in the EU.
UK vs Cyprus
Cyprus charges a flat 15% on company profit from 1 January 2026, and it is a popular EU holding location with a wide treaty network. Every Cyprus company needs an audit, so it costs more to run. Read about holding company formation in Cyprus.

Who a UK Holding Company Is Wrong For
A holding company adds a company to file for every year. In these cases, it adds cost without benefit.
Founders With One Small Company
If you own one small company and have no plans to sell it, add another or keep profits apart, a holding company mostly adds a second set of accounts.
Groups That Need an EU Parent
If investors, regulators or customers need the parent to be in the EU, a UK holding company will not meet that need. Look at Cyprus, Malta or Ireland instead.
Anyone Expecting the Holding Company to Cut Personal Tax
A holding company defers tax on profits kept in the group. When money reaches the owners as dividends or salary, it is taxed as usual. It is not a way to avoid personal tax.
Common Mistakes When Setting Up a Holding Company in the UK
Most problems with setting up a holding company in the UK come from the order of the steps. These are the mistakes we see most.
Selling Before the 12-Month Clock Has Run
The substantial shareholding exemption needs at least 10% held for a continuous 12 months. A holding company formed just before a sale may not qualify, so plan the structure well ahead.
Skipping HMRC Clearance on a Share Exchange
Without clearance, the shareholders carry the risk that HMRC later treats the exchange as a disposal. Clearance is free and usually takes up to 30 days.
Forgetting the Associated Company Rule
Adding subsidiaries divides the Corporation Tax limits between them. Groups that ignore this pay the 25% rate on profits they expected to be taxed at 19%.
Opening the Bank Account Last
Many banks refuse holding companies with corporate shareholders. Check which provider accepts your structure before you form the group, not after.
Talk to Us About Setting Up a Holding Company in the UK

Bottom Line
A UK holding company is one of the most efficient ways to own trading companies, property or investments. Most dividends it receives are tax-free, gains on selling a trading subsidiary can be exempt, and the UK charges no withholding tax on dividends paid out. Knowing how to set up a holding company in the UK is mostly about order. Form it before you need it, get HMRC clearance for any share exchange, and plan for the associated company rules and the bank. We form the holding company from €350 with the Companies House fee included and handle the group paperwork with you.
