UK PLC company formation gives you a public limited company that can offer its shares to the public, raise money from a wide investor base and, later, seek a listing on a stock exchange. It keeps limited liability for its shareholders, pays the same Corporation Tax as any UK company, and carries a name that banks, suppliers and tender panels take seriously.
The hard part is the rulebook. A PLC needs at least £50,000 of allotted share capital with a quarter paid up, two directors, a qualified company secretary and a trading certificate before it can do business or borrow. It also files accounts faster, needs a full audit every year and must hold an AGM.
This is where we come in. We form the PLC ourselves and handle the whole setup: the directors and secretary, identity checks, the articles, the capital, the filing and the trading certificate. You deal with one team, and we quote the full cost in writing before you pay.

Why Set Up a PLC in the UK
A PLC is the only kind of UK company that can offer its shares to the public, and UK PLC company formation is how you get that right from day one. That single right is the main reason to choose it, and it brings a few others with it.
Offer Shares to the Public
A private limited company is barred from offering its shares to the public under section 755 of the Companies Act 2006. A PLC is not. It can invite investment from anyone, which opens up crowdfunding rounds, public offers and wider share ownership.
A Path to a Stock Market Listing
UK companies listed on the London Stock Exchange's Main Market or on AIM are public companies. Being a PLC does not list you, because admission needs FCA approval for the Main Market or a nominated adviser on AIM, but it is the first step on that path.
UK PLC Company Formation
A UK PLC is very doable when the capital, the people and the paperwork are planned together. This is what we do for you.
- We form it ourselves: Articles, capital, filing and trading certificate by one team.
- Qualified secretary arranged: The role the Act requires, filled from day one.
- Offer shares to the public: The one right a private company does not have.
- Capital planned first: £50,000 allotted, a quarter paid up, documented properly.
- Identity checks guided: Every director and PSC verified before filing.
- Clear pricing, no surprises: The full cost quoted in writing before you pay.
- No back-and-forth emails: One contact runs your file from start to finish.
Credibility With Banks, Suppliers and Tenders
The letters "plc" tell a counterparty that the company has at least £50,000 of capital, a qualified secretary and audited accounts. Some public tenders, large suppliers and investors are more comfortable dealing with a PLC for that reason.
Easier Share Transfers and Investor Exits
Many private company articles restrict who shareholders can sell to. Read more about the benefits of setting up a company in the UK in general. A PLC is built for a wider and changing shareholder base, which makes it easier for investors to buy in and sell out.
The Same Corporation Tax as a Private Company
A PLC pays Corporation Tax at 19% on profits up to £50,000 and 25% above £250,000, with marginal relief in between, exactly like a private company. Its dividends carry no UK withholding tax.
PLC vs Private Limited Company in the UK
For most founders, a private limited company is the better choice. A PLC only earns its extra cost and rules when you need to offer shares to the public or prepare for a listing, which is the real test for UK PLC company formation.
Factor | Public limited company (PLC) | Private limited company (Ltd) |
|---|---|---|
Minimum share capital | £50,000 allotted, a quarter paid up | None, one share of £1 is enough |
Directors | At least 2 | At least 1 |
Company secretary | Required, with qualifications | Optional |
Trading certificate | Required before trading or borrowing | Not needed |
Offer shares to the public | Allowed | Not allowed |
Accounts deadline | 6 months after the year end | 9 months after the year end |
Audit | Required every year | Most small companies are exempt |
AGM | Required within 6 months of the year end | Not required |
Name ending | "public limited company" or "plc" | "Limited" or "Ltd" |
Typical registration route | Paper form IN01, £124 | Online, £100 |
Read the table as a list of costs. Each extra rule for a PLC, the capital, the secretary, the audit and the faster deadlines, costs money every year. If you will not offer shares to the public, those costs buy you very little.
When a Private Company Is Enough
Most start-ups, holding companies and trading companies raise money privately, from founders, angels or funds, and a private limited company does that perfectly well. You can re-register it as a PLC later if you need to. Our UK company registration guide covers the private company route.
A Public Company Is Not a Listed Company
Being a PLC gives the right to offer shares to the public. Listing is a separate, much larger project with its own rules, advisers and costs. Many PLCs are never listed at all.

UK PLC Company Registration Requirements
UK PLC company registration has five requirements that a private company does not face, plus the rules every UK company meets. Plan all of them before you file.
£50,000 Share Capital, a Quarter Paid Up
A PLC must have allotted share capital of at least £50,000, or €57,100 if the capital is in euros, under section 763 of the Companies Act 2006. It cannot mix the two. Each share must be paid up to at least a quarter of its nominal value plus the whole of any premium, so at least £12,500 must actually be paid in. That money is the company's capital, not a fee, and it stays in the business.
Two Directors and a Qualified Company Secretary
A PLC needs at least two directors, and at least one must be a real person. It also needs a company secretary who has the knowledge and experience for the role and a recognised background, such as three of the last five years as a PLC secretary, membership of a professional accountancy or governance body, or qualification as a UK barrister or solicitor.
The PLC Name
The name must end with "public limited company" or "plc". A Welsh company can use "cwmni cyfyngedig cyhoeddus" or "c.c.c.". The usual rules apply too: it cannot be the same as an existing name, and some words need approval. Check the UK company name before you prepare anything else.
Registered Office and Identity Verification
Like every UK company, a PLC needs an appropriate registered office in the part of the UK where it is registered and a registered email address. Our guide to UK registered office address rules explains what counts, and most PLCs register in England and Wales. Since 18 November 2025, every director and every person with significant control must verify their identity before the company can be registered.
The Trading Certificate
A company formed as a PLC cannot do business or borrow until Companies House issues a trading certificate under section 761. You apply on form SH50 once the minimum capital is allotted and paid up, and there is no Companies House fee for it. Trading without one is an offence by the company and every officer in default, and the directors can be personally liable if the company fails to meet its obligations.
How to Set Up a PLC in the UK
To set up a PLC in the UK, you plan the capital and the people first, then register the company, then pay up the capital and get the trading certificate. Knowing how to set up a PLC in the UK mostly means getting this order right.
Plan the Capital and the Shareholders
The first step in how to set up a PLC in the UK is the money. Decide how the £50,000 or more will be split between shareholders, how much will be paid up at the start, and whether any shares will be issued for something other than cash. A share issue for non-cash assets in a PLC usually needs an independent valuation.
Appoint the Directors and the Secretary
Choose at least two directors and a qualified company secretary. Confirm the secretary's qualifications in writing, because Companies House records the appointment and investors will check it.
Verify Every Director and PSC
Each director and each person with more than 25% of the shares or votes verifies their identity and gets a personal code. It works online from any country with a passport.
Prepare the Articles and Statement of Capital
A PLC usually adopts model articles for public companies, adapted where needed. The statement of capital shows the shares, their classes and how much is paid on each.
File the Application With Companies House
The GOV.UK online service only covers private companies with model articles, so a new PLC is usually registered on paper form IN01 for £124. Paper applications take about 8 to 10 days to process, and you then receive the certificate of incorporation and the company number. This is the slowest part of PLC registration in the UK.
Pay Up the Capital and Apply for the Trading Certificate
Once the company is registered, the shareholders pay at least a quarter of the nominal value of their shares plus any premium. Then you apply for the trading certificate on form SH50. Only when it is issued can the PLC trade or borrow.
Full-Service PLC Registration in the UK
Every step above runs through one team with us, so nothing is filed twice.
- Capital and shareholders planned: Before anything is filed.
- Secretary and directors appointed: With the qualifications recorded.
- Identity codes collected: For every director and PSC, from any country.
- IN01 filed on paper: Articles and statement of capital prepared for you.
- Trading certificate handled: SH50 filed as soon as the capital is paid up.
- Deadlines on our calendar: Accounts, AGM and filings set from day one.
Re-Registering a Private Company as a PLC
You do not have to start a PLC from scratch. An existing private limited company can re-register as a public company, which is how many growing companies make the move once they are ready to offer shares more widely.
What Re-Registration Needs
The shareholders pass a special resolution to re-register, and the company must meet the PLC capital rules. It needs a balance sheet dated no more than seven months before the application, an unqualified auditor's report on it, and an auditor's statement that net assets were not less than the called-up share capital plus undistributable reserves. Shares allotted for non-cash assets between the balance sheet date and the resolution need a valuation.
Filing Form RR01
The application is made on form RR01, on paper, for £124, with the amended articles and, if the company has no secretary yet, a statement of the proposed secretary. A company that re-registers does not need a separate trading certificate.
When Re-Registration Makes Sense
Re-registration suits a company with a trading history, audited accounts and investors ready to come in. It avoids moving contracts, bank accounts and staff to a new company. Our guide to setting up a UK holding company covers another way groups restructure before a raise.
Documents Needed for UK PLC Company Registration
UK PLC company registration needs more planning than paperwork. Companies House does not ask for certified passport copies, because identity is checked through verification, but it needs exact details of the people, the capital and the secretary.
Details for Every Director, Shareholder and PSC
Full legal name, date of birth, nationality, country of residence, a service address that will be public, a home address that is kept private, and the personal code from identity verification. For the secretary, the same details and a record of the qualification that meets section 273.
Company Details for the Application
- Company name: Ending in "public limited company" or "plc".
- Registered office: In the part of the UK where the company is registered.
- Registered email address: For Companies House contact only.
- Statement of capital: At least £50,000 allotted, with the amount paid on each share.
- Articles of association: Model articles for public companies or your own version.
- SIC code: At least one, describing the main activity.
Evidence for the Capital and the Bank
Keep proof that the capital was paid in, such as a bank statement, because the trading certificate application confirms it. A bank or payment provider will also ask for the certificate of incorporation, the trading certificate, the articles, a passport and proof of address for each owner, a business description and where the money came from.
Cost of Setting Up a PLC in the UK in 2026
The cost of setting up a PLC in the UK is higher than for a private company, and most of the difference comes after formation. Public limited company formation in the UK itself is not the expensive part. We quote a PLC formation in writing with your setup, because the secretary, the capital and the trading certificate change the work. The quote includes the £124 Companies House filing, and a standard private limited company starts from €350 by comparison.
Cost item | When it is paid | Typical amount | What it covers |
|---|---|---|---|
PLC formation with Binderr, Companies House fee included | Once, before filing | Quoted with your setup | Advice, name check, identity verification guidance, articles, statement of capital, the £124 IN01 filing and the SH50 trading certificate application |
Share capital paid up | Before the trading certificate | At least £12,500 of the £50,000 allotted | The company's own capital, not a fee |
Identity verification | Once per person, before filing | Free through GOV.UK One Login | A personal code for each director and PSC |
Company secretary | Each year | Quoted with your setup | A secretary with the qualifications the Act requires |
Registered office service | Each year, if you have no suitable address | Quoted with your setup, against published prices of about £22 to £85 a year for the address alone | The appropriate address for official post |
Statutory audit | Each year | Priced by the auditor on the size and activity of the company | The audit every public company must have |
Confirmation statement | Within 14 days after the first anniversary | £50 online | The yearly check of the company's details |
ICO data protection fee | Each year, if the company handles personal data | £52 or £78 for most small companies | Registration with the Information Commissioner's Office |
Business account with our banking partners | Monthly, once the account is open | About €30 to €100 a month on a published plan | A multi-currency account with real IBANs |
What Moves the Cost of a UK PLC
The audit is usually the largest yearly cost, and it grows with the company's size and complexity. The secretary is the second. The capital is not a cost, but at least £12,500 has to be paid in and stay in the company. A PLC preparing for a public offer or a listing adds legal, advisory and exchange fees that are far larger than anything on this table. Read more: the cost of setting up a UK company.

How Long UK PLC Company Formation Takes
UK PLC company formation takes longer than a private company, mainly because the application goes on paper and the trading certificate comes after registration. Our guide on how long it takes to register a UK company compares the routes. With every document ready, plan for about three weeks from start to trading.
Stage | Typical time | What happens |
|---|---|---|
Identity verification | Same day with GOV.UK One Login | Each director and PSC gets a personal code |
Preparing the file | A few days | Capital, secretary, articles and statement of capital settled |
Companies House registration | About 8 to 10 days on paper | The certificate of incorporation is issued |
Paying up the capital | A few days | At least a quarter of the nominal value, plus any premium |
Trading certificate | After Companies House processes form SH50 | The PLC can now trade and borrow |
Account with our banking partners | Usually 2 to 4 days from a complete file | A multi-currency business account opens |
What Adds Days
A secretary without the right qualifications, a statement of capital that does not add up, a name that clashes and a missing identity code are the usual causes. Each one means a rejected paper form and another wait.

Running a PLC After Registration
A PLC carries more duties than a private company, and the penalties for missing them are higher. Put every date in a calendar on the day the company is registered.
Duty | Deadline | Late penalty or risk |
|---|---|---|
Annual accounts | 6 months after the year end | £750 to £7,500, doubled if late two years running |
Statutory audit | Before the accounts are filed | Accounts cannot be filed without it |
Annual general meeting | Within 6 months of the year end | An offence by every officer in default |
Confirmation statement | At least every 12 months, plus 14 days to file | A fine of up to £5,000 and a risk of strike-off |
Company Tax Return | 12 months after the accounting period ends | £200, then £400 in total at 3 months |
Accounts and the Audit
A PLC files its accounts with Companies House six months after the year end, three months sooner than a private company, and it cannot use the small company audit exemption. The late filing penalties are £750 up to one month late, £1,500 up to three months, £3,000 up to six months and £7,500 after that.
The Annual General Meeting
A PLC must hold an AGM within six months of the end of each financial year. The shareholders receive the accounts, can question the directors and usually vote on reappointing the auditor.
Tax Residence and Corporation Tax
A PLC incorporated in the UK is UK tax resident by default and pays Corporation Tax on its worldwide profits. If its directors run it from another country, that country may also treat it as resident. Read whether a UK company is tax resident.

Business Banking for a UK PLC
A PLC needs its account open before the capital is paid in, and many founders abroad get stuck here. UK high street banks usually want a director who lives in the UK. Our banking partners open accounts for UK companies owned and run from anywhere, in days and remotely.
Feature | UK banks | Our partners |
|---|---|---|
Who they accept | At least one UK-resident director, often UK tax residence | Owners and directors anywhere |
Opening time | Weeks for a new PLC with owners abroad | Usually 2 to 4 days from a complete file |
Currencies | Sterling, with a separate account for each currency | Several currencies in one account, with real IBANs |
Foreign exchange | Up to 2%, built into the rate | About 0.25% to 1.0% over the interbank rate |
Why UK Banks Are Slow With a New PLC
A new PLC has no trading history and often several shareholders, so the bank traces every owner above 25% and asks where the capital came from. With directors abroad, most high street banks refuse at the residence check.
The Faster Route Through Our Banking Partners

UK PLC vs Ireland, Cyprus and Malta
Founders who want public-company status sometimes compare public limited company formation in the UK with an EU company. Ireland, Cyprus and Malta all have their own public company forms with their own capital rules. The main difference is tax and EU access, so the table compares the jurisdictions themselves.
Factor | UK | Ireland | Cyprus | Malta |
|---|---|---|---|---|
Standard company tax | 19% small profits rate, 25% main rate | 12.5% trading, 25% non-trading | 15% flat | 35% headline, about 5% effective for non-resident shareholders after the refund |
EU member | No | Yes | Yes | Yes |
Known for | Deep capital markets and a trusted company law | Trading and technology companies in the EU | EU holding companies with a wide treaty network | Holding structures and the shareholder refund |
Our price for a standard company | From €350 | From €1,899 | From €1,200 | From €1,299 |
A UK PLC gives you access to London's capital markets, which none of the others match. An EU company makes sense when your investors, customers or a licence need one.
UK vs Ireland
An Irish company pays 12.5% on trading profit and sits inside the EU, and Ireland has its own public limited company form. It needs a company secretary and, if no director lives in the European Economic Area, a Section 137 bond. See our Ireland company formation guide.

Who a UK PLC Is Wrong For
A PLC is the wrong choice for most small businesses. In these cases, a private limited company saves money every year.
Start-Ups Raising Money Privately
Founders, angels and venture funds invest in private limited companies every day. If you will not offer shares to the public, a PLC adds cost without adding anything you need.
Founders Who Cannot Put Up the Capital
At least £12,500 must be paid in before the PLC can trade. If that money is needed for the business elsewhere, form a private company now and re-register later.
Companies That Want Light Compliance
A PLC files faster, needs an audit and an AGM, and pays higher late filing penalties. If you want the lightest possible compliance, choose a private company.
Common Mistakes When Setting Up a UK PLC
Most problems with a new PLC come from treating it like a private company. These are the mistakes we see most often.
Trading Before the Trading Certificate
A newly formed PLC cannot sign contracts for business or borrow until the trading certificate is issued. Doing so is an offence, and the directors can become personally liable.
Appointing a Secretary Without the Qualifications
The Act sets out who can be a PLC secretary. An unqualified appointment is a breach that investors, auditors and banks will spot.
Forgetting the Six-Month Accounts Deadline
Owners used to private companies plan for nine months and miss the PLC deadline of six. The late filing penalty for a public company starts at £750.
Confusing a PLC With a Listing
Forming a PLC does not list the company or raise any money. A public offer or a listing is a separate project with its own advisers and rules.
Talk to Us About UK PLC Company Formation
Not sure whether you need a PLC or a private company? Tell us about your plans and we recommend the structure.
- PLC or Ltd: The right form for how you plan to raise money.
- Re-registration: Moving an existing company to PLC status.
- Group structures: Holding companies and subsidiaries set up in the right order.
- Owners abroad: Identity checks, the secretary and banking handled remotely.
- One point of contact: From the first question to the trading certificate.
Bottom Line
A UK PLC is the only company that can offer its shares to the public, and it is the first step towards a listing. Public limited company formation in the UK is quick once the capital and the secretary are in place. It also needs £50,000 of capital with a quarter paid up, two directors, a qualified secretary, a trading certificate, an audit, an AGM and accounts within six months. If you need public investment, that is a fair price. If you do not, a private limited company does the job for far less. We form either, and we quote a PLC in full, in writing, before you pay.
